Milestone Endbenutzer-Lizenzvertrag

Dies ist eine übersetzte Version des originalen Endbenutzer-Lizenzvertrags von Milestone. Bei Unklarheiten oder Streitigkeiten hinsichtlich der Auslegung der Bestimmungen und Bedingungen in diesem Endbenutzer-Lizenzvertrag hat die englische Version maßgebenden Vorrang vor dieser übersetzten Version. Die englische Originalversion des Endbenutzer-Lizenzvertrags von Milestone ist im Anschluss an diese übersetzte Version aufgeführt.

HINWEIS: Sind Sie ein Milestone Händler, Systemintegrator oder installieren Sie das Produkt anderweitig für einen Dritten, so stellen Sie sicher, dass Ihnen deren Annahme dieses Endbenutzer-Lizenzvertrags vorliegt sowie deren Einverständnis zur Bereitstellung von personenbezogenen Daten der Endbenutzer zur Registrierung bei Milestone Systems, falls eine solche freiwillige Option Anwendung findet.

Dieser Endbenutzer-Lizenzvertrag („EULA“) ist ein rechtsgültiger Vertrag zwischen Ihnen (einer Einzelperson oder einer juristischen Person) und Milestone Systems A/S („Milestone“) für ein Produkt oder Hilfsprogramm von Milestone, der die zugehörigen Software- oder Hardware-Komponenten, Medien, Druckerzeugnisse, Online- oder elektronischen Dokumentationen sowie alle Aktualisierungen oder Korrekturen („Produkt“) einschließen kann. Haben Sie das Produkt als Teil eines von Milestone gelieferten Rechner- oder Serversystems erworben, so gelten alle Hardware- und Softwarekomponenten dieses Systems für den Zweck dieser EULA als Teile des Produkts, mit Ausnahme jedoch von Software- oder Hardware-Komponenten von Drittanbietern, welche durch einen separaten Drittlizenzvertrag gedeckt werden, der in der Systemdokumentation oder anderweitig im System eingeschlossen ist.

Durch das Installieren, Bereitstellen, Kopieren oder eine anderweitige Verwendung des Produkts stimmen Sie den Bedingungen dieses EULA zu. Wenn Sie mit den Bedingungen dieses EULA nicht einverstanden sind, installieren oder verwenden Sie das Produkt nicht, sondern machen Sie von Ihrem Rückgaberecht innerhalb von 30 Tagen nach dem Kauf des Produkts Gebrauch, die zusammen mit allem zugehörigen Material am ursprünglichen Ort des Kaufs erfolgen muss, um eine volle Rückerstattung, abzüglich evtl. Versand- und Verpackungskosten, zu gewährleisten. Diese Rückgaberegelung gilt nicht, wenn Sie oder Ihr Bevollmächtigter, auch Ihr Milestone-Händler (in Ihrem Namen) diese EULA vor dem Kauf oder als Teil Ihres Kaufs des Produkts akzeptiert haben. Zudem gilt diese Rückgaberegelung nicht für Milestone Husky-Produkte und dazugehörige Hardware. Das Produkt ist durch Urheberrechte, Bestimmungen internationaler Copyright-Verträge und andere Gesetze und Verträge zum geistigen Eigentum geschützt. Beachten Sie bitte, dass alle Teile des Softwareprodukts nicht an Sie verkauft, sondern lizenziert werden. Die Lizenzierung des Produkts stellt weder ein Leasing noch einen Verkauf von geistigen Eigentumsrechten oder jegliche Form der Übertragung des Eigentums an geistigen Eigentumsrechten an dem Produkt dar.

Für Milestone Produkte, für die ein Softwarelizenzcode („SLC“) erforderlich ist, wird die Ihnen gewährte Lizenz durch den Softwarelizenzcode identifiziert, den Sie beim Kauf des Produkts erhalten haben.

Verbundene Unternehmen. Die Lizenz, die Ihnen gemäß diesem EULA für Milestone XProtect Corporate, Milestone XProtect Expert und/oder Milestone XProtect Professional+ gewährt wurde, gestattet Ihnen den Zugriff auf und die Verwendung eines solchen Produkts durch Ihre verbundenen Unternehmen und deren jeweiligen Angestellten, Vertreter und andere Mitarbeiter, vorausgesetzt, Sie übernehmen zu jeder Zeit die volle Verantwortung für den Zugriff und die Nutzung des Produkts durch das verbundene Unternehmen in Übereinstimmung mit den Bedingungen dieses EULA. Dieses Recht gilt auch für Milestone XProtect Add-ons und Komponenten, die Sie für Milestone XProtect Corporate, Milestone XProtect Expert und/oder Milestone XProtect Professional+ erworben haben. Es unterliegt Ihnen, sicherzustellen, dass (i) Ihre verbundenen Unternehmen jeweils diesen EULA akzeptieren, bevor ihnen Zugriff auf das Produkt gewährt wird und (ii) Ihre verbundenen Unternehmen die Bedingungen dieses EULA befolgen. Im Rahmen dieses EULA bezeichnet „verbundene Unternehmen“ jegliche Unternehmenseinheiten, die direkt oder indirekt von Ihnen beherrscht werden oder die Sie beherrschen oder die gemeinsam mit Ihnen von anderen beherrscht werden, wobei „beherrschen“ ein Eigentum von mehr als 50 Prozent der Stimmrechte bedeutet, die dazu berechtigen, die Mehrheit des Betriebsrats oder eines ähnlichen führenden Gremiums zu wählen oder bestimmen.

Zustimmung zu unbeaufsichtigter Fernaktualisierung. Der Systemadministrator Ihres Unternehmens kann jetzt oder zukünftig ein Tool oder eine Betriebssystem-Methode wie XProtect Update Manager verwenden, das bzw. die es ihm ermöglicht, Software-Produkte per unbeaufsichtigtem Fernzugriff auf Ihrem Rechner zu installieren bzw. zu aktualisieren. Falls ein solches Tool verwendet wird, um das Produkt unbeaufsichtigt zu aktualisieren, werden Sie u. U. nicht aufgefordert, den EULA für das neue Produkt zu akzeptieren. Durch die Annahme des vorliegenden EULA übertragen Sie Ihrem Systemadministrator das Recht, EULAs für zukünftige Produktaktualisierungen in Ihrem Namen anzunehmen.

Bereitstellung in der AWS Cloud.Milestone XProtect VMS-Produkte werden auch als Amazon Machine Image („AMI“) im Rahmen des Bring-Your-Own-License-Modells („BYOL“) zur Verfügung gestellt und können auf der AWS-Cloud-Dienststruktur bereitgestellt werden, indem das zugehörige CloudFormation-Skript verwendet wird. Dieses Skript führt eine Standard-Bereitstellung des Produkts in einer neuen virtuellen privaten Cloud („VPC“) in Ihrem AWS-Konto aus. Sie können das CloudFormation-Skript oder die von ihm generierte Bereitstellung in dem Umfang verändern, in dem dies für die Bereitstellung des Produkts in Ihrer eigenen AWS-Cloud-Dienstinfrastruktur erforderlich ist. Das CloudFormation-Skript wird „wie vorliegend“ und ohne Garantien oder Gewährleistungen jeglicher Art zur Verfügung gestellt, einschließlich u. a. der stillschweigenden Gewährleistung der Eignung für einen bestimmten Zweck. Milestone lehnt ausdrücklich jegliche Garantie oder Gewährleistung ab und akzeptiert keinerlei Haftung für Änderungen am CloudFormation-Skript oder der von ihm generierten Standard-Bereitstellung. Das vollständige Risiko und die vollständige Verantwortung, die aus der Bereitstellung und Verwendung des bereitgestellten Produkts entstehen, liegen bei Ihnen als dem Benutzer.

Rechte auf geistiges Eigentum. Alle Titel und Rechte, einschließlich der Urheberrechte (aber nicht auf diese beschränkt) hinsichtlich des Produkts sowie aller Kopien davon verbleiben bei Milestone. Im Falle von Beiträgen anderer Hersteller zu einem dieser Produkte verbleiben die Titel und Rechte einzig nur für diese Beiträge im Besitz von unseren Lizenzgebern. Alle nicht ausdrücklich gewährten Rechte sind Milestone vorbehalten.

Das Produkt umfasst eventuell HEVC/H.265-Technologie, die unter der HEVC Advance Patent Portfolio License lizenziert ist, und die Verwendung solcher Technologien wird von einem oder mehreren der unter patentlist.hevcadvance.com aufgeführten Patentansprüche beschrieben.

Verletzung der Rechte von Drittparteien. Milestone haftet dafür, zu gewährleisten, dass das Produkt keine Immaterialgüterrechte Dritter verletzt, jedoch in Bezug auf Patente nur (a) Patente, die zum Zeitpunkt Ihres Produkterwerbs in den Vereinigten Staaten von Amerika oder in der Europäischen Union erteilt und veröffentlicht wurden und (b) nur im Falle eines Verstoßes durch das für sich alleinstehende Produkt selbst, wenn es nicht mit anderen Produkten oder Technologien zusammen verwendet wurde. Falls Forderungen oder Ansprüche infolge einer vermeintlichen Verletzung von Immaterialgüterrechten an Sie gestellt werden, wenden Sie sich umgehend schriftlich an Milestone. Milestone wird in der Folge den Fall und alle mit ihm verbundenen Verfahrenskosten allein übernehmen. Milestone hat unwiderrufliche Prozessvollmacht, um das Verfahren in seinem Namen zu führen oder zur Beilegung des vermeintlichen Verstoßes mit Ihnen, dem Benutzer, zu verhandeln. Es liegt im Ermessen von Milestone, entweder für Sie das Recht zu erzielen, das Produkt weiter nutzen zu dürfen, oder die Vertragsverletzung dadurch beizulegen, dass es das Produkt ändert bzw. durch ein anderes Produkt ersetzt, das im Wesentlichen über dieselben Funktionen verfügt wie das erworbene Produkt. Wenn keine dieser Wiedergutmachungsleistungen zu angemessenen Kosten für Milestone erzielt werden kann, ist Milestone berechtigt, diesen EULA mit sofortiger Wirkung zu kündigen. Bei Kündigung haben Sie keine weiteren Ansprüche, einschließlich, aber nicht beschränkt auf das Anrecht auf Schadenersatz oder Entschädigung gegenüber Milestone.

Behebung von Fehlern. Ein Defekt oder Fehler im Produkt wird nur als Materialfehler angesehen, wenn dadurch die gesamte Funktionalität des Produkts beeinträchtigt wird oder der Betrieb des Produkts nicht möglich ist. Wenn Sie innerhalb von 90 (neunzig) Tagen ab dem Erwerb des Produkts schriftlich belegen, dass das Produkt einen Sachmangel aufweist bzw. defekt ist, verpflichtet sich Milestone nach alleinigem Ermessen entweder (i) eine neue mangelfreie Kopie des Produkts zu liefern, (ii) den Defekt oder Fehler kostenlos zu beheben oder (iii) diesen EULA zu kündigen und die gezahlten Lizenzgebühren zurückzuerstatten, nachdem Sie alle Kopien des Produkts zurückgegeben haben. Die in diesem Absatz aufgeführten Bestimmungen stellen Ihre einzigen Rechtsmittel im Falle eines Fehlers oder Defekts am Produkt dar.

Gewährleistungsausschluss. Solange Ihnen durch Milestone keine spezifische Garantie als Teil der Produktdokumentation gewährt wurde, lehnt Milestone ausdrücklich jedwede Produktgarantie ab. Das Produkt und die gesamte zugehörige Dokumentation werden im „Istzustand“ ohne jegliche Gewährleistung zur Verfügung gestellt, gleich ob ausdrücklicher oder konkludenter Natur, einschließlich (jedoch nicht darauf beschränkt) konkludenter Gewährleistungen der Markttauglichkeit oder der Eignung für einen bestimmten Zweck. Das gesamte Risiko, das aus der Nutzung bzw. Leistung des Produkts entsteht, verbleibt beim Benutzer. Sie nehmen zur Kenntnis, dass das Produkt mit bestimmter Ausrüstung oder anderer Software Ihnen Überwachungs- und Datenverarbeitungsaktionen ermöglichen kann, die gemäß geltendem Recht eingeschränkt oder unzulässig sein können, einschließlich (aber nicht beschränkt auf) dem Datenschutz- und Strafrecht. Die alleinige Verantwortung der rechtmäßigen Nutzung gemäß geltendem Recht unterliegt Ihnen als Benutzer.

Test- und Pilotlizenzen, Betaversion des Produkts. Wenn Ihnen eine Test- und/oder Pilotlizenz oder eine ähnliche befristete Milestone-Lizenz für einen ausdrücklich definierten Zweck zur Verfügung gestellt wird, einschließlich, aber nicht beschränkt auf eine Verwendungslizenz für eine Betaversion des Produkts, so beschränken sich Ihre Nutzungsrechte gemäß dieses Endbenutzer-Lizenzvertrags ausschließlich auf den Zweck und die festgelegte Laufzeit der eingeräumten Lizenz. Diese Lizenz ist sowohl im Umfang als auch in der Dauer begrenzt, nicht übertragbar und darf nicht an Dritte weitergegeben, abgetreten oder anderweitig übertragen werden. Die beschränkte Laufzeit einer solchen befristeten Lizenz ist entweder im XProtect Management Client angegeben oder wird anderweitig von Milestone festgelegt, etwa im Lizenzdokument oder in der Lizenzdatei, das bzw. die mit der eingeräumten befristeten Lizenz verbunden ist. Wird eine befristete Lizenz eingeräumt, wird das Produkt im „Istzustand“ ohne jegliche Gewährleistung zur Verfügung gestellt, gleich ob ausdrücklicher oder konkludenter Natur (siehe Abschnitt „Gewährleistungsausschluss“ oben), und Milestone stellt keine Unterstützung für das Produkt bereit. Es stehen keinerlei Rechtsmittel zur Verfügung, und Abschnitte wie „Behebung von Fehlern“ kommen nicht zur Anwendung. Im Rahmen der befristeten Lizenz kommt der Milestone-Produktlebenszyklus nicht zur Anwendung und wird nicht unterstützt. Alle in diesem EULA genannten Beschränkungen und Voraussetzungen für die Verwendung des Produkts gelten hingegen gleichermaßen für Ihre Nutzung des Produkts. Im Rahmen der befristeten Lizenz schließt Milestone ausdrücklich jegliche Verantwortung und Haftung für das Produkt auf jeglicher Grundlage aus. Wenn das Produkt von Milestone im Rahmen der befristeten Lizenz kostenfrei und ohne zugehörige Lizenzgebühr oder Zahlung bereitgestellt wird und sofern die Haftung von Milestone vertraglich nicht ausgeschlossen werden kann, ist die gesamte Haftung von Milestone – ob durch Vertragsbruch, unerlaubte Handlung oder Entschädigung – auf einen Betrag von höchstens 100 EUR (einhundert Euro) beschränkt.

Zusätzlich gilt: Handelt es sich bei dem Produkt um eine Betaversion des Milestone-Produkts, so ist diese ausschließlich für Test- und Evaluierungszwecke vorgesehen. Die Betaversion des Produkts ist unter Umständen nicht voll funktionsfähig, kann Fehler oder Design-Schwachstellen enthalten und ihre Verwendung kann zu unerwarteten Ergebnissen, dem Verlust von Daten, Projektverzögerungen oder anderen unvorhersehbaren Schäden oder Verlusten führen. Sie dürfen ein solches Produkt nach eigenem Ermessen und auf eigenes Risiko nutzen und nehmen dabei zur Kenntnis, dass das Produkt nicht für den Einsatz in Produktions- oder unternehmenskritischen Systemen vorgesehen ist. Milestone kann beschließen, eine Nicht-Betaversion des Produkts nicht zur Verfügung zu stellen. Milestone kann außerdem jederzeit und ohne Haftung die Entwicklung einstellen und die Verfügbarkeit des Produkts beenden.

Untersagte Nutzung. Das Produkt darf nur in Übereinstimmung mit den jeweils geltenden Gesetzen des Gerichtsstands, des Landes oder der Region angewendet und genutzt werden, in denen es verwendet wird. Dies beinhaltet (ohne darauf beschränkt zu sein) mögliche rechtliche Beschränkungen für das, was Sie mit dem Produkt überwachen und aufzeichnen, sowie für die Verwendung aufgezeichneter und anderer Daten in dem Produkt, sowie den Umgang mit den aufgezeichneten Daten nach dem Exportieren aus dem Produkt. Es liegt in Ihrer alleinigen Verantwortung – die des Benutzers des Produkts –, sich mit den entsprechenden Bestimmungen und Beschränkungen vertraut zu machen und sie einzuhalten. Milestone übernimmt keine Haftung für direkte oder indirekte Schäden bzw. Verluste, Folgeschäden oder Schadenersatzforderungen, die aus der Verletzung solcher Bestimmungen und/oder Beschränkungen resultieren.

Gemäß der Milestone Leitlinie für Menschenrechte, ist Milestone bemüht die Verursachung oder die Unterstützung von Menschenrechtsverletzungen zu vermeiden einschließlich Auswirkungen durch die Nutzung des Produkts. Diese EULA schließt deswegen die Nutzung des Produkts für Zwecke aus, die eine Verletzung darstellen bzw. in Verbindung mit einer Verletzung oder mit negativen Auswirkungen auf die Menschenrechte einer Einzelperson oder einer Gruppe von Menschen stehen wie sie in der Deklaration der Menschenrechte der Vereinten Nationen oder anderer international anerkannter regionaler Menschenrechtssysteme definiert sind, einschließlich der EU Charter der Grundrechte. Jede derartige Verwendung ist gemäß diesen Bedingungen und der Menschenrechtspolitik von Milestone untersagt, stellt eine materielle Verletzung dieses EULA dar, und führt auch ohne Vorankündigung zum sofortigen Verfall der Produktlizenz. Die weitere Verwendung des Produkts wird damit unrechtmäßig. Gleichermaßen behält sich Milestone das Recht vor die Produktlizenz ohne vorherige Benachrichtigung zu kündigen, wenn eine Menschenrechtsbeschwerde beim Milestone Beschwerdemechanismus eingereicht und durch den internen Milestone-Prozess für die Untersuchung von Menschenrechtsbeschwerden, -behandlung und -lösung begründet wurde.

Privatsphäre und Datenschutz. Sie erklären und bestätigen, dass Sie sich bewusst sind, dass das Produkt personenbezogene Daten erfasst und verarbeitet, die über eine beliebige Videoquelle, einschließlich Kameras, DVR, NVR oder auf andere Weise bereitgestellt werden, und dass Milestone und seine Lizenzgeber keine Verantwortung oder Haftung in Verbindung mit der Art und Weise übernehmen, in der solche personenbezogenen Daten als Input für das Produkt oder durch die Nutzung des Produkts erfasst und verarbeitet werden, dass Milestone und seine Lizenzgeber keine Verantwortung oder Haftung in Bezug auf Ihre Rechte und Pflichten gemäß geltendem Recht zur Erfassung, Verarbeitung oder Nutzung personenbezogener Daten übernehmen, einschließlich, aber nicht beschränkt auf die DSGVO und andere Gesetze zum Schutz der Privatsphäre und zum Datenschutz.

Copenhagen Clause. Milestone ist Unterzeichner des Copenhagen Letter, einer Erklärung zu Technologie, die eine offene und aufrichtige öffentliche Debatte über die Macht der Technologie anstrebt und wie Technologie die Lebensqualität verbessern kann. Als Unternehmen, das Technologie gestaltet, müssen wir uns Gedanken machen, wie Technologie die menschlichen Bedürfnisse und Verhaltensweisen beeinflusst, und wie wir den verantwortungsvollen Umgang mit Technologie fördern können. Wir rufen unsere Milestone Partner dazu auf, sich nicht nur an dieser wichtigen Debatte über den verantwortungsvollen Umgang mit Technologie zu beteiligen, sondern ebenso den Copenhagen Letter (Kopenhagen-Brief) auf https://www.milestonesys.com/company-news/milestone/csr/the-copenhagen-letter/ zu unterzeichnen und eine entsprechende Copenhagen Clause (Kopenhagen-Klausel) in ihre eigenen Vereinbarungen aufzunehmen.

Haftungsbeschränkung. Die Bestimmungen dieses Paragrafen gelten im gesamten gesetzlich zulässigen Umfang. In keinem Fall können Milestone oder seine Lieferanten für etwaige besondere, zufällige, indirekte oder Folgeschäden (einschließlich, aber nicht beschränkt auf Schäden durch entgangenen Geschäftsgewinn, Geschäftsunterbrechungen, Verlust von Geschäftsdaten oder sonstige finanzielle Verluste) oder für Produkthaftung (außer für Personenschäden) haftbar gemacht werden, die aus der Nutzung oder der Unmöglichkeit der Nutzung des Produkts oder der Bereitstellung oder Nichtbereitstellung angemessener Unterstützung entstehen, auch wenn Milestone von der Möglichkeit solcher Schäden in Kenntnis gesetzt wurde. Wenn kein vorsätzliches Fehlverhalten oder keine grobe Fahrlässigkeit vorliegt, beschränkt sich die Haftung von Milestone und seinen Lieferanten, ob bei Vertragsbruch, unerlaubter Handlung oder Entschädigung, auf den tatsächlich von Ihnen für das Produkt entrichteten Betrag.

Lizenzen von Drittanbietern. Die Produkte beinhalten das Recht, bestimmte Software von Drittanbietern zu verwenden, wie in der Dokumentation zum jeweiligen Produkt beschrieben. Sie sind berechtigt, die Produkte zu verwenden und in andere Drittanbieter-Software zu integrieren. Bei der Installation liegt es jedoch in Ihrer Verantwortung, die Nutzungsrechte für diese Drittanbieter-Software für Ihren Zweck zu ermitteln und einzuholen.

Milestone-Produktlebenszyklus. Ihre Nutzung des Produkts unterliegt dem Milestone-Produktlebenszyklus, vgl. https://www.milestonesys.com/support/tools-and-references/product-lifecycle/. Gemäß dem Milestone-Produktlebenszyklus und sofern hier nicht anderweitig für ein spezifisches Produkt definiert ist die Lizenzaktivierung 10 Jahre lang nach der allgemeinen Verfügbarkeit des Produkts verfügbar. Nach 10 Jahren ist es eventuell nicht mehr möglich, neue IP-Geräte hinzuzufügen und/oder IP-Geräte auszutauschen, die mit dem Produkt verbunden und darin aktiviert sind. Vorbehaltlich dieses Endbenutzer-Lizenzvertrags („EULA“) behalten Sie jedoch Ihr Recht, das Produkt zu nutzen, und das bestehende XProtect-System wird weiterhin funktionieren.

Verschiedenes. (a) Sie sind berechtigt, für Backup- oder Archivierungszwecke so viele Kopien des Produkts wie erforderlich zu erstellen, wobei Sie verpflichtet sind, alle Eigentumshinweise auf diesen Kopien zu vermerken. (b) Sie dürfen keine Kopien des Produkts an Dritte weitergeben, es unterlizenzieren oder anderweitig verfügbar machen, es sei denn, dies geschieht gemäß den ausdrücklichen Berechtigungen in diesem EULA. (c) Sie sind nicht berechtigt, Komponenten des Software-Produkts zu rückentwickeln, zu dekompilieren, zu verändern oder zu disassemblieren, außer in dem gesetzlich zugelassenen Umfang, der vertraglich nicht ausgeschlossen werden kann. (d) Dieser EULA ist nicht übertragbar, ausgenommen bei einer Übertragung von Geschäftsanteilen, die das Milestone-Produkt umfassen. Sie können all Ihre Rechte an diesem Produkt dauerhaft abtreten, vorausgesetzt, dass der Abtretungsempfänger den Bedingungen dieses EULA zustimmt.

Exportregelung. Der Umfang Ihrer Rechte und die im Rahmen dieses EULA gewährte Lizenz unterliegen ggf. geltenden Sanktionen, Exportkontrollvorschriften oder sonstigen, den Handel beschränkenden Maßnahmen, die von den Vereinten Nationen, den Vereinigten Staaten von Amerika, dem Vereinigten Königreich, Dänemark, der Europäischen Union und/oder anderen relevanten Ländern verhängt werden. Sie sind nicht berechtigt, das Produkt zu nutzen oder die hierin gewährten Lizenzrechte auszuüben, wenn eine solche Nutzung durch geltende Sanktionen, Exportkontrollvorschriften oder andere handelsbeschränkende Maßnahmen verboten ist oder diesen unterliegt. Ohne die Allgemeingültigkeit des Vorstehenden einzuschränken erklären Sie, dass Sie auf keiner von der US-Regierung, der EU oder einer anderen relevanten Regierung herausgegebenen Liste mit natürlichen oder juristischen Personen stehen, denen der Erhalt von Exporten untersagt ist. Eine Verwendung des Produkts, die gegen Exportembargos, -verbote oder -beschränkungen der EU, des Vereinigten Königreichs und/oder der USA verstößt, dürfen Sie Ihren Mitarbeitern und Beratern nicht gestatten. Ferner erklären Sie und sichern zu, dafür zu sorgen, dass es all Ihren Mitarbeitern und Beratern, die das Produkt verwenden, untersagt ist, in einem Land ansässig zu sein oder aus einem Land heraus zu agieren, das Sanktionen des Office of Foreign Assets Control (OFAC) des US-Finanzministeriums oder des Sicherheitsrats der Vereinten Nationen unterliegt.

Milestone ist nicht verpflichtet, Milestone-Produkte zu lizenzieren und bereitzustellen, wenn dies gemäß den geltenden Sanktions- oder Exportkontrollgesetzen oder -vorschriften verboten wäre. Milestone ist nicht verpflichtet, diesen Lizenzvertrag zu erfüllen, wenn diese Erfüllung durch Hindernisse aufgrund von nationalen oder internationalen Außenhandels- oder Zollbestimmungen, Embargos oder anderen Sanktionen verhindert wird.

Kündigung. Ohne Beeinträchtigung sonstiger Rechte kann Milestone diesen EULA kündigen, wenn Sie gegen dessen Bestimmungen verstoßen und/oder wenn Sie anwendbare Exportkontrollvorschriften nicht einhalten oder, damit Milestone diese einhalten kann, teilweise oder vollständig kündigen, ohne dass Sie das Recht haben, Schadensersatz, Rückerstattungen oder eine Entschädigung zu fordern oder eine Gegenkündigung auszusprechen. In diesem Fall müssen Sie die Nutzung des Produkts umgehend einstellen, alle Produktkopien vernichten und die Vernichtung schriftlich bescheinigen.

Salvatorische Klausel. Falls ein Gericht oder eine zuständige Regierungsbehörde eine Bestimmung dieses EULA für ungültig, nicht einhaltbar oder nur beschränkt einhaltbar einstuft, bleibt dieser vorliegende EULA vollständig mit den betreffenden oder derartig eingeschränkten Bestimmungen in Kraft.

Gesamte Vereinbarung. Dieser EULA stellt die gesamte und vollständige Vereinbarung zwischen den Parteien bezüglich des Gegenstands dieses EULA dar, wobei alle nicht erneut hier aufgeführten bisherigen mündlichen oder schriftlichen Abmachungen und Zusicherungen, alle implizierten Gewährleistungen, gewohnheitsrechtlichen und gewöhnlichen gesetzlichen Regelungen hiermit von der Geltung zwischen den Parteien ausgeschlossen werden.

Zugrunde liegendes Recht. Dieser EULA und der Vertrag zwischen Ihnen und Milestone unterliegen der Gesetzgebung von Dänemark. Alleiniger Gerichtsstand für beide Parteien ist der Gerichtshof in Kopenhagen, Dänemark.

Lizenz-, Installations- und Nutzungsbedingungen und -einschränkungen.Milestone XProtect VMS-Produkte unterstützen IP-Geräte. IP-Geräte können Kameras, Encoder, Videodienste oder andere Gerätetypen mit oder ohne Videofunktion sein, die über eine einzigartige IP-Adresse in der verwendeten Produktinstallation angesteuert werden. Für IP-Geräte mit einer IP-Adresse, die in der Liste der unterstützten Geräte von Milestone aufgeführt sind, wird eine Gerätelizenz pro IP-Gerät benötigt, das mit dem Produkt verbunden und darin aktiviert ist. Für IP-Geräte mit mehr als einer aktivierten IP-Adresse ist die Anzahl der benötigten Gerätelizenzen in der Geräteunterstützungsliste von Milestone beschrieben. Bitte prüfen Sie die unterstützten IP-Geräte, die erforderliche Anzahl von Lizenzen und die Ausnahmen in der Liste der unterstützten Geräte unter https://www.milestonesys.com/support/software/supported-devices.Es gelten die folgenden Ausnahmen für IP-Geräte mit einer IP-Adresse: (i) für IP-Geräte, die über Zwischengeräte oder -Systeme mit dem Produkt verbunden sind, wird eine Gerätelizenz pro aktiviertem Videokanal benötigt; (ii) IP-Geräte mit mehreren Linsen oder Sensoren und Encoder, die mit bis zu 16 Analogkameras verbunden sind, gelten als nur ein IP-Gerät; (iii) für Encoder mit mehr als 16 Kanälen wird eine Gerätelizenz pro aktiviertem Videokanal benötigt. Es können weitere spezifische Ausnahmen gelten, Einzelheiten dazu finden Sie in der Geräteunterstützungsliste von Milestone.

Für IP-Geräte, die nicht in der Liste der von Milestone unterstützten Geräte aufgeführt sind, und für den Video Processing Service Driver, der im Milestone MIP SDK enthalten ist, gilt Folgendes: (i) IP-Geräte mit Videofunktionen benötigen eine Gerätelizenz pro aktiviertem Videokanal, (ii) IP-Geräte ohne Videofunktionen benötigen eine Gerätelizenz pro IP-Adresse. Für spezifische XProtect® VMS-Produkte können besondere Lizenzbedingungen gelten, die Sie in den spezifischen Geschäftsbedingungen der Produkte nachlesen können, und (iii) der Video Processing Service Driver benötigt beim Empfang von Video von einem angeschlossenen Videoverarbeitungssystem oder einem direkt oder indirekt angeschlossenen Gerät eine Gerätelizenz pro aktiviertem Videokanal.

Erfassung und Registrierung von Systemdaten. Mit der Aktivierung der Lizenzen für dieses Produkt erklären Sie sich damit einverstanden, dass Kernsystemdaten (z. B. die Anzahl der genutzten Geräte) in das Lizenzsystem von Milestone übertragen und dort gespeichert werden. Es wird ein eindeutiger Schlüssel für jede Lizenz und jedes an das System angeschlossene Gerät generiert. Milestone erfasst die MAC-Adressen der angeschlossenen Geräte sowie die Anzahl der registrierten und gelöschten Kameras, um sicherzustellen, dass die Lizenzen in Übereinstimmung mit dem EULA genutzt werden. Milestone registriert auch die IP-Adresse des Servers, auf dem die Lizenz aktiviert wird. Bei Systemen, die die Push-Benachrichtigungen von Milestone nutzen, verfolgt Milestone die global eindeutige Kennung (Globally Unique Identifier, „GUID“) des mobilen Servers und der Mobilgeräte, die zum Empfang der Benachrichtigungen eingegeben werden, sowie der E-Mail-Adressen, die zum Empfang der Push-Benachrichtigungen registriert werden. Wenn Sie jegliche Plug-ins oder andere integrierten Anwendungen mit dem Produkt verwenden, werden grundlegende Daten über diese Anwendungen ebenso gesammelt und an Milestone übermittelt, wenn die Lizenzen für das Produkt aktiviert werden. Die Daten zu den integrierten Anwendungen umfassen Informationen wie den Herstellernamen, den Namen und die Version der Integration. Die Erfassung und Speicherung der Systemdaten dient Milestone und seinen Partnern zur Umsetzung des Lizenzmanagements der Milestone-Produkte. Für integrierte Anwendungen verwendet Milestone gesammelte Daten für statistische und analytische Zwecke. Sie werden die an den Onlinedienst übertragenen Daten nicht verändern, modifizieren oder auf andere Art manipulieren.

Endnutzerdaten, Allgemeine Datenschutzverordnung.Beim Kauf von Lizenzen für das Produkt über unsere Distributoren werden die geschäftlichen Informationen Ihres Unternehmens bei Milestone registriert. Sie müssen Milestone gegebenenfalls auch Informationen zu Ansprechpartnern in Form von Name, E-Mail-Adresse und Telefonnummer mitteilen. Milestone behält sich das Recht vor, Ihre geschäftlichen Informationen und Kontaktdaten über Milestone-Vertriebspartner, auch im Rahmen des Bestell- und Kaufprozesses für das/die Produkt(e), zu erfassen. Es liegt in Ihrer Verantwortung, korrekte und aktuelle Daten zur Verfügung zu stellen und alle relevanten Kontaktpersonen (z. B. Ihre Mitarbeiter) über die Erhebung und Übermittlung ihrer Daten an Milestone zu informieren, auch wenn die Daten über Vertriebspartner von Milestone erhoben werden. Das Produkt kann nicht erworben werden und folglich kann Ihnen die Lizenz nicht gewährt werden, solange die erforderlichen Daten, gegebenenfalls auch über Milestone Vertriebspartner, nicht zur Verfügung gestellt werden und Milestone nicht in der Lage ist, Sie als Endbenutzer und Lizenznehmer des Produkts gemäß der Verifizierungs- und Screening-Richtlinie von Milestone zu verifizieren. Der Zweck der Erfassung und Pflege solcher Informationen besteht darin, Milestone zu ermöglichen, Sie als Endbenutzer und Lizenznehmer des Produkts u. a. zum Zweck der Einhaltung geltender gesetzlicher Bestimmungen, z. B. der Exportkontrolle, und der Grundsätze von Milestone für eine verantwortungsvolle Technologie, zu verifizieren sowie Milestone und seine Vertriebspartner in die Lage zu versetzen, das Lizenzmanagement durchzusetzen, die Milestone Partnerprogramme und die Due-Diligence-Prüfung im Bereich der Menschenrechte durchzuführen sowie Wartung und Support für das Produkt zu leisten, unter anderem für den Zweck von Milestone Care. Milestone ist Datenverantwortlicher in Bezug auf die im Rahmen dieser Vereinbarung erfassten und verwendeten personenbezogenen Daten. Milestone behandelt Ihre personenbezogenen Daten entsprechend unserer Datenschutzerklärung (https://www.milestonesys.com/privacy-policy/).

Installation und Nutzung – Für das Produkt XProtect Corporate gilt Folgendes:

Milestone gewährt Ihnen hiermit das Recht, das Produkt gemäß den folgenden Bedingungen und Beschränkungen zu installieren und zu nutzen:

Die Produktkomponente „Management-Server“ darf auf unbegrenzt vielen Rechnern installiert werden, die als Management-Server und mögliche geclusterte Management-Failover-Server pro Softwarelizenzcode bezeichnet werden.
Die „Aufzeichnungsserver“-Komponente des Produkts darf auf einer unbegrenzten Anzahl von Rechnern installiert werden, die als Aufzeichnungsserver und Failover-Aufzeichnungsserver bezeichnet werden. Die Aufzeichnungsserver und Failover-Aufzeichnungsserver sind durch den oben als Management-Server bezeichneten Rechner zu verwalten.
Das Produkt darf nur auf Rechnern mit Betriebssystemen verwendet werden, für die das Produkt entwickelt wurde.
Mit der Installation des Produkts erklären Sie auch, dass Sie Microsofts Softwarelizenzbestimmungen für Microsoft SQL Server 2022 Express Edition (https://www.microsoft.com/en-us/sql-server/sql-server-downloads) einhalten werden
Das Produkt darf mit den in den Absätzen 9 und 10 unten angegebenen Ausnahmen nur von Ihnen, Ihren Mitarbeitern oder anderen, für Sie tätigen Personen betrieben werden, unabhängig davon, ob dies in direkter oder indirekter Form der Fall ist, einschließlich der Sachverhalte, in denen Vollzugsbehörden von Ihnen zur Untersuchung von Tatbeständen herangezogen werden. Das Produkt darf daher beispielsweise nicht von Ihren Kunden oder anderen Dritten betrieben oder anderweitig verwendet werden, mit Ausnahme Ihrer verbundenen Unternehmen wie oben beschrieben, vgl. allgemeine Bedingungen im Abschnitt „Verbundene Unternehmen“ in diesem EULA.
Das Produkt darf nur zur Überwachung von Immobilien oder Grundstücken, die Ihnen oder Ihren verbundenen Unternehmen gehören oder Ihrer bzw. derer Kontrolle unterliegen, bzw. von Immobilien oder Grundstücken verwendet werden, die Ihnen nicht gehören oder die nicht Ihrer Kontrolle unterliegen, wenn Sie die erforderlichen rechtlichen Genehmigungen dazu erworben haben und unterhalten.
Bei Verwendung von Milestone Federated Architecture darf das Produkt u. U. ohne zusätzliche Lizenzierung genutzt werden, um andere XProtect Corporate oder XProtect Expert Systeme einzubinden, vorausgesetzt, das Federated System ist rechtmäßig lizenziert.
Bei Verwendung von XProtect Interconnect kann das Produkt zur Anbindung von Milestone Videomanagementsoftware-Produkten und anderer von Milestone zugelassener Produkte (eine aktuelle Übersicht der kompatiblen Produkte finden Sie auf der Milestone Webseite https://www.milestonesys.com/products/expand-your-solution/milestone-extensions/interconnect/milestone-interconnect-compatibility/) verwendet werden, die Ihnen oder einem Drittanbieter gehören. Die Verwendung von XProtect Interconnect unterliegt den folgenden Bedingungen: a) Jedes Verbundnetz muss über volle, rechtmäßig erworbene Lizenzrechte verfügen; b) Sie haben durch Kauf oder Subskription rechtmäßige Lizenzgenehmigungen für die XProtect Interconnect-Kameras erworben, die in dem XProtect Corporate-System zugänglich sein sollen.
Das Produkt darf aus der Ferne durch Dritte mithilfe von Milestone Federated Architecture gesteuert und verwaltet werden, sofern Sie die erforderliche, gesetzliche Berechtigung zur Durchführung der Überwachung erhalten und vorliegen haben.
Das Produkt darf durch Sie oder Dritte aus der Ferne gesteuert und mithilfe von XProtect Interconnect verwaltet werden, sofern a) Sie oder der Dritte durch Kauf oder Subskription über rechtmäßig erworbene Lizenzen für die XProtect Interconnect-Kameras verfügen, die in ein zentrales XProtect Corporate-System eingebunden werden sollen, und b) Sie die erforderliche, gesetzliche Berechtigung zur Durchführung von Überwachungen erhalten und vorliegen haben.
Wird das Produkt mit Kartenanwendungen Dritter (wie beispielsweise Google Maps, Microsoft^®Bing^TM Maps oder OpenStreetMap) verwendet, liegt es in Ihrer alleinigen Verantwortung sicherzustellen, dass Sie über die erforderlichen gesetzlichen Rechte zur Nutzung solcher Kartenanwendungen verfügen, und dass die Nutzung entsprechend den Nutzungsbedingungen der verwendeten Drittanbieter-Anwendungen erfolgt.
Sie können das Produkt auch mit dem Milestone Map Service verwenden, der Ihnen Zugriff auf Daten von OpenStreetMap (http://www.openstreetmap.org)© gewährt. Diese Daten werden Ihnen im „Ist-Zustand“ bereitgestellt, einschließlich bestmöglicher Verfügbarkeit und ohne jegliche Gewähr, ausdrücklich oder impliziert, im Hinblick auf Titel, Genauigkeit, Fehlerfreiheit, Eignung für einen Zweck oder anderweitig. Jegliche Haftung für Schäden, die aus der Nutzung des Milestone Map Service entstehen, wird ausgeschlossen.
Sie nehmen die Voraussetzung zur Kenntnis, dass das Produkt nur mit so vielen IP-Geräten verwendet werden darf, wie Gerätelizenzen von Ihnen gemäß der im Endbenutzer-Lizenzvertrag unter „Lizenz, Installation, Nutzungsbedingungen und -beschränkungen“ festgelegten Regeln erworben wurden.

Milestone XProtect^®Expert

Installation und Nutzung – Für das Produkt XProtect Expert gilt Folgendes:

Das Produkt darf daher beispielsweise nicht von Ihren Kunden oder anderen Dritten betrieben oder anderweitig verwendet werden, mit Ausnahme Ihrer verbundenen Unternehmen wie oben beschrieben, vgl. allgemeine Bedingungen im Abschnitt „Verbundene Unternehmen“ in diesem EULA.
Das Produkt darf mit den im Absatz 7 unten angegebenen Ausnahmen aus der Ferne durch Dritte mithilfe von Milestone Federated Architecture gesteuert und verwaltet werden, sofern Sie die erforderliche, gesetzliche Berechtigung zur Durchführung der Überwachung erhalten und vorliegen haben.
Das Produkt darf durch Sie oder Dritte aus der Ferne gesteuert und mithilfe von XProtect Interconnect verwaltet werden, sofern a) Sie oder der Dritte durch Kauf oder Subskription über rechtmäßig erworbene Lizenzen für die XProtect Interconnect-Kameras verfügen, die in ein zentrales XProtect Corporate-System eingebunden werden sollen, und b) Sie die erforderliche, gesetzliche Berechtigung zur Durchführung von Überwachungen erhalten und vorliegen haben.

Installation und Nutzung – Für das ProduktXProtect Express+ gilt Folgendes:

Die Produktkomponente „Management-Server“ darf pro Softwarelizenzcode auf einem (1) Rechner (oder einem Rechnercluster) installiert werden, bezeichnet als Management-Server und möglicher geclusterter Management-Failover-Server pro Softwarelizenzcode.
Die Produktkomponente „Aufzeichnungsserver“ darf auf einem (1) Rechner installiert werden, bezeichnet als Aufzeichnungsserver. Der Aufzeichnungsserver muss von dem oben festgelegten Management-Server verwaltet werden.
Das Produkt darf nur auf Rechnern mit Betriebssystemen verwendet werden, für die das Produkt entwickelt wurde.
Mit der Installation des Produkts erklären Sie auch, dass Sie Microsofts Softwarelizenzbestimmungen für Microsoft SQL Server 2022 Express Edition (https://www.microsoft.com/en-us/sql-server/sql-server-downloads) einhalten werden.
Das Produkt darf mit den in Absatz 6 unten angegebenen Ausnahmen nur von Ihnen, Ihren Mitarbeitern oder anderen, für Sie tätigen Personen betrieben werden, unabhängig davon, ob dies in direkter oder indirekter Form der Fall ist, einschließlich der Sachverhalte, in denen Vollzugsbehörden von Ihnen zur Untersuchung von Tatbeständen herangezogen werden. Das Produkt darf deshalb beispielsweise keinesfalls von Ihren Kunden oder anderen Dritten betrieben oder verwendet werden.
Das Produkt darf durch Sie oder Dritte aus der Ferne gesteuert und mithilfe von XProtect Interconnect verwaltet werden, sofern a) Sie oder der Dritte durch Kauf oder Subskription über rechtmäßig erworbene Lizenzen für die XProtect Interconnect-Kameras verfügen, die in ein zentrales Milestone XProtect Corporate-System eingebunden werden sollen, und b) Sie die erforderliche, gesetzliche Berechtigung zur Durchführung von Überwachungen erhalten und vorliegen haben.

Wenn das Produkt gemeinsam mit offiziell kompatiblen Milestone Produkten eingesetzt wird, kann es auch gemeinsam mit Produkten/Komponenten Dritter, die aus dem Milestone Integration-Platform-Software-Development-Kit entwickelt wurden, eingesetzt werden.
Die Nutzung des Produkts ist durch den Endbenutzer-Lizenzvertrag des verwendeten XProtect VMS-Produkts weiterhin beschränkt.

Das Produkt darf nur auf Rechnern mit Betriebssystemen verwendet werden, für die das Produkt entwickelt wurde.
Das Produkt darf nur in Verbindung mit einem rechtmäßig lizenzierten XProtect VMS-Produkt oder Milestone Husky NVR genutzt werden.
Die Verwendung des XProtect Mobile-Server ist auch durch den Endbenutzer-Lizenzvertrag für das Milestone XProtect VMS-Produkt oder Milestone Husky NVR beschränkt, mit dem es zusammen benutzt wird.
Durch die Annahme des vorliegenden EULA stimmen Sie den Bedingungen im Auftrag der Endbenutzer zu, deren Verbindung zum Milestone XProtect Mobile-Server im Rahmen der Verwendung von XProtect Mobile und XProtect Web Client Sie gestatten.
Für die Nutzung von Smart Connect, Video Push und Mobile Push Benachrichtigungen sind Dienste Dritter und eine Netzwerkverbindung erforderlich, u. a. Benachrichtigungsdienste und drahtlose Kommunikationsnetzwerke. Zusätzlich zu den im vorherigen Abschnitt „Haftungsbeschränkung“ festgelegten allgemeinen Haftungsbeschränkungen übernimmt Milestone keinerlei Haftung, die sich aus der Nutzung oder der Unmöglichkeit der Nutzung dieser Funktionen ergibt, die direkt oder indirekt durch ein Netzwerk oder eine Servicekomponente einer Drittfirma zur Bereitstellung dieser Funktionen verursacht wird.
Die Nutzung von Smart Connect- und Mobile Push-Benachrichtigungen erfolgt vorbehaltlich eines gültigen Milestone Care Plus-Servicevertrags. Milestone übernimmt keine Haftung für mögliche Serviceunterbrechungen, die sich aus einer nicht rechtzeitig veranlassten Erneuerung des Milestone Care Plus-Service ergeben.
Für die Nutzung des XProtect Mobile Service können zusätzliche Kosten von Drittanbietern anfallen, unter anderem Kommunikationskosten und Servicesubskriptionen von Drittanbietern.

Milestone XProtect Erweiterungen und Komponenten

Milestone XProtect^® Access

Installation und Nutzung – Für das Produkt XProtect Access gilt Folgendes:

Milestone gewährt Ihnen hiermit das Recht, das Produkt gemäß den folgenden Bedingungen und Beschränkungen zu installieren und zu nutzen:

Das Produkt darf nur zusammen mit dem XProtect VMS-Produkt (jedes XProtect VMS-Produkt außer XProtect Essential+) oder genehmigten OEM-Versionen dieser Produkte oder dem Milestone Husky NVR-Produkt verwendet werden, für die durch Kauf oder Subskription die Lizenzgenehmigungen erworben wurden.
Das Produkt darf von einer unbegrenzten Anzahl von XProtect Management Applications/XProtect Management Clients und XProtect Smart Clients betrieben werden, die mit dem XProtect VMS-System oder dem Milestone Husky NVR verbunden sind.
Zur Erleichterung der Kommunikation mit Drittpartei-Systemen kann eine unbegrenzte Anzahl an XProtect Access Plug-ins auf dem Event Server im XProtect VMS-System oder der Milestone Husky NVR-Einheit installiert werden. Zusätzlich zu den im vorherigen Abschnitt „Haftungsbeschränkung“ festgelegten allgemeinen Haftungsbeschränkungen übernimmt Milestone keinerlei Haftung, die sich aus der Nutzung oder der Unmöglichkeit der Produktnutzung ergibt, wenn die Plug-ins von einem anderen Unternehmen als Milestone bereitgestellt wurden, oder wenn das von Milestone bereitgestellte XProtect Access Plug-in zusammen mit einem Produkt oder einer Version eines Produkts von Drittparteien verwendet wird, für das bzw. die es nicht vorgesehen und nicht validiert ist. Darüber hinaus übernimmt Milestone keinerlei Haftung, die sich aus der Nutzung oder der Unmöglichkeit der Produktnutzung infolge von Fehlern in Produkten von Dritten ergibt, die zusammen mit XProtect Access verwendet werden.
Das Produkt darf nur in Verbindung mit offiziell kompatiblen XProtect VMS Produkten und Milestone Husky NVR-Geräten genutzt werden.
XProtect Access darf nur mit so vielen Türen verwendet werden, wie Sie Tür-Lizenzen des Produkts mit dem Softwarelizenzcode erworben und registriert haben.

Milestone XProtect^® LPR

Installation und Nutzung – Für das Produkt XProtect LPR gilt Folgendes:

Milestone gewährt Ihnen hiermit das Recht, das Produkt gemäß den folgenden Bedingungen und Beschränkungen zu installieren und zu nutzen:

Das Produkt darf nur zusammen mit dem XProtect VMS-Produkt (jedes XProtect VMS-Produkt außer XProtect Essential+) oder genehmigten OEM-Versionen dieser Produkte oder der Milestone Husky NVR-Einheit (jegliches Milestone Husky NVR-Produkt) verwendet werden, für die durch Kauf oder Subskription die Lizenzgenehmigungen erworben wurden.
XProtect LPR darf auf einer unbegrenzten Anzahl von Rechnern installiert werden, die als XProtect LPR Server pro Softwarelizenzcode bezeichnet werden.
Das Produkt darf nur auf Rechnern mit Betriebssystemen verwendet werden, für die das Produkt entwickelt wurde.
Das Produkt darf nur in Verbindung mit offiziell kompatiblen XProtect VMS Produkten und Milestone Husky NVR-Geräten genutzt werden. Wenn das Produkt gemeinsam mit offiziell kompatiblen Milestone Produkten eingesetzt wird, kann es auch gemeinsam mit Produkten/Komponenten Dritter, die aus dem Milestone Integration-Platform-Software-Development-Kit entwickelt wurden, eingesetzt werden.
Das XProtect LPR Plug-in darf auf einer unbegrenzten Anzahl von Rechnern installiert werden, die als Event Server oder Aufzeichnungsserver bezeichnet werden oder die Anwendung Management Client ausführen.
Das XProtect LPR darf nur mit der Anzahl an Kameras verwendet werden, die Sie erworben haben und für die registrierten LPR Kameralizenzen des Produkts, für das der Softwarelizenzcode gilt.
Die XProtect LPR License Plate Libraries (Datenbanken zur Nummernschilderkennung) dürfen auf einer unbegrenzten Anzahl von XProtect LPR Servern eingesetzt werden.
Das XProtect LPR darf nur mit der XProtect LPR Datenbank zur Nummernschilderkennung verwendet werden, die Sie erworben haben, und für die der Softwarelizenzcode gilt.

Milestone XProtect^® Management Server Failover

Installation und Nutzung – Für das Produkt XProtect Management Server Failover gilt Folgendes:

Milestone gewährt Ihnen hiermit das Recht, das Produkt gemäß den folgenden Bedingungen und Beschränkungen zu installieren und zu nutzen:

Das Produkt darf nur in Verbindung mit Milestone XProtect Corporate Produkten und Milestone XProtect Expert, insbesondere ab der Version R1 2022 dieser Milestone XProtect VMS Produkte, abhängig vom für solche Milestone XProtect VMS Produkte geltenden Milestone EULA, verwendet werden.
Das Produkt darf jeweils nur auf einem festgelegten System ausschließlich für Ihre eigenen internen Geschäftszwecke verwendet, angezeigt und ausgeführt werden. Das „designierte System“ bezeichnet das designierte Computersystem, auf dem Sie das Produkt zum ersten Mal ausführen und für das eine Lizenz bereitgestellt wird. Das Produkt darf nur auf dem vorgesehenen Computersystem verwendet werden, auf dem das Betriebssystem läuft, für das das Produkt entwickelt wurde.
Wenn Sie das Produkt aufgrund von Umständen, die sich Ihrer Kontrolle entziehen, vorübergehend nicht auf dem festgelegten System verwenden können, können Sie das Produkt vorübergehend auf einem anderen festgelegten System („Backup-System“) verwenden. Zu diesem Zweck wird von Milestone eine vorübergehende Lizenz ausgestellt, sofern Sie dies Milestone im Voraus schriftlich mitteilen und alle für die Erteilung einer solchen vorübergehenden Lizenz erforderlichen Informationen übermitteln. Sie sind verpflichtet, alle Kopien des Produkts auf allen Backup-Systemen zu vernichten, sobald der vorübergehende Ausfall des festgelegten Systems behoben ist, und Milestone diese Vernichtung innerhalb von drei Werktagen schriftlich zu bescheinigen.
Sie dürfen das Produkt dauerhaft auf ein anderes festgelegtes System übertragen („festgelegtes Ersatz-System“), vorausgesetzt, dass alle Kopien des Produkts vom ursprünglichen festgelegten System entfernt und vernichtet werden und Sie Milestone diese Vernichtung innerhalb von drei Werktagen schriftlich bescheinigen. Eine neue Lizenz wird von Milestone zur Nutzung auf dem festgelegten Ersatz-System ausgestellt, sofern Sie dies Milestone im Voraus schriftlich mitteilen und alle für die Erteilung einer solchen neuen Lizenz erforderlichen Informationen übermitteln.
Milestone schließt ausdrücklich jegliche Gewährleistung und Verantwortung für Verluste aus, einschließlich des Verlusts von Daten und/oder der Konfiguration des Milestone XProtect-Systems, die durch Ihre Verwendung des Produkts oder durch Störungen des Produkts verursacht werden.
Die Nutzung des Produkts unterliegt außerdem den für die verwendete Version des Milestone XProtect VMS-Produkts geltenden Bestimmungen des Milestone EULA.
Um das Produkt nutzen zu können, müssen Sie eine XProtect Management Server Failover Lizenz erwerben. Diese Lizenz muss sowohl für den primären Management-Server als auch für den sekundären Management-Server Ihres festgelegten Systems erworben werden.

Milestone XProtect^® Hospital Assist

Installation und Verwendung –Für das ProduktMilestone XProtect Hospital Assist gilt:

Milestone gewährt Ihnen hiermit das Recht, das Produkt gemäß den folgenden Bedingungen und Beschränkungen zu installieren und zu nutzen:

Das Produkt besteht aus den folgenden Funktionen: Sturzerkennung, Datenanonymisierung, Kurznotiz und Multiroom Audio. Diese Funktionen dürfen Sie gemäß den Bedingungen dieses EULA und der erworbenen Lizenz, wie unten in diesem Abschnitt definiert, nutzen. Die Funktionen Haftnotiz, Datenanonymisierung und Multiroom-Audio sind Teil des XProtect VMS-Installationsprogramms, das Sie anwenden. Die Sturzerkennungsfunktion hingegen muss über separate Installationsdateien installiert werden.
Das Produkt darf nur mit Milestone XProtect VMS-Produkten (mit Ausnahme von Milestone XProtect Essential+) verwendet werden, für die Sie eine separate Lizenz erworben haben, insbesondere mit den 2024-Versionen der XProtect VMS-Produkte und höher.
Das Produkt darf nur auf Rechnern mit Betriebssystemen verwendet werden, für die das Produkt entwickelt wurde.
Um das Produkt zu verwenden, müssen Sie für jeden aktivierten Videokanal eine XProtect Hospital Assist-Lizenz erwerben.
Sie nehmen zur Kenntnis, dass das Produkt im „Ist-Zustand“ bereitgestellt wird und kein zugelassenes Gesundheitsprodukt oder medizinisches Gerät ist und nicht als Ersatz für die Überwachung des Patienten oder als Ersatz für die medizinische Versorgung dienen kann. Milestone übernimmt keine Garantie, weder ausdrücklich noch stillschweigend, dass dieses Produkt einen Sturz des Patienten erkennen wird. Sie erkennen an und akzeptieren, dass das Produkt nur als sekundäres Hilfsmittel zu betrachten ist und daher nicht der grundlegende oder alleinige Grund für Ihre Entscheidungsfindung sein kann. Alle Schlussfolgerungen, die aus der Analyse der vom Produkt bereitgestellten Informationen gezogen werden, müssen jederzeit mit der gebotenen professionellen Sorgfalt überprüft werden, ebenso wie die Schlussfolgerungen, die aus Informationen aus anderen Quellen gezogen werden. Für die von Ihnen gezogenen Schlussfolgerungen und die von Ihnen ergriffenen Maßnahmen sind allein Sie verantwortlich.
Sie erkennen an und akzeptieren, dass das Produkt nur in einer begrenzten Krankenhausumgebung getestet wurde. Obwohl alle Anstrengungen unternommen wurden, um die Funktionalität in diesem Umfeld sicherzustellen, ist es wichtig zu beachten, dass die IT-Infrastruktur und andere Bedingungen in den Krankenhausumgebungen variieren können. Daher kann die Leistung des Produkts durch unterschiedliche Krankenhausumgebungen beeinträchtigt werden.
Sofern nicht ausdrücklich in diesem EULA gestattet, erklären Sie sich damit einverstanden, das Produkt nicht mit Systemen oder Anwendungen zu verwenden, bei denen davon ausgegangen werden kann, dass die Verwendung oder der Ausfall eines solchen Systems oder einer solchen Anwendung zu Verletzungen, Tod oder Verlusten führen kann, einschließlich, aber nicht beschränkt auf die Verwendung in Verbindung mit medizinischen, lebenserhaltenden oder anderen lebensentscheidenden Anwendungen.
Die Nutzung des Produkts unterliegt außerdem den für die verwendete Version des Milestone XProtect VMS-Produkts geltenden Bestimmungen des Milestone EULA.

Milestone XProtect^® Incident Manager

Nutzung – Für das Produkt Milestone XProtect Incident Manager gilt:

Das Produkt darf nur in Verbindung mit den folgenden Milestone XProtect VMS-Produkten oder zugelassenen OEM-Versionen dieser Produkte verwendet werden: Milestone XProtect Corporate Version 2022 R2 oder spätere Versionen und Milestone XProtect Expert, Milestone XProtect Professional+ und Milestone XProtect Express+, die Version 2022 R3 oder spätere Versionen dieser Produkte.
Um das Produkt nutzen zu können, müssen Sie eine XProtect Incident Manager Lizenz erwerben. Wenn Sie Milestone XProtect Corporate Version 2022 R2 oder höher verwenden, ist die Lizenz für dieses Produkt in der Lizenz für Ihr Milestone XProtect Corporate Produkt enthalten und wird zusammen mit dieser aktiviert.
Die Nutzung des Produkts unterliegt außerdem den für die verwendete Version des Milestone XProtect VMS-Produkts geltenden Bestimmungen des Milestone EULA oder den Bestimmungen eines für die verwendete OEM-Version des Milestone Produkts geltenden Lizenzvertrags.

Milestone XProtect^® Transact

Installation und Verwendung – Für das Produkt XProtect Transact gilt Folgendes:

Das Produkt darf nur mit der Anzahl an Quellverbindungen verwendet werden, die Sie erworben und für die Sie Verbindungslizenzen unter dem vom designierten XProtect Transact verwendeten Softwarelizenzcode registriert haben.

Milestone XProtect^® Smart Wall

Verwendung -- Für das Produkt Milestone XProtect Smart Wall gilt Folgendes: Milestone gewährt Ihnen hiermit das Recht, das Produkt gemäß den folgenden Bedingungen und Beschränkungen zu nutzen:

Das Produkt darf ohne zusätzliche Lizenzierung auf XProtect Corporate-Systemen verwendet werden. Das Produkt darf zusammen mit XProtect Expert verwendet werden, für das eine XProtect Smart Wall-Basislizenz rechtmäßig erworben wurde.
Das Produkt darf von einer unbegrenzten Anzahl von XProtect Management Clients und XProtect Smart Clients betrieben werden, die mit dem XProtect Corporate-System verbunden sind.
Die Nutzung des Produkts ist auch durch den Endbenutzer-Lizenzvertrag des XProtect VMS-Produkts weiterhin beschränkt.

Milestone XProtect^® 360º Split View Plug-in

Installation und Nutzung – Für dasProdukt Milestone XProtect 360º Split View Plug-in gilt Folgendes:

Milestone lehnt ausdrücklich jegliche Gewährleistung und Verantwortung für jegliche Unterbrechung des Milestone XProtect-Systems sowie für jegliche Verluste, einschließlich des Verlusts von Daten und/oder der Konfiguration des Milestone XProtect-Systems, ab, die durch Ihre Nutzung des Produkts oder durch die Unterbrechung des Produkts verursacht werden.

Installation und Nutzung – Für die Baureihe der Milestone Husky IVO™-Videoüberwachungsgeräte (deckt folgende Produkte ab: Milestone Husky IVO 150D, Milestone Husky IVO 350T, Milestone Husky IVO 350R, Milestone Husky IVO 700R, Milestone Husky IVO 1000R und Milestone Husky IVO 1800R, einschließlich aller Varianten dieser Produkte) gilt Folgendes:

Die XProtect VMS Software, der Husky Assistant und eventuelle andere Software-Hilfsprogramme wie das Husky Recovery Tool, die mit dem Produkt geliefert werden, dürfen und können nur mit der Computerhardware und dem Betriebssystem verwendet werden, mit denen sie geliefert wurden.
Produkt Software-Updates und Wiederherstellungsabbilder von Milestone für das Produkt dürfen und können nur mit dem Produkt verwendet werden.
Das Produkt wird mit der vorinstallierten XProtect VMS Software geliefert. Die Verwendung der XProtect VMS-Software unterliegt den Geschäftsbedingungen für dieses bestimmte Produkt (siehe entsprechender Abschnitt in diesem EULA) unter der Bedingung der Verwendung eines rechtmäßig erhaltenen und registrierten Softwarelizenzcodes.
Das Produkt umfasst ein eingebettetes Microsoft Windows-Betriebssystem. Die mitgelieferte Microsoft Windows-Lizenz gewährt Ihnen kostenlosen Zugriff auf verfügbare Updates für das entsprechende Windows-Betriebssystem, die Microsoft eventuell herausgibt. Es ist Ihre Aufgabe, das Windows-Betriebssystem gemäß den Richtlinien von Microsoft auf dem aktuellen Stand zu halten. Milestone übernimmt keine Verantwortung für die Kompatibilität zukünftiger Softwareaktualisierungen des Windows-Betriebssystems, und weist darauf hin, dass zukünftige Versionen des Microsoft Windows-Betriebssystems die Verwendung der verfügbaren Systemressourcen im Produkt verändern können, was Auswirkungen auf die Gesamtleistung des Produkts haben könnte. Das Produkt ist weiter dimensioniert und für die vorliegende Version des Microsoft Windows-Betriebssystems entwickelt worden. Milestone kann die Kompatibilität mit anderen Versionen von Microsoft Windows-Betriebssystemen nicht garantieren.
Das mitgelieferte Microsoft Windows-Betriebssystem darf nur zusammen mit dem Produkt und daher nicht auf einer anderen Computerhardware verwendet werden. Die Bedingungen zur Verwendung des Microsoft Windows-Betriebssystems werden vom Microsoft Endbenutzer-Lizenzvertrag geregelt.
Das Produkt umfasst eventuell Software-Komponenten von Dell EMC, z. Das Produkt darf, direkt oder indirekt, ausschließlich von Ihnen, Ihren Angestellten und Mitarbeitern verwendet werden. Das Produkt besteht aus einem Gerätetreiber und zuvor aufgenommenen Medien-Streams, einschließlich Videoinhalten. Sie sind nicht berechtigt, dieses Produkt an Dritte weiterzugeben, Unterlizenzen zu gewähren oder anderweitig jegliche Rechte an dem Produkt und seinen Komponenten, einschließlich Videoinhalten zu gewähren. Milestone Customer Dashboard

Verwendung: Für die Dienstprogramme des Milestone Customer Dashboard gilt Folgendes:

Wenn Sie XProtect VMS Lizenzen aktivieren, werden Ihre Systemdaten (z. B. die Anzahl der verwendeten Geräte, MAC-Adressen der verbundenen Geräte, usw.) an das Milestone Lizenzierungssystem übermittelt und dort hinterlegt, wo sie über das Milestone Customer Dashboard zugreifbar sind, wie in den allgemeinen Bedingungen dieses EULA „Erfassung und Registrierung von Systemdaten“ beschrieben.

Milestone gewährt Ihnen hiermit das Recht, das Milestone Customer Dashboard zu nutzen und Sie akzeptieren die folgenden Bedingungen und Einschränkungen:

Milestone Customer Dashboard ist ein kostenloses Online-Tool für Milestone und dessen Partner, um Installationen von Milestone XProtect VMS und Lizenzen zu verwalten und überwachen. Milestone Customer Dashboard enthält Tools, um (i) Informationen zu Endbenutzer-Installationen zu verwalten, (ii) Lizenzen zu registrieren und zu aktivieren und, Ihre Einwilligung vorausgesetzt, (iii) eine Statusübersicht der Gesundheits- und Leistungsdaten des Systems in Echtzeit zu bieten und (iv) in XProtect VMS E-Mailbenachrichtigung zu versenden und Fehler zu filtern.
Als Endbenutzer des XProtect VMS-Produkts können Sie Ihre Daten im Formular „XProtect Endbenutzer-Registrierung“ registrieren, das über den Milestone XProtect Management Client abrufbar ist. Die von Ihnen bereitgestellten Endbenutzerdaten werden im Lizenzsystem von Milestone gespeichert.
Ihr Zugriff auf das Milestone Customer Dashboard kann auf Anfrage bei Milestone aktiviert werden. Mit diesem Zugriff können Sie Ihre Lizenzen für die Milestone XProtect Produkte verwalten.
Sie können einwilligen, Ihre Systemkonfiguration und Leistungsdaten mit dem Milestone Customer Dashboard zu teilen, indem Sie das Kästchen im Bereich „Tools“/„Optionen“ im Milestone XProtect Management Client markieren. Solche Systemdaten umfassen unter anderem Fehlerinformationen von Kameras oder System- und Netzwerkfehler. Mit Ihrer Einwilligung implizieren Sie zudem Ihr Einverständnis, dass Milestone Ihre Systemkonfiguration und Leistungsdaten im Milestone Customer Dashboard mit autorisierten Milestone-Vertriebspartnern teilt, ausschließlich zu dem Zweck, Ihnen Kundendienstleistungen anzubieten.
Wenn Sie Ihre Endbenutzer-, Lizenz-, System- und Leistungsdaten über den Milestone XProtect Management Client und/oder das Milestone Customer Dashboard bereitstellen, erklären Sie sich damit einverstanden, dass Milestone Ihre Daten empfängt und nutzt, um Milestone-Dienstleistungen in Form von Lizenzverwaltung und -überwachung bereitzustellen, und zu Analysezwecken von Milestone, um unsere Dienste zu verbessern.
Sie erklären, dass Sie die Lizenz-, System- und Leistungsdaten, die an Milestones Lizenzsystem und/oder das Milestone Customer Dashboard übermittelt werden, nicht verändern, bearbeiten oder anderweitig beeinflussen. Ihnen wird ein Self-Service-Zugriff über den Milestone XProtect Management Client bereitgestellt, um Ihre Endbenutzerdaten zu verwalten, und Sie sind für die Richtigkeit Ihrer Endbenutzerdaten verantwortlich. Milestone behält sich das Recht vor, ungenaue Daten nach eigenem Ermessen zu korrigieren oder zu entfernen.
Milestone kann nicht für jegliche Datenverluste verantwortlich gemacht werden, die im Zusammenhang mit Störungen der Kommunikation mit dem Milestone Customer Dashboard während der Lizenzaktivierung erfolgen.
Zusätzlich zu den oben im Abschnitt „Haftungsbeschränkung“ genannten allgemeinen Haftungsbeschränkungen von Milestone übernimmt Milestone auch keine Haftung für den Missbrauch des Milestone Customer Dashboards durch einen Vertriebspartner von Milestone oder dessen Nichtnutzbarkeit.
Für den Zugriff auf bestimmte Funktionen des Milestone Customer Dashboards ist ein gültiger Milestone Care Plus Vertrag erforderlich. Milestone übernimmt keine Haftung für mögliche Serviceunterbrechungen, die sich aus einer nicht rechtzeitig veranlassten Erneuerung des Milestone Care Service ergeben.
Für die Nutzung des Milestone Customer Dashboards können zusätzliche Kosten von Drittanbietern anfallen, unter anderem Kommunikationskosten.

Milestone End-user License Agreement

NOTE: If you are a Milestone Dealer, systems integrator or are otherwise installing this Product on behalf of a third-party, you shall ensure that you have their acceptance of this End-user License Agreement and their consent to provide end-user personal data for registration with Milestone Systems if such voluntary option is applied.

This End-user License Agreement (“EULA”) is a legally binding agreement between you (either an individual or a single legal entity) and Milestone Systems A/S (“Milestone”) for the Milestone product or utility, which may include associated software and hardware components, media, printed materials, online or electronic documentation and any updates or corrections (“Product”). If you have purchased the Product as part of a computer or server system delivered by Milestone all hardware and software components of such system shall for the purposes of this EULA be considered being parts of the Product, except however for any third-party software or hardware component which is covered by a separate third-party license agreement included in the system documentation or otherwise incorporated in the system.

By installing, deploying, copying, or otherwise using the Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Product, instead you may return it, within 30 days after purchase of the Product, along with all associated material to your place of purchase for a full refund, less any shipping and handling costs. This return policy does not apply if you or your representative, including your Milestone dealer (on your behalf) have accepted this EULA prior to, or as part of, your purchase of the Product. Furthermore, this return policy does not apply to Milestone Husky products and related hardware. The Product is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Note that all software parts of Product are licensed to you, not sold. The licensing of the Product does not constitute a lease or a sale of intellectual property rights, or any transfer of the ownership of any intellectual property rights in the Product.

For Milestone products where a Software License Code (“SLC”) is required, the license you have been granted is identified by the Software License Code you have received when purchasing the Product.

Affiliated Companies. The license you have been granted under this EULA for Milestone XProtect Corporate, Milestone XProtect Expert and/or Milestone XProtect Professional+ allows you to grant access to and permit the use of such Product by your Affiliated Companies and their respective employees, representatives and other persons working for your Affiliated Companies, provided that you will at all times remain fully responsible for the Affiliated Companies’ access and use of the Product in compliance with the terms of this EULA. This right also covers Milestone XProtect Extensions and Components purchased by you for Milestone XProtect Corporate, Milestone XProtect Expert and/or Milestone XProtect Professional+. You shall ensure that (i) your Affiliated Companies each submit to this EULA before they are granted access to the Product, and (ii) your Affiliated Companies are in compliance with the terms of this EULA. For the purpose of this EULA, “Affiliated Companies” include any corporate entity that, either directly or indirectly, is controlled by you, or controls you, or under common control with you, where “control’” shall mean the ownership of more than fifty percent of the voting securities entitling to the right to elect or appoint the majority of the board of directors, or a similar managing authority.

Acceptance of Unattended Remote Updating. The system administrator of your organization may today or in the future be using a tool or operating system method enabling remote and unattended updating or installation of software products on your computer; XProtect Update Manager is an example of such a tool. In case such a tool is used to update the Product unattended you may not be prompted to accept a EULA for the new Product. By accepting the present EULA, you assign your right to accept EULAs of future product updates to your system administrator on your behalf.

AWS Cloud Deployment. Milestone XProtect VMS products are also delivered as an Amazon Machine Image (“AMI”) under the bring-your-own-license model (“BYOL”), and can be deployed on AWS cloud services infrastructure by using the associated CloudFormation script. This script performs a default deployment of the Product in a new Virtual Private Cloud (“VPC”) under your AWS account. You can modify the CloudFormation script, or the default deployment produced by it to the extent required for the deployment of the Product in your specific AWS cloud services infrastructure. The CloudFormation script is provided “as is” without warranty of any kind, including, without limitation, the implied warranty of fitness for a particular purpose. Milestone expressly disclaims any warranty and accepts no responsibility for modifications to the CloudFormation script or to the default deployment produced by it. The entire risk and responsibility arising out of deployment and use of the deployed Product remains with you as the user.

Intellectual Property Rights. All title and rights, including but not limited to copyrights, in and to the Product and any copies thereof are owned by Milestone, or in the case of third-party contributions to such Product, the title and rights to such contributions only, are owned by our licensors. All rights not expressly granted are reserved by Milestone.

The Product may include HEVC/H.265 technology that is licensed under the HEVC Advance Patent Portfolio License and the use of such technology is covered by one or more claims of the patents listed at patentlist.hevcadvance.com.

Infringement of Third-party Rights. Milestone shall be liable for ensuring that the Product does not infringe any third-party's intellectual property rights, however, in respect of patents, only (a) patents granted and published in the United States of America or the European Union on the date of your purchase, and (b) only if the Product is infringing as a standalone product when not used with any other product(s) or technology. In the event of any action against you in which such infringement is alleged, you shall give Milestone prompt written notice thereof. Milestone shall thereafter assume the sole conduct of the case and all of its legal costs incidental to the case. Milestone shall have irrevocable power of attorney to conduct litigation on its own behalf or to negotiate for settlement of the alleged infringement with you as the user. Milestone shall be entitled, at Milestone's discretion, to either obtain the continued right for you to use the Product or bring the infringement to an end by modifying or replacing the Product by another product which possesses substantially the same functionalities as the Product, or – if none of these remedies may be achieved at a reasonable cost for Milestone – to terminate this EULA with immediate effect. In the event of termination, you shall have no further claims, to include but not limited to any right of compensation or indemnity, against Milestone.

Correction of Errors. A defect or error in the Product shall be deemed material only if it has effect on the functionality of the Product as a whole or if it prevents the operation of the Product. If you, within 90 (ninety) days after purchase of the Product, document that a material defect or error in the Product exists, Milestone shall, at its sole discretion, be obligated to (i) deliver a new copy of the Product without the material defect or error, (ii) remedy or correct the defect or error free of charge, or (iii) terminate this EULA and repay any license fee received against your return of all copies of the Product. The provisions of this paragraph constitute your sole remedies in the event of a defect or error in the Product.

No Warranties. Unless you are provided with a specific warranty from Milestone as part of your Product documentation, Milestone expressly disclaims any warranty for the Product. The Product and any related documentation are provided “as is” without warranty of any kind, either expressed or implied, including, without limitation, the implied warranties of merchantability or fitness for a particular purpose. The entire risk arising out of use or performance of the Product remains with you as the user. You are notified that the Product, when used with certain equipment or other software, may enable you to perform surveillance actions and data processing which are likely to be restricted by or contrary to applicable law, including without limitation data privacy and criminal law. The sole responsibility for verification of your use against compliance with applicable law lies with you as the user.

Test and Pilot Licenses, Beta Version of Product. If you are granted a test and/or pilot license, or another, similar temporary Milestone license for a specifically defined purpose, including, but not limited to, a license to use a beta-version of the Product, your usage rights under this EULA are limited solely to the purpose of and only for the term as defined in such a granted license. The limited term of any such temporary license is either reflected in XProtect Management Client, or otherwise defined by Milestone, for instance, in the license document or file associated with the temporary license granted. If a temporary license is granted, the Product is provided “as is” without any warranty, express or implied (cf., 'No Warranties' section above), and Milestone provides no support for the Product. No remedies shall be available, and sections such as “Correction of Errors” shall not apply. Under the temporary license, Milestone Product Lifecycle shall not apply and shall not be supported. Whereas all restrictions and requirements for the use of the Product set forth in this EULA shall apply equally to your use of the Product. Under the temporary license, Milestone expressly disclaims any responsibility and liability for the Product on any basis. If, under the temporary license, the Product is provided by Milestone free of charge and without any associated license fee or payment, and where Milestone’s liability cannot be contractually waived, Milestone’s total liability—whether arising in contract, tort, or indemnity—shall be limited to an amount not exceeding EUR 100 (one hundred Euro).

In addition to the above, if the Product is a beta version of the Milestone Product, it is intended for testing and evaluation purposes only. The beta version of the Product may not be fully functional, may contain errors, or design flaws, and its use may result in unexpected results, loss of data, project delays, or other unpredictable damage or loss. You may use such Product at your own discretion and risk, understanding that the Product is not intended for use in production or business-critical systems. Milestone may choose not to make available a non-beta version of the Product. Milestone may also choose to abandon development and terminate the availability of the Product at any time without liability.

Prohibited Use. The Product may only be applied and used in accordance with applicable law(s) of the jurisdiction, country or region it is used in. This includes, but is not limited to, possible legal restrictions to what you surveil and record with the Product, the policy for storing recorded and other data in the Product, and how such recorded data is to be handled as it is exported from the Product. It is the sole responsibility of you - the user of the Product - to be acquainted with, and to adhere to, such laws and restrictions. Milestone does not accept any liability whatsoever, for any direct, indirect or consequential losses or damages for the violation of such laws and/or restrictions.

In accordance with the Milestone Human Rights Policy, Milestone seeks to avoid causing or contributing to adverse human rights impacts, including through the use of the Product. This EULA therefore does not cover use of the Product for the purpose of, or in connection with, any violation of, or adverse impact on the human rights of any individual person or group of people as set out in the United Nations Universal Declaration of Human Rights, or other internationally recognized regional human rights systems, including the EU Charter of Fundamental Rights. Any such use is prohibited under these terms and the Milestone Human Rights Policy and is a material breach of this EULA causing the whole license for the Product to lapse immediately without notice rendering any further use of the Product unlawful. Similarly, Milestone reserves the right to terminate the Product license without prior notice where a human rights grievance report has been submitted through the Milestone Grievance Mechanism and substantiated through the Milestone internal process for human rights grievance investigation, handling and remediation.

Data privacy and protection. You represent and confirm that you are aware that the Product collects and processes personal data, supplied through any video source, including cameras, DVRs, NVRs or in any other manner, and that Milestone and its licensors shall have no responsibility or liability in connection with the manner of which such personal data is collected and processed as input to the Product or by using the Product, its quality or its sufficiency nor shall have any independent access to any such collected and processed personal data, and that Milestone and its licensors shall have no responsibility or liability as to your rights and obligations under any applicable law to collect, process or use personal data, including, but not limited to the GDPR and any other privacy and data protection laws.

Copenhagen Clause. Milestone is a signatory to the Copenhagen Letter, a technology declaration to aspire to open and honest public conversation about the power of technology and how technology should enhance the quality of life. We who shape technology must reflect on how technology affects human needs and behaviors, and how we further the responsible use of technology. Milestone encourages our partners not only to involve themselves in this important discussion on responsible use of technology, but to also sign the Copenhagen Letter at https://www.milestonesys.com/company-news/milestone/csr/the-copenhagen-letter/ and adopt a corresponding Copenhagen Clause into their own agreements.

Limitation of Liability. The provisions of this paragraph are in effect to the maximum extent permitted by applicable law. In no event shall Milestone or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) nor for any product liability (except for bodily injury) arising out of the use of or inability to use the Product or the provision of or failure to provide proper support, even if Milestone has been advised of the possibility of such damages. Absent any willful misconduct or gross negligence, the entire liability of Milestone and its suppliers, whether arising in contract, tort, or indemnity, shall be limited to the amount actually paid by you for the Product.

Third-party Licenses. The Products include rights for you to use certain third-party software as set out in the documentation for the specific Product. You may use and integrate the Products with other third-party software, and it is your responsibility when installing to investigate and obtain usage rights to any such third-party software for your purpose.

Milestone Product Lifecycle. Your use of the Product is also subject to the Milestone Product Lifecycle, cf., https://www.milestonesys.com/support/tools-and-references/product-lifecycle/. Subject to the Milestone Product Lifecycle, and unless otherwise defined therein for a specific Product, license activation is available for 10 years after Product’s general availability. After 10 years, it may no longer be possible to add new IP devices and/or replace IP devices connected to and enabled in the Product. However, subject to this EULA, you will retain your right to use the Product, and the existing XProtect system will continue to operate.

Miscellaneous. (a) You may make as many copies of the Product as may be necessary for backup and archival purposes, subject to an obligation to reproduce all proprietary notices on such copies. (b) You may not distribute, sublicense or otherwise make available the Product to third parties except as expressly permitted in this EULA. (c) You may not reverse engineer, decompile, modify, or disassemble any of the Product's components except and only to the extent permitted by applicable law which cannot be contractually waived. (d) This EULA is non-transferable save that if there is any ownership interest transferred which includes the Milestone Product, you may permanently assign all of your rights for this Product to the transferee, provided the transferee agrees to the terms of this EULA.

Export control. The scope of your rights and the license granted under this EULA shall be subject to any applicable sanctions, export control regulations or other trade restrictive measures imposed by the United Nations, the United States of America, the United Kingdom, Denmark and/or the European Union, and any other applicable country. You shall not use the Product nor exercise any license rights granted hereunder if such use is prohibited by, or subject to any applicable sanctions, export control regulations, or other trade restrictive measures. Without limiting the foregoing, you represent that you are not named on any U.S., EU, or any other applicable government list of persons or entities prohibited from receiving exports. You shall not permit your employees and consultants to use the Product in violation of any EU, UK, and/or U.S. export embargo, prohibition, or restriction. Furthermore, you represent and warrant that you will make sure that all your employees and consultants using the Product are prohibited from residing in, or operating from, any country that is sanctioned by either the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC) or the United Nations Security Council.

Milestone shall not be obliged to license and provide any Milestone Products if it would be prohibited pursuant to applicable sanctions or export control laws or regulations. Milestone shall not be obligated to fulfill this License Agreement if such fulfillment is prevented by any restrictions and impediments arising out of national or international foreign trade or customs requirements or any embargoes or other sanctions.

Termination. Without prejudice to any other rights, Milestone may terminate this EULA if you fail to comply with its terms and conditions and/or if you fail to comply with or in order for Milestone to comply with applicable export control requirements, without any right for you to claim damages, refunds or any compensation. In such an event you must immediately cease using the Product, destroy all copies of it, and certify such destruction in writing.

Severability. If a court or government body of competent jurisdiction determines that any provision of this EULA is invalid, not enforceable or enforceable only if limited in scope, this present EULA shall continue in full force and effect with such provisions stricken or so limited.

Entire Agreement. This EULA constitutes the parties' entire and complete agreement relating to the subject matter hereof and all written and oral undertakings and pledges which may have preceded this EULA, all implied warranties, rules of common law or ordinary rules of law not restated herein, are hereby excluded from effect between the parties.

Governing Law. This EULA and the contract between you and Milestone are governed by Danish law and the sole and proper forum for the settlement of disputes hereunder shall be the City Court of Copenhagen.

License, Installation and Use Conditions and Restrictions. Milestone XProtect VMS products support IP devices. IP devices can be cameras, encoders, video services or other types of video and non-video devices that are addressed through a unique IP address in the applied installation of the Product. For IP devices with one IP address included in the Milestone Supported Device List, one device license is needed per IP device connected to and enabled in the Product. For IP devices with more than one enabled IP address, the number of required device licenses is specified in the Milestone Supported Device List. Please check the supported IP devices, the required number of licenses and the exceptions in the Supported Device List at https://www.milestonesys.com/support/software/supported-devices.The following exceptions for IP devices with one IP address apply: (i) for IP devices connected to the Product through intermediate device or intermediate system one device license per enabled video channel is required; (ii) IP devices with multiple lenses or sensors, and encoders with up to 16 connected analog cameras, count as only one IP device; (iii) for encoders with more than 16 channels one device license per enabled video channel is required. Additional specific exceptions may apply, please refer to the Milestone Supported Device List for the details.

For IP devices not included in the Milestone Supported Device List and for the Video Processing Service Driver included in the Milestone MIP SDK, the following apply: (i) IP devices with video capabilities require one device license per enabled video channel, (ii) IP devices without video capabilities require one device license per IP address. Specific license terms may apply for the specific XProtect® VMS products, please refer to the Products’ specific terms and conditions, and (iii) the Video Processing Service Driver when receiving video from any connected video processing system or any directly or indirectly connected device, requires one device license per enabled video channel.

Collection and registration of system data. By activating the licenses for the Product, you accept that core system data (such as the number of used devices) is exchanged and stored in Milestone’s licensing system. A unique key for each license and each device connected to the system is generated. Milestone collects the MAC addresses of the devices connected and keeps track of the number of times cameras are registered and deleted to make sure the licenses are used according to the EULA. Milestone also registers the IP address of the server that activates the license. For systems using Milestone’s push notifications, Milestone keeps track of the Globally Unique Identifier (“GUID”) of the mobile server and the mobile devices that are registered to receive the notifications and email addresses that are entered to receive push notifications. If you use any plug-ins or other integrated applications with the Product, basic data about such applications will also be collected and sent to Milestone when activating the licenses for the Product. The data about integrated applications include information, such as: the manufacturer’s name, the name and version of the integration. The purpose of gathering and maintaining the system data is to enable Milestone and its channel partners, to enforce license management of the Milestone products. For integrated applications, Milestone will use collected data for statistical and analytical purposes. You agree to not alter, modify, or in any way tamper with the data transmitted to the online service.

End-user Data, General Data Protection Regulation. When purchasing licenses to the Product through our channel partners, the business information of your company must be provided and registered with Milestone. You may also need to provide Milestone with information on your contact persons in the form of name, email, and phone number. Milestone reserves the right to collect your business information and contact data via Milestone channel partners, including as part of the ordering and purchase process for Product(s). It is your responsibility to provide correct and up-to-date data, as well as to inform any relevant contact person(s) (e.g., your employees) of the collection and transfer of their data to Milestone, including if the data is collected via Milestone channel partners. The Product cannot be purchased and, consequently, the license cannot be granted to you unless and until the required data is provided, including via Milestone channel partners as applicable, and Milestone is able to verify you as the End-user and licensee of the Product in accordance with the Milestone verification and screening policy. The purpose of gathering and maintaining such information is to enable Milestone to verify you as the End-user and licensee of the Product, including for the purpose of compliance with applicable regulatory requirements, e.g., export control, and with Milestone’s responsible technology principles, as well as to enable Milestone and its channel partners to enforce license management, carry out the Milestone partner programs and human rights due-diligence, and to provide maintenance and support for the Product, including for the purpose of Milestone Care. Milestone is a data controller with respect to the personal data collected and used hereunder. Milestone treats your personal data in accordance with our Privacy Policy (https://www.milestonesys.com/privacy-policy/).

The Product may therefore, for instance, not be operated or used in any way by customers of you or other third parties, except for your Affiliated Companies as specified above, cf. general terms of this EULA, section “Affiliated Companies”.
The Product may only be used for surveillance of property or land that is owned or controlled by you, or by your Affiliated Companies, or you have acquired and maintain the required legal permissions when monitoring property or land not owned or controlled by you.
Using Milestone Federated Architecture, the Product may without being subject to additional licensing be used to connect other XProtect Corporate or XProtect Expert systems, provided that the federated system is rightfully licensed.
Using XProtect Interconnect, the Product may be used to connect other Milestone video management software products and other Milestone approved products (please refer to Milestone’s web site https://www.milestonesys.com/products/expand-your-solution/milestone-extensions/interconnect/milestone-interconnect-compatibility/ for the latest overview of compatible products) belonging to you or a third-party. The use of XProtect Interconnect is subject to the following conditions: a) any interconnected system must be fully licensed with rightfully obtained license rights, b) you through purchase or subscription have rightfully obtained XProtect Interconnect camera licenses for the cameras that shall be accessible in the XProtect Corporate system.
The Product may be remotely operated and managed by a third-party using Milestone Federated Architecture, provided that you have acquired and maintain the required legal permissions to conduct the surveillance.
The Product may be remotely operated and managed by you or a third-party using XProtect Interconnect, provided that: a) you or the third-party have purchased XProtect Interconnect camera licenses for the cameras that shall be accessible in the central XProtect Corporate system, and b) you have acquired and maintain the required legal permissions to conduct the surveillance.
When the Product is used with third-party map applications (such as Google Maps, Microsoft^® Bing^TM Maps or OpenStreetMap), it is your sole responsibility to ensure that you have obtained adequate legal rights to use such map applications, and that the usage complies with the terms and conditions of the used third-party applications.
You can also use the Product with the Milestone Map Service that will allow you to get access to OpenStreetMap (http://www.openstreetmap.org)© data. This data will be provided to you “as is”, including best-effort availability, and without any warranty of any kind, either express or implied, whether of title, of accuracy, of absence of errors, of fitness for purpose, or otherwise. Any damages resulting from the use of the Milestone Map Service are disclaimed.
You acknowledge the requirement that the Product may only be used with as many IP devices as you have acquired device licenses for in accordance with the rules specified in the EULA general terms, “License, Installation and Use Conditions and Restrictions”.

Milestone XProtect^® Expert

Milestone XProtect^® Mobile

Installation and Use – for the XProtect Mobile client product the following applies:

Milestone XProtect^® Mobile Server

Installation and Use – for the XProtect Mobile server product the following applies:

Milestone hereby grants you the right to install and use an unrestricted number of copies of the Product with the following conditions and restrictions:

The Product may only be used on computers running operating systems for which the Product was designed.
The Product may only be used in connection with a rightfully licensed XProtect VMS product or Milestone Husky NVR unit.
The use of the XProtect Mobile server is further restricted by the End-user License Agreement of the Milestone XProtect VMS product or Milestone Husky NVR unit it’s used together with.
By accepting the present EULA you accept terms and conditions on behalf of end-users which you allow to connect to XProtect Mobile server in regard to use of XProtect Mobile and XProtect Web Client.
The use of Smart Connect, Video Push and Mobile Push notifications relies on third-party services and network connectivity such as notification services and wireless communication networks. In addition to the general restrictions in Milestone’s liability defined in the section “Limitation of Liability” above, Milestone does not accept any liability arising out of the use of or inability to use any of these capabilities directly, or indirectly, caused by any of third-party network or service component used to provide these capabilities.
The use of the Smart Connect and Mobile Push Notification capabilities is conditioned by a valid Milestone Care Plus service contract. Milestone accepts no liability for possible interruptions in the service caused by failure to renew the Milestone Care Plus coverage in due time.
Additional third-party charges may apply for using the XProtect Mobile service, including, but not limited to, communication cost and third-party service subscriptions.

Milestone XProtect Extensions and Components

Milestone XProtect^® Access

Installation and Use – for the XProtect Access product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

The Product may only be used with the XProtect VMS product (any XProtect VMS product, except XProtect Essential+), or approved OEM versions of these Products, or the Milestone Husky NVR product for which the license through purchase or subscription has rightfully been obtained.
The Product may be operated from an unrestricted number of XProtect Management Applications/XProtect Management Clients and XProtect Smart Clients connected to the XProtect VMS system or the Milestone Husky NVR unit.
To facilitate communication with third-party systems an unrestricted number of XProtect Access plug-ins may be installed on the Event Server in the XProtect VMS system or the Milestone Husky NVR unit. In addition to the general restrictions in Milestone’s liability defined in the section “Limitation of Liability” above, Milestone does not accept any liability arising out of the use of or inability to use the Product when the plug-ins have been provided by another party than Milestone, or when the Milestone provided XProtect Access plug-in is used with a third-party product or version of a third-party product that it has not been designed and validated for. Further, Milestone does not accept any liability arising out of the use of or inability to use the Product caused by errors in any third-party product that XProtect Access is used together with.
The Product may only be used in connection with officially compatible XProtect VMS products and Milestone Husky NVR units.
XProtect Access may only be used with as many doors as you have purchased and registered door licenses to for the Product by the Software License Code.

Milestone XProtect^® LPR

Installation and Use – for the XProtect LPR product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

The Product may only be used with the XProtect VMS product (any XProtect VMS product, except XProtect Essential+), or approved OEM versions of these Products, or the Milestone Husky NVR unit (any Milestone Husky NVR product) for which the license through purchase or subscription has rightfully been obtained.
The XProtect LPR may be installed on an unrestricted number of computers designated as XProtect LPR Servers per Software License Code.
The Product may only be used on computers running operating systems for which the Product was designed.
The Product may only be used in connection with officially compatible XProtect VMS products and Milestone Husky NVR units. When used together with officially compatible Milestone products the Product may also be used together with third-party products/components built upon the Milestone Integration Platform Software Development Kit.
The XProtect LPR Plug-in may be installed on an unrestricted number of computers designated as Event Servers, or as Recording Servers, or on computers running the Management Client application.
XProtect LPR may only be used with as many cameras as you have purchased and registered LPR Camera Licenses for the Product by the Software License Code.
The XProtect LPR License Plate Libraries may be deployed on an unrestricted number of XProtect LPR Servers.
XProtect LPR may only be used with as many XProtect LPR License Plate Libraries as you have purchased and registered for the Product by the Software License Code.

Milestone XProtect^® Management Server Failover

Installation and Use – for the XProtect Management Server Failover product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

The Product may only be used in connection with Milestone XProtect Corporate and Milestone XProtect Expert, in particular starting with R1 2022 version of these Milestone XProtect VMS products and onwards, subject to the Milestone EULA applied to such Milestone XProtect VMS products.
The Product may only be used, displayed and performed on one designated system at a time exclusively for your own internal business purpose. The “designated system” shall mean the designated computer system on which you first run the Product and for which a license is provided. The Product may only be used on the designated computer system running operating system for which the Product is designed.
If you are temporarily unable to use the Product on the designated system because of conditions beyond your control, you may temporarily use the Product on another designated system (“Back-up System”). For this purpose, a temporary license will be issued by Milestone provided that you give Milestone prior written notice and all information necessary for the issuance of such temporary license. You shall destroy all copies of the Product on any Back-up System when the temporary failure of the designated system is corrected and shall certify such destruction in writing to Milestone within three business days.
You may permanently transfer the Product to a different designated system (“Replacement Designated System”) provided that all copies of the Product are removed from the original designated system and destroyed, such destruction to be certified in writing to Milestone within three business days. A new license to enable use on the Replacement Designated System will be issued by Milestone provided that you give Milestone prior written notice and all information necessary for the issuance of such new license.
Milestone expressly disclaims any warranty and responsibility for any loss, including loss of data and/or configuration of the Milestone XProtect system, caused by your use of the Product or by the Product disruption.
The use of the Product is further restricted by the terms of the Milestone EULA applicable to the applied version of the Milestone XProtect VMS product.
In order to use the Product, you must purchase an XProtect Management Server Failover license. Such license must be purchased for both the primary and secondary management server within your designated system.

Milestone XProtect^® Hospital Assist

Installation and Use – for the Milestone XProtect Hospital Assist product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

The Product consists of the following features: Fall Detection, Privacy Blur, Sticky Note, and Multiroom Audio which you have the right to use subject to the terms of this EULA and purchased license as defined below in this section. The Sticky Note, Privacy Blur and Multiroom Audio features are part of XProtect VMS installer applied by you. Whereas the Fall Detection feature is to be installed via separate installation files.
The Product may only be used with Milestone XProtect VMS products (with exception of Milestone XProtect Essential+) for which a license has been separately purchased by you, in particular with the 2024 versions of XProtect VMS products and above.
The Product may only be used on computers running operating systems for which the Product was designed.
To use the Product, you must purchase an XProtect Hospital Assist license for each enabled video channel.
You acknowledge and accept that the Product is provided “as-is” and is not an approved healthcare product or medical device and cannot be relied upon in lieu of patient monitoring or replace medical care providers. Milestone makes no guarantee, express or implied, that this Product will detect a patient fall. You acknowledge and accept that the Product should be treated only as a secondary support tool and therefore cannot constitute the basic or sole reason for your decision. Any conclusions which are drawn from the analysis of information provided by the Product must at all times be verified with due professional care as well as with conclusions being drawn from information coming from other sources. Any conclusions made by you and any actions taken by you are your responsibility solely.
You acknowledge and accept that the Product has undergone testing only within a limited hospital environment. While every effort has been made to ensure its functionality within this setting, it is important to note that IT infrastructure and other conditions in the hospital environments may vary. Therefore, the Product's performance may be affected by different hospital environments.
Except as expressly authorized in this EULA, you agree that you will not use the Product with any system or application where the use or failure of such system or application can reasonably be expected to threaten or result in personal injury, death, or loss, including, without limitation, use in connection with any medical, life support or other life critical applications.
The use of the Product is further restricted by the terms of the Milestone EULA applicable to the applied version of the Milestone XProtect VMS product.

Milestone XProtect^®Incident Manager

Use – for the Milestone XProtect Incident Manager product the following applies:

The Product may only be used in connection with the following Milestone XProtect VMS products or approved OEM versions of these products: Milestone XProtect Corporate version 2022 R2 or later versions, and Milestone XProtect Expert, Milestone XProtect Professional+, and Milestone XProtect Express+ that are version 2022 R3 or later versions of these products.
In order to use the Product, you must purchase an XProtect Incident Manager license. If you are using Milestone XProtect Corporate version 2022 R2 or later, the license for the Product is included in and activated together with the license for your Milestone XProtect Corporate product.
The use of the Product is also governed and restricted by the terms of the Milestone EULA applicable to the applied version of the Milestone XProtect VMS product, or by the terms of a license agreement applicable to the applied OEM version of the Milestone product.

Milestone XProtect^® Transact

Installation and Use – for the XProtect Transact product the following applies:

The Product may only be used in connection with officially compatible XProtect VMS products and Milestone Husky NVR units. When used together with officially compatible Milestone products the Product may also be used together with third-party products/components built upon the Milestone Integration Platform Software Development Kit.
The Product may only be used with as many source connections as you have purchased and registered connection licenses for under the Software License Code used by the designated XProtect Transact.

Milestone XProtect^®Smart Wall

Use – for the Milestone XProtect Smart Wall product the following applies: Milestone hereby grants you the right to use the Product with the following conditions and restrictions:

The Product may be used with XProtect Corporate systems without being subject to separate licensing. The Product may be used together with XProtect Expert for which an XProtect Smart Wall base license has rightfully been obtained.

The Download Manager may only be used on computers running operating systems for which the Download Manager was designed.

When used together with the Original XProtect product the Download Manager may also be used together with other compatible Milestone products and with third-party products/components built upon the Milestone Software Development Kit or Milestone Integration Platform Software Development Kit.
The use of the Download Manager is further restricted by the End-user License Agreement of the XProtect VMS product.

XProtect Update Manager

Installation and Use – for the XProtect Update Manager utilities (“Update Manager”) the following applies:

Update Manager may only be used in connection with the Milestone XProtect VMS products for which Update Manager was originally intended as well as with future products Milestone may confirm to be supported by Update Manager. Please see this Product’s documentation on Milestone website.
By using Update Manager to remotely install and update Milestone XProtect VMS products on other computers, you are regarded as being a system administrator of those computers ("Remote Computers"). Being a system administrator, it is your responsibility to ensure that the users of the Remote Computers understand and accept the EULAs of the Milestone XProtect VMS products being installed or updated using Update Manager, even in the case when the installation process has been made unattended for the users of the Remote Computers and possibly invisibly for them as well. By remotely installing or updating a Milestone XProtect VMS product on a Remote Computer you accept - as a system administrator - this responsibility, including the responsibility and liability for adherence to and compliance with this EULA by the users of Remote Computers.
Milestone expressly disclaims any warranty and responsibility for any Milestone XProtect system disruption as well as any loss, including loss of data and/or configuration of the Milestone XProtect system, caused by your use of the Product or by the Product disruption.

Installation and Use – for the Milestone Husky IVO™ series Video Surveillance Appliances (covers the following products: Milestone Husky IVO 150D, Milestone Husky IVO 350T, Milestone Husky IVO 350R, Milestone Husky IVO 700R, Milestone Husky IVO 1000R and Milestone Husky IVO 1800R, including all variants of these products) the following applies:

The XProtect VMS software, the Husky Assistant and other possible software utilities, such as Husky Recovery Tool, delivered with the Product, may, and can, only be used with the computer hardware and operating system with which it is delivered.
Product software updates and recovery images provided by Milestone for the product may, and can, only be used with the Product.
The Product is preloaded with XProtect VMS software. The use of the XProtect VMS software is subject to the terms and conditions for the specific product (refer to relevant section in this EULA) and conditioned by the use of a rightfully obtained and registered Software License Code.
The Product includes an embedded Microsoft Windows Operating System. The included Microsoft Windows license gives you free access to possible updates to the applicable Windows Operating System that Microsoft may release. It is your responsibility to keep the Windows Operating System current according to Microsoft’s guidelines. Milestone does not accept any responsibility for the compatibility of future software updates of the Windows Operating System, and future versions of the Microsoft Windows Operating System may change the use of available system resources in the Product, which may impact the overall performance of the Product. The Product is further dimensioned and designed for the included version of Microsoft Windows operating system. Milestone cannot guarantee compatibility with other versions of Microsoft Windows operating systems.
The included Microsoft Windows Operating System must only be used together with the Product and must hence not be used on any other computer hardware. The terms and conditions for the use of the Microsoft Windows Operating System are regulated by Microsoft’s end-user license agreement.
The Product may include software components from Dell EMC, e.g., integrated Dell Remote Access Controller (iDRAC), and your use of such components is subject to the Dell EMC end-user software license agreement, cf. https://www.dell.com/learn/us/en/uscorp1/legal_terms-conditions_dellgrmwebpage/art-software-license-agreements.

The Product may be installed and used on an unlimited number of computers where a Milestone XProtect VMS product is installed. The Product may only be used for testing, development, and demonstration purposes.
The Product may only be operated, regardless of whether this is directly or in some indirect form, by you, your employees or other people working for you. The Product consists of a device driver and prerecorded media streams, including video content. You may not redistribute, sublicense, nor otherwise grant any right to the Product and to its components, including video content, to any third party. In case any video content is added by you to the Product, it is your responsibility to ensure a legal basis for your use of such video, including a license to use objects of third-party’s rights as well as a data subject’s consent when such license, consent or other legal basis is required under applicable laws.
The Product may only be used for the purpose of demonstrating of Milestone XProtect VMS, or for development, testing and demonstration of applications or systems applied with Milestone XProtect VMS. Milestone does not provide and expressly disclaims any warranty for applications or systems applied with or connected to Milestone XProtect VMS. The entire risk arising out of your use of such applications and systems remains with you as the user, including your responsibility to obtain required licenses for your use of third-party software.
The Product may only be used in connection with Milestone XProtect products, Milestone Husky NVR products supporting the Milestone Integration Platform Software Development Kit, and approved OEM versions of Milestone XProtect products. The Product may not be used separately, in connection with non-Milestone products.
You agree and warrant not using the Product in ways that will enable an end-user to use a Milestone product, or an OEM version of a Milestone product in a way that may infringe the license terms covering the specific product, or break or circumvent the licensing system for the Milestone product or the OEM version of a Milestone product.

Milestone SDK Tools

Installation and Use – for the Milestone SDK Tools (Milestone Software Development Kit Tools):

The Product may be installed on an unlimited number of computers and can be used for development purposes.
The Product may only be used on computers running operating systems for which the Product was designed.

Milestone Customer Dashboard

Use – for the Milestone Customer Dashboard utilities the following applies:

When activating the XProtect VMS licenses, your system data (e.g., the number of used devices, MAC addresses of the connected devices, etc.) is exchanged and stored in the Milestone’s licensing system, accessible via the Milestone Customer Dashboard, as specified in the general terms of this EULA, “Collection and registration of system data”.

Milestone hereby grants you the right to use the Milestone Customer Dashboard and you accept the following conditions and restrictions:

Milestone Customer Dashboard is a free online tool for Milestone and Milestone partners to manage and monitor installations of Milestone XProtect VMS and licenses. Milestone Customer Dashboard contains tools for (i) managing information about end-users’ installations, (ii) registration and activation of licenses, and subject to your consent, (iii) real-time status overview of the system's health and performance data, and (iv) email notifications and error filtering in XProtect VMS installations.
As the end-user of XProtect VMS product, you can register your data in the “XProtect end-user registration” form, accessible via the Milestone XProtect Management Client. The end-user data provided by you is stored in Milestone’s licensing system.
Your access to the Milestone Customer Dashboard can be activated upon request to Milestone. With such access, you can administer your licenses for the Milestone XProtect products.
You may consent to share your system configuration and performance data with the Milestone Customer Dashboard by checking the box in the Tools/ Options section in the Milestone XProtect Management Client. Examples of such system data are error information originating from cameras, system or network failures. Your consent also implies that you agree to Milestone sharing your system configuration and performance data in the Milestone Customer Dashboard with the authorised Milestone channel partners with the sole purpose of providing customer support services to you.
When providing your end-user data, license data, system and performance data via the Milestone XProtect Management Client and/or via the Milestone Customer Dashboard, you consent to Milestone receiving and using your data for the purpose of Milestone services in the form of license management and monitoring, and for Milestone’s analytical purposes to improve our services.
You agree to not alter, modify, or in any way tamper with the license data, system and performance data transmitted to Milestone’s licensing system and/or the Milestone Customer Dashboard. You are provided with self-service access via the Milestone XProtect Management Client to administer your end-user data and you are obliged to keep your end-user data accurate. Milestone reserves the right, at our sole discretion, to correct or remove inaccurate data.
Milestone cannot be held responsible for any loss of data caused by disruptions in communication with the Milestone Customer Dashboard during license activation.
In addition to the general restrictions in Milestone’s liability defined in the section “Limitation of Liability” above, Milestone does not accept any liability arising out of a Milestone channel partner’s misuse of, or inability to use, the Milestone Customer Dashboard.
Access to certain features of the Milestone Customer Dashboard requires a valid Milestone Care Plus contract. Please see https://www.milestonesys.com/solutions/services/milestone-care/. Milestone accepts no liability for possible interruptions in the service caused by failure to renew the Milestone Care coverage in due time.
Additional third-party charges may apply for using the Milestone Customer Dashboard, including, but not limited to, communication cost.
