참고: 귀하가 Milestone 판매업자, 시스템 통합업체이거나 써드파티를 대신하여 이 제품을 설치하는 경우, 본 최종 사용자 사용권 계약 내용에 대한 사용자의 동의 및 그러한 자발적인 옵션이 적용되는 경우 Milestone Systems 등록을 위한 최종 사용자 개인 데이터 제공에 대한 동의를 얻어야 합니다.


이 최종 사용자 사용권 계약(“EULA”)은 귀하(개인이든 법인이든 무관함)와 Milestone Systems A/S(“Milestone”) 사이에 Milestone 제품 또는 유틸리티(관련 소프트웨어 및 하드웨어 구성 요소, 미디어, 인쇄물, 온라인 또는 전자 문서 및 그 업데이트본이나 수정본을 포함할 수 있음, 이하 “제품”)에 대해 체결하는 법적 구속력을 지닌 계약입니다. Milestone에서 제공하는 컴퓨터 또는 서버 시스템의 일부로 본 제품을 구입한 경우, 본 EULA의 목적에 따라 해당 시스템의 모든 하드웨어 및 소프트웨어 구성 요소가 본 제품의 일부로 간주됩니다. 단, 시스템 문서에 포함되거나 시스템에 통합되어 있는 별도의 써드파티 사용권 계약의 적용을 받는 써드파티의 소프트웨어 또는 하드웨어 구성 요소는 제외됩니다.


귀하는 제품을 설치, 배포, 복사 또는 사용함으로써 이 EULA 약관에 구속됨에 동의하게 됩니다. 이 EULA 조항에 동의하지 않을 경우 제품을 설치하거나 사용하지 마십시오. 대신 제품을 관련된 모든 자료와 함께 제품 구입 후 30일 이내에 구입한 장소에 반환하면 운송료와 취급 비용을 제외한 전액을 환불 받을 수 있습니다. 귀하 또는 Milestone 판매업자(귀하를 대신하여)를 포함한 귀하의 대리인이 제품 구입 전, 제품 구입의 일부로 또는 제품 구입 시 본 EULA에 동의한 경우에는 이 반환 정책이 적용되지 않습니다. 또한 본 반환 정책은 Milestone Husky 제품 및 관련 하드웨어에는 적용되지 않습니다. 제품은 저작권법 및 국제 저작권 조약은 물론 기타 지적 재산권법과 해당 조약의 보호를 받습니다. 제품의 모든 소프트웨어 부분은 귀하에게 사용권이 허가된 것이며 매도된 것이 아님을 유의하십시오. 제품의 라이선싱은 지적 재산권의 대여 또는 판매나 제품에 대한 여하한 지적 재산권의 소유권 이전으로 간주되지 않습니다.


소프트웨어 라이선스 코드(“SLC”)가 필요한 Milestone 제품의 경우, 귀하에게 부여된 사용권은 제품 구입 시 수령한 소프트웨어 라이선스 코드로 식별됩니다.


계열사. 귀하가 항상 본 EULA의 약관에 따른 계열사의 액세스 및 제품 사용에 대한 모든 책임을 진다는 전제하에, Milestone XProtect Corporate, Milestone XProtect Expert 및/또는 Milestone XProtect Professional+에 대해 본 EULA에 따라 귀하에게 부여된 라이선스는 귀하의 계열사 및 그러한 회사의 직원, 대리인 및 계열사를 위해 일하는 기타 인원에 대해 그러한 제품에 대한 액세스를 허용하고 사용을 허가할 수 있게 해줍니다. 이러한 권리는 또한 귀하가 Milestone XProtect Corporate, Milestone XProtect Expert 및/또는 Milestone XProtect Professional+를 위해 구매한 Milestone XProtect 확장 프로그램 및 구성 요소에도 적용됩니다. 귀하는 (i) 귀하의 각 계열사가 제품에 대한 액세스를 허용받기 전에 본 EULA를 따르며 (ii) 귀하의 계열사가 본 EULA의 약관을 준수하도록 해야 합니다. 본 EULA의 목적상, “계열사”에는 직간접적으로 귀하가 통제하거나 귀하를 통제하거나 귀하를 포함한 단체의 공동 통제 하에 있는 모든 기업 법인을 포함하며, “통제”라 함은 이사회 다수 또는 비슷한 관리 권한을 지닌 자들을 선출 또는 지명할 권한에 대한 자격인 발행증권의 50% 이상을 소유한 자를 의미합니다.


자동 원격 업데이트의 수락. 조직의 시스템 관리자가 도구 또는 운영 체제 방법을 사용하여 컴퓨터에 소프트웨어 제품을 자동 원격 업데이트 또는 설치할 수 있습니다. XProtect Update Manager는 그러한 도구의 예입니다. 제품을 자동 업데이트하는 데 해당 도구를 사용하는 경우, 새 제품에 대한 EULA를 수락할 필요가 없습니다. 귀하는 이 EULA를 수락함으로써, 향후 제품 업데이트에 대해 EULA를 수락할 권리를 사용자를 대신하는 시스템 관리자에게 할당하게 됩니다.


AWS Cloud 배포. Milestone XProtect 비디오 관리 소프트웨어 제품은 또한 기존 보유 라이선스 사용 모델(“BYOL”)에 따라 Amazon Machine Image(“AMI”)로 제공되며 연계된 CloudFormation 스크립트를 이용해 AWS cloud 서비스 인프라에 배포될 수 있습니다. 이 스크립트는 귀하의 AWS 계정에서 새로운 Virtual Private Cloud(“VPC”) 내에 제품을 기본으로 배포하는 기능을 수행합니다. 귀하는 귀하의 특정 AWS cloud 서비스 인프라에 제품을 배포하는 데 필요한 한도 내에서 CloudFormation 스크립트 또는 스크립트가 생성한 기본 배포 내역을 변경할 수 있습니다. CloudFormation 스크립트는 일체의 보증 없이 “있는 그대로” 제공되며 이는 특정 목적에의 적합성에 대한 묵시적 보증을 포함하되 이에 제한되지 않습니다. Milestone은 CloudFormation 스크립트 또는 스크립트가 생성하는 기본 배포 내역의 변경에 대한 일체의 보증과 동의, 책임을 부인합니다. 배포 및 배포된 제품의 사용에 따르는 전체적인 위험과 책임은 사용자인 귀하에게 귀속됩니다.


지적 재산권. 제품과 사본에 대한 저작권을 포함하되 이에 제한되지 않고 모든 권리와 권한은 Milestone이 소유하며, 이러한 제품에 써드파티가 기여한 경우, 이러한 기여에 대한 권리와 권한만 그 허가자가 소유합니다. Milestone은 계약서에 명시적으로 언급되지 않은 모든 권리를 보유합니다.

제품에는 HEVC Advance Patent Portfolio License에 따라 라이선스된 HEVC/H.265 기술이 포함될 수 있으며 그러한 기술의 사용은 patentlist.hevcadvance.com에 수록된 하나 이상의 특허권으로 보호를 받습니다.


써드파티 권리의 침해. Milestone은 제품이 써드파티의 지적 재산권을 침해하지 않도록 할 책임을 갖습니다. 하지만, 특허의 경우, (a) 구입한 날짜에 미국 또는 유럽 연합에서 부여되고 공개된 특허의 경우에만 침해에 대한 책임을 지며, (b) 다른 제품 또는 기술과 함께 사용되지 않았을 때 독립형 제품으로서 침해하는 경우에만 책임을 집니다. 그러한 침해 혐의를 주장하는 소송이 제기된 경우 Milestone에 그에 대해 신속히 서면으로 통지하여야 합니다. 이후 Milestone이 단독으로 소송을 이행하고 소송에 따르는 모든 법적 비용을 부담합니다. Milestone은 사용자에게 제기된 침해 혐의 해결을 위한 협상 또는 대신하여 소송을 수행할 수 있는 취소 불능 위임 권한을 가집니다. Milestone은 Miestone의 재량에 따라 사용자가 제품을 계속 사용할 수 있도록 하는 권리를 획득하거나, 제품과 실질적으로 같은 기능을 가진 다른 제품으로 교체 또는 수정함으로써 침해를 해소하거나, 합리적인 비용으로 이러한 구제 수단이 불가능한 경우 이 EULA를 즉시 종료할 권한이 있습니다. 종료된 경우, 사용자는 보상 또는 배상을 포함하되 이에 제한되지 않는 추가적인 청구를 Milestone에 할 수 없습니다.


오류 수정. 제품의 결함 또는 오류는 제품 기능에 전체적으로 영향을 미치는 경우, 또는 제품의 작동을 방해하는 경우에만 실질적인 사항으로 간주됩니다. 제품의 구입일로부터 90일 이내에 제품에 결함 또는 오류가 있음을 문서로 알린 경우, Milestone은 재량에 따라 (i) 실질적인 결함 또는 오류가 없는 제품의 새로운 복사본을 인도하거나, (ii) 결함 또는 오류를 무료로 구제 또는 교정하거나, (iii) 이 EULA를 해지하고 사용자가 제품의 모든 사본을 반환하면 사용권 사용료를 환급 의무가 있습니다. 제품에 결함 또는 오류가 있는 경우 이 절의 규정이 사용자의 유일한 구제 수단이 됩니다.


무보증. Milestone에서 제품 문서의 일부로 특정한 보증을 제공하지 않은 한, Milestone은 제품에 대한 모든 보증을 명시적으로 부인합니다. 제품 및 관련 문서 자료는 “있는 그대로” 제공되며, 상품성 또는 특정 목적에 대한 적합성의 묵시적 보증을 포함하되 이에 제한되지 않고 명시적이든 묵시적이든 어떤 보증도 포함하지 않습니다. 제품의 사용 또는 성능에서 발생하는 모든 위험은 사용자인 귀하가 감당합니다. 귀하는 이 제품을 특정 장비나 다른 소프트웨어와 함께 사용할 경우 개인 정보 보호법 및 형법을 포함하되, 이에 제한되지 않는 해당 법률의 제한을 받거나 해당 법률에 위배될 수도 있는 감시 활동 및 데이터 처리를 수행할 수도 있음을 고지받았습니다. 귀하가 해당 법률을 준수하며 사용하는지 여부를 검증할 책임은 사용자인 귀하에게 있습니다.


테스트 및 파일럿 라이선스, 제품의 베타 버전. 테스트 및/또는 파일럿 라이선스 또는 제품의 베타 버전 사용 라이선스를 포함하되 이에 제한되지 않고 구체적으로 정의된 목적으로 기타 유사한 임시 Milestone 라이선스가 부여된 경우 본 EULA에 따른 귀하의 사용권은 부여된 라이선스에 정의된 목적과 기간에만 국한됩니다. 이러한 임시 라이선스의 제한된 기간은 XProtect Management Client에 반영되거나 Milestone에서 임시 라이선스와 관련된 라이선스 문서나 파일 등에 정의합니다. 임시 라이선스가 부여된 경우 제품은 “있는 그대로” 제공되며 명시적이든 묵시적이든 어떤 보증도 포함하지 않고(상기 “무보증” 섹션 참조) Milestone은 제품에 대한 어떠한 지원도 제공하지 않습니다. 어떠한 구제 수단도 제공되지 않으며 “오류 수정”과 같은 섹션은 적용되지 않습니다. 임시 라이선스에 따라 Milestone 제품 수명주기는 적용되지 않고 지원되지 않습니다. 반면 본 EULA에 명시된 제품 사용에 관한 모든 제한 및 요구사항은 제품 사용에 동일하게 적용됩니다. 임시 라이선스에 따라 Milestone은 어떤 근거로든 제품에 대한 책임과 의무를 명시적으로 부인합니다. 임시 라이선스에 따라 Milestone에서 관련 라이선스 수수료나 결제 없이 제품을 무료로 제공하고 Milestone의 책임을 계약상 포기할 수 없는 경우 계약, 불법 행위 또는 면책으로 인해 발생하더라도 Milestone의 총 책임액은 EUR 100(백 유로)를 초과하지 않는 금액으로 제한됩니다.

위에 명시된 내용 외에도 제품이 Milestone 제품의 베타 버전인 경우 테스트 및 평가 목적으로만 사용됩니다. 제품의 베타 버전은 완전히 작동하지 않을 수 있고 오류나 설계 결함을 포함할 수 있으며 이를 사용하면 예상치 않은 결과, 데이터 손실, 프로젝트 지연 또는 기타 예측할 수 없는 손상이나 손실이 발생할 수 있습니다. 본 제품은 생산이나 중요한 업무 시스템에 사용되는 것이 아니며, 귀하는 자신의 판단과 책임하에 제품을 사용해야 합니다. Milestone은 베타 버전이 아닌 제품을 제공하지 않을 수 있습니다. Milestone은 또한 어떠한 책임도 지지 않고 언제든지 개발을 중단하고 제품 가용성을 종료할 수 있습니다.

금지된 사용. 제품은 오직 제품이 사용되는 관할권, 국가 또는 지역의 해당 법률에 따라서만 적용하고 사용할 수 있습니다. 여기에는 제품을 사용하여 감독하고 녹화하는 내용, 제품에서 녹화된 데이터 및 기타 데이터의 저장에 대한 정책 및 녹화된 해당 데이터를 제품에서 내보내는 경우 이러한 데이터가 처리되는 방법에 대한 가능한 법적 제한 사항을 포함하되 이에 제한되지 않습니다. 해당 법률 및 제한 사항을 숙지하고 준수하도록 할 책임은 제품의 사용자인 귀하에게 있습니다. Milestone은 해당 법률 및/또는 제한 사항 위반으로 인한 직접적, 간접적 또는 결과적 손실이나 손상 그 어떠한 것에 대해서도 책임을 지지 않습니다.

Milestone 인권 정책에 따라, Milestone은 제품 사용을 통한 영향을 포함하여 인권에 부정적인 영향을 미치거나 이러한 부정적인 영향을 주지 않기 위해 노력합니다. 따라서, 본 EULA는 UN 세계인권선언 또는 EU 기본권 헌장을 포함하여 국제적으로 인정되는 기타 지역 인권 시스템에 명시된 대로, 개인 또는 집단의 인권을 침해하거나 이에 악영향을 미칠 목적으로 또는 이와 관련하여 제품을 사용하는 행위에 대해 다루지 않습니다. 본 약관 및 Milestone 인권 정책에 따라 그와 같은 사용은 금지되며 본 EULA의 실질적인 위반이므로 제품의 전체 사용권이 통보 없이 즉각 무효화되어 제품을 더 이상 사용하면 불법이 됩니다. 마찬가지로, Milestone은 Milestone 불만 메커니즘을 통해 인권 관련 불만 보고서가 제출되고 Milestone 내부 인권 관련 불만 조사, 처리 및 개선 절차를 통해 입증된 경우 사전 통지 없이 제품 라이선스를 종료할 권리를 보유합니다.


데이터 개인정보 보호. 귀하는 귀하가 본 제품이 카메라, DVR, NVR 또는 기타 모든 방식을 포함한 비디오 소스를 통해 제공되는 개인 데이터를 수집하고 처리하며, Milestone과 그 라이선스를 부여하는 자는 그러한 개인 데이터가 제품에 대한 입력으로 수집되고 처리되는 방식 또는 본 제품, 품질 또는 충분성을 사용하여 수집 및 처리된 개인 데이터에 독립적으로 액세스할 수 없으며 이와 관련하여 책임이 없거나 책임을 지지 않고, Milestone과 그 라이선스를 부여하는 자는 GDPR과 기타 개인정보 및 데이터 보호법을 포함하되 이에 국한되지 않는 개인정보 수집, 처리 또는 사용에 대한 해당 법률에 따른 귀하의 권리와 의무에 대해 책임이 없거나 책임을 지지 않는다는 것을 알고 있음을 진술하고 확인합니다.


Copenhagen Clause. Milestone은 기술의 힘과 기술이 삶의 질을 어떻게 향상시킬 수 있는지에 대한 솔직하고 정직한 공개적 대화를 지향하는 기술 선언인 Copenhagen Letter의 서명자입니다. 기술의 양상을 형성하는 우리 모두는 기술이 인간의 필요와 행동에 어떤 영향을 주는지, 우리가 어떻게 기술의 책임감 있는 사용을 증진시키는지에 대해 반성해야 합니다. Milestone은 우리 파트너들에게 기술의 책임감 있는 사용에 대한 중요한 논의에 참여할 뿐만 아니라 https://www.milestonesys.com/company-news/milestone/csr/the-copenhagen-letter/에서 Copenhagen Letter에 서명하고 이에 상응하는 Copenhagen Clause를 자체 약정에 채택하도록 장려합니다.


책임 제한. 이 절의 규정은 해당 법률이 허용하는 최대 범위까지 효력이 있습니다. Milestone 또는 Milestone의 공급업체는 Milestone이 손해의 가능성에 대해 알고 있었다 할지라도, 어떤 경우에도 제품의 사용 또는 사용하지 못함에서 오는, 또는 적절한 지원을 제공하거나 제공하지 못함으로 인해 발생하는 특별 손해, 우발적 손해, 간접 손해 또는 모든 결과적 손해(사업 수익 손실, 사업 중단, 사업 정보 손실 또는 기타 금전적 손실로 인한 손해를 포함하되 이에 한정되지 않음) 또는 어떠한 제품 책임(신체 상해 제외)에 대해서도 책임을 지지 않습니다. 고의적인 불법 행위나 중대한 과실이 없는 한 Milestone 및 그 공급업체의 전체 책임액은 계약, 불법 행위 또는 면책으로 인해 발생하더라도 제품에 대해 귀하가 실제 지불한 금액으로 제한됩니다.


써드파티 라이선스. 제품에는 특정 제품의 설명서에 명시된 대로 특정 써드파티 소프트웨어를 사용할 수 있는 권한이 포함됩니다. 귀하는 제품을 다른 써드파티 소프트웨어와 함께 사용하고 통합할 수 있으며, 설치 시 사용자의 목적을 위해 해당 써드파티 소프트웨어에 대한 사용권을 조사 및 확보할 책임은 귀하에게 있습니다.


Milestone 제품 수명주기. 또한 제품 사용 시 Milestone 제품 수명주기(https://www.milestonesys.com/support/tools-and-references/product-lifecycle/ 참조)가 적용됩니다. Milestone 제품 수명주기에 따라, 각 제품에 대해 정의된 별도의 내용이 없다면 라이선스 활성화는 제품이 일반 공급된 시점으로부터 10년간 제공됩니다. 10년 후에는 더 이상 새로운 IP 장치를 추가 및/또는 제품에 연결되고 활성화된 IP 장치를 교체할 수 없게 될 수 있습니다. 단, 본 EULA에 따라 귀하는 제품 사용 권리를 유지하고 기존 XProtect 시스템은 계속 작동합니다.


기타. (a) 귀하는 백업 및 아카이브 목적으로 필요한 수만큼 복사본을 만들 수 있으며, 여기에는 그러한 사본에 대한 모든 소유권 고지를 복제할 의무가 적용됩니다. (b) 귀하는 본 EULA에 명시적으로 허가된 경우가 아닌 한 써드파티에게 제품을 배포, 라이선스 재부여 또는 달리 이용할 수 있도록 해서는 안 됩니다. (c) 귀하는 계약상 포기할 수 없는 해당 법률에서 허용하는 범위까지를 제외하고 제품의 구성 요소를 역설계, 역컴파일, 수정 또는 분해할 수 없습니다. (d) 이 EULA는 이전이 불가합니다. 단, Milestone 제품을 포함하는 소유지분이 이전된 경우, 양수인이 본 EULA의 약관에 동의하는 것을 조건으로 본 제품에 대한 귀하의 모든 권리를 양수인에게 영구히 양도할 수 있습니다.


수출 통제. 귀하의 권리 범위와 본 EULA에 따라 부여된 라이선스는 UN, 미국, 영국, 덴마크 및/또는 유럽연합 및 기타 해당 국가에 의해 시행되는 일체의 해당 제재, 수출 통제 규정 또는 기타 무역 제한 조치의 적용을 받습니다. 귀하는 해당 제재, 수출 통제 규정 또는 기타 무역 제한 조치의 적용을 받거나 이로 인해 그러한 사용이 금지되는 경우 제품을 사용하거나 본 계약에 따라 부여된 라이선스 권리를 행사할 수 없습니다. 전술한 내용을 제한하지 않고 귀하는 미국, EU 또는 기타 해당 정부의 수출 금지 개인이나 단체의 명단에 포함되어 있지 않음을 진술합니다. 귀하는 귀하의 직원과 컨설턴트가 EU, 영국 및/또는 미국 수출 금수 조치, 금지 또한 제한 사항을 위반하여 제품을 사용하도록 허용해서는 안 됩니다. 또한 귀하는 제품을 사용하는 모든 직원과 컨설턴트가 미국 재무부의 해외자산통제국(OFAC) 또는 UN 안전보장이사회의 제재를 받는 국가에 거주하거나 해당 국가에서 운영하는 것을 금지할 것임을 진술하고 보증합니다.

Milestone은 해당 제재 또는 수출 통제법 또는 규정에 따라 금지되는 경우 라이선스를 부여하고 일체의 Milestone 제품을 제공할 의무가 없습니다. Milestone은 이 사용권 계약을 국내 또는 국제 대외 무역이나 세관 요구 사항 또는 금수 조치나 기타 제재로 인해 발생하는 제한 및 장애로 인해 이행 불가한 경우 이를 이행할 의무가 없습니다.

계약 종료. Milestone은 귀하가 본 EULA의 약관을 준수하지 않는 경우 및/또는 귀하가 해당 수출 통제 요건을 준수하지 않는 경우 또는 Milestone이 해당 요건을 준수할 수 있도록 하기 위해 귀하가 피해 보상, 환불 또는 일체의 보상을 청구할 권리 없이 다른 권리는 침해하지 않고 본 EULA를 종료할 수 있습니다. 그와 같은 경우, 귀하는 제품 사용을 즉시 중지하고 모든 사본을 파기하며 서면으로 그러한 파기를 증명해야 합니다.


분리 조항. 관할권의 법원 또는 정부 조직이 이 EULA의 규정이 무효이고 집행 불능 또는 범위가 제한된 경우에만 집행 불능으로 결정한 경우, 이 EULA는 그와 같은 규정이 제한된 상태로 완전한 효력을 지속합니다.


완전한 합의. 이 EULA는 이 계약의 주된 사항과 관련하여 양 당사자의 완전하고 완벽한 합의를 구성하며, 이 EULA 이전에 있었던 모든 서면 및 구두 약속 및 서약, 이 계약에 재진술되지 않은 모든 묵시적 보증, 관습법이나 일반적인 법률은 양 당사자 간의 효력으로부터 배제됩니다.


준거법. 이 EULA및 귀하와 Milestone 사이의 계약은 덴마크 법을 준거법으로 하며 이에 의거하여 분쟁 해결을 위한 유일하고 적절한 관할은 코펜하겐의 시 법원으로 정합니다.


라이선스, 설치, 사용 조건 및 제한. Milestone XProtect 비디오 관리 소프트웨어 제품은 IP 장치를 지원합니다. IP 장치는 설치된 장비에 적용된 고유한 IP 주소가 할당되어 있는 카메라, 인코더, 비디오 서비스 또는 기타 유형의 비디오 및 비디오 외 장비일 수 있습니다. Milestone의 지원되는 장치 목록에 포함되어 있으며 IP 주소 1개가 할당된 IP 장치인 경우, 제품에 연결되고 제품 내에서 활성화된 IP 장치 1개당 장치 라이선스 1개가 필요합니다. 활성화된 IP 주소가 2개 이상 할당된 IP 장치인 경우, 필요한 장치 라이선스의 수는 Milestone의 지원되는 장치 목록에 명시되어 있습니다. 지원되는 IP 장치, 필요한 라이선스 수 및 예외 사항은 https://www.milestonesys.com/support/software/supported-devices의 지원되는 장치 목록을 참조하시기 바랍니다. 하나의 IP 주소를 가진 IP 장치에 대해 다음과 같은 예외 사항이 적용됩니다. (i) 중간 장치 또는 중간 시스템을 통해 제품에 연결된 IP 장치인 경우에는 활성화된 영상 채널 1개당 장치 라이선스 1개가 필요합니다. (ii) 다수의 렌즈 또는 센서가 있는 IP 장치와, 최대 16개의 연결된 아날로그 카메라가 있는 인코더는 IP 장치 1개로만 간주됩니다. Milestone의 지원되는 장치 목록에 포함되지 않은 IP 장치 및 Milestone MIP SDK에 포함된 Video Processing Service Driver의 경우, 다음과 같은 사항이 적용됩니다. (i) 비디오 기능이 있는 IP 장치에는 활성화된 영상 채널 1개당 장치 라이선스 1개가 필요하고, (ii) 비디오 기능이 없는 IP 장치에는 IP 주소 1개당 장치 라이선스 1개가 필요합니다. 특정 XProtect® 비디오 관리 소프트웨어 제품에 특정 라이선스 약관이 적용될 수 있습니다. 각 제품의 구체적인 약관 및 조건을 참조하시기 바랍니다. 시스템 데이터 수집 및 등록. 제품에 대한 라이선스를 활성화함으로써 귀하는 핵심 시스템 데이터(사용된 장치 수 등)가 Milestone의 라이선스 시스템에서 교환 및 저장된다는 데에 동의하게 됩니다. 각 라이선스 및 시스템에 연결된 각 장치에 대한 고유 키가 생성됩니다. Milestone은 연결된 장치의 MAC 주소를 수집하고 라이선스가 EULA에 따라 사용되었는지 확인하기 위해 카메라 등록 및 삭제 횟수를 추적합니다. 또한 Milestone는 라이선스를 활성화하는 서버의 IP 주소를 등록합니다. Milestone의 푸시 알림을 사용하는 시스템의 경우 Milestone은 모바일 서버의 글로벌 고유 식별자(“GUID”)와 푸시 알림을 받기 위해 입력된 알림과 이메일 주소를 수신하기 위해 등록된 모바일 장치의 GUID를 추적합니다. 플러그인이나 기타 통합 애플리케이션과 함께 제품을 사용하는 경우, 해당 제품의 라이선스를 활성화할 때 그러한 애플리케이션의 기본 데이터 또한 수집되어 Milestone에 전송됩니다. 통합 애플리케이션에 관한 데이터에는 제조사 이름, 통합 이름 및 버전과 같은 정보가 포함됩니다. 시스템 데이터를 수집하고 관리하는 목적은 Milestone과 그 채널 파트너가 Milestone 제품에 대한 라이선스 관리를 수행할 수 있도록 하는 것입니다. 통합 애플리케이션에 대해 Milestone은 수집된 데이터를 통계 및 분석 목적으로 사용하게 됩니다. 귀하는 온라인 서비스로 전송되는 데이터를 변경, 수정 또는 어떤 식으로든 변조하지 않는다는 데 동의합니다.


최종 사용자 데이터, 일반 데이터 보호 규정. 당사의 채널 파트너를 통해 제품 라이선스를 구입할 때 Milestone에 귀사의 비즈니스 정보를 제공하고 등록해야 합니다. 또한 귀하는 Milestone에 이름, 이메일 및 전화번호 형식으로 연락 담당자에 대한 정보를 제공해야 할 수 있습니다. Milestone XProtect® Corporate

설치 및 사용 - XProtect Corporate 제품에 대해 다음과 같은 사항이 적용됩니다.

이에 따라 Milestone은 다음과 같은 조건 및 제약과 함께 제품을 설치하고 사용할 수 있는 권한을 귀하에게 부여합니다.

  1. 제품은 제품 설계 목적에 맞는 운영 체제를 실행하는 컴퓨터에서만 사용될 수 있습니다.

  2. 본 제품은 정당하게 사용권을 획득한 XProtect 비디오 관리 소프트웨어 제품 또는 Milestone Husky NVR 유닛과 연계해서만 사용할 수 있습니다.

  3. XProtect Mobile 서버의 사용은 함께 사용되는 Milestone XProtect 비디오 관리 소프트웨어 제품 또는 Milestone Husky NVR 유닛의 최종 사용자 사용권 계약에 의한 추가 제약을 받습니다.

  4. 본 EULA에 동의함으로써 귀하는 최종 사용자를 대신해 XProtect Mobile, XProtect Web Client 사용과 관련하여 XProtect Mobile 서버에 연결하도록 허용하는 약관에 동의하게 됩니다.

  5. 스마트 연결, 비디오 푸시 및 모바일 푸시 알림을 이용하려면 알림 서비스 및 무선 통신 네트워크 등 써드파티의 서비스와 네트워크 연결이 필요합니다. 위의 “책임의 제한” 섹션에서 정의한 Milestone 책임의 일반적 제한과 더불어 Milestone은 이러한 기능을 제공하기 위해 사용되는 써드파티의 네트워크나 서비스 구성 요소가 직, 간접적 원인이 되어 이러한 기능을 사용하지 못하거나 이러한 기능을 사용함으로써 발생하는 책임을 거부합니다.

  6. ‘스마트 연결’과 ‘모바일 푸시 알림’ 기능을 사용하려면 유효한 Milestone Care Plus 서비스 계약을 체결해야 합니다. Milestone Care Plus 서비스 계약을 제때 갱신하지 않아 서비스가 중단될 경우 Milestone은 이에 대해 책임을 지지 않습니다.

  7. 통신비 및 써드파티의 서비스 가입비를 포함하여(이에 국한되지는 않음) XProtect Mobile 서비스 이용에는 써드파티의 추가 요금이 부과될 수 있습니다.


Milestone XProtect 확장 및 구성 요소

Milestone XProtect® Access

설치 및 사용 – XProtect Access 제품에 대해 다음과 같은 사항이 적용됩니다.

이에 따라 Milestone은 다음과 같은 조건 및 제약과 함께 제품을 설치하고 사용할 수 있는 권한을 귀하에게 부여합니다.

  1. 본 제품은 구입이나 가입을 통해 사용권을 정당하게 획득한 XProtect 비디오 관리 소프트웨어 제품(XProtect Essential+를 제외한 일체의 XProtect 비디오 관리 소프트웨어 제품) 또는 그러한 제품의 승인된 OEM 버전, 또는 Milestone Husky NVR 유닛에만 사용할 수 있습니다.

  2. 본 제품은 XProtect 비디오 관리 소프트웨어 시스템 또는 Milestone Husky NVR 유닛에 연결된 무제한 대수의 XProtect Management Application/XProtect Management Clients 및 XProtect Smart Clients에서 작동할 수 있습니다.

  3. 써드파티의 시스템과의 원활한 통신을 위해 무제한 대수의 XProtect Access 플러그인을 XProtect 비디오 관리 소프트웨어 시스템 또는 Milestone Husky NVR 유닛의 이벤트 서버에 설치할 수 있습니다. 위의 “책임의 한계” 절에 정의된 Milestone의 책임의 일반적인 제한 이외에 Milestone은 플러그인이 Milestone이 아닌 다른 업체에서 제공한 경우나 Milestone이 제공한 XProtect Access 플러그인을 설계 및 유효성이 확인되지 않은 써드파티의 제품이나 써드파티의 제품 버전에서 사용할 경우, 이 제품 사용으로 인해 발생하는 문제나 제품을 사용할 수 없음에 대해 어떠한 책임도 지지 않습니다. 또한 Milestone은 XProtect Access를 함께 사용하는 써드파티의 제품에서의 오류로 인해 발생한 이 제품 사용 문제나 제품을 사용할 수 없음에 대해서도 책임을 지지 않습니다.

  4. 본 제품은 공식 호환되는 XProtect 비디오 관리 소프트웨어 제품 및 Milestone Husky NVR 유닛과 연계해서만 사용할 수 있습니다.

  5. XProtect Access는 소프트웨어 라이선스 코드별 제품에 대한 도어 사용권을 구입하여 등록한 개수만큼의 도어에 대해서만 사용할 수 있습니다.


Milestone XProtect® LPR

설치 및 사용 – XProtect LPR 제품에 대해 다음과 같은 사항이 적용됩니다.

이에 따라 Milestone은 다음과 같은 조건 및 제약과 함께 제품을 설치하고 사용할 수 있는 권한을 귀하에게 부여합니다.

  1. 본 제품은 구입이나 가입을 통해 사용권을 정당하게 획득한 XProtect 비디오 관리 소프트웨어 제품(XProtect Essential+를 제외한 일체의 XProtect 비디오 관리 소프트웨어 제품) 또는 그러한 제품의 승인된 OEM 버전, 또는 Milestone Husky NVR 유닛(일체의 Milestone Husky NVR 제품)에만 사용할 수 있습니다.

  2. XProtect LPR은 소프트웨어 라이선스 코드에 따라 XProtect LPR 서버로 지정된 컴퓨터에 수에 제한을 받지 않고 설치할 수 있습니다.

  3. 제품은 제품 설계 목적에 맞는 운영 체제를 실행하는 컴퓨터에서만 사용될 수 있습니다.

  4. 본 제품은 공식 호환되는 XProtect 비디오 관리 소프트웨어 제품 및 Milestone Husky NVR 유닛과 연계해서만 사용할 수 있습니다. 공식적으로 호환 가능한 Milestone 제품과 함께 사용하면 Milestone Integration Platform SDK(소프트웨어 개발 키트)를 기반으로 하여 구축된 써드파티 제품/구성 요소와도 함께 제품을 사용할 수 있습니다.

  5. XProtect LPR 플러그인은 이벤트 서버 또는 레코딩 서버로 지정된 컴퓨터 또는 Management Client 응용 프로그램을 실행하는 컴퓨터 수에 제한을 받지 않고 설치할 수 있습니다.

  6. XProtect LPR은 소프트웨어 라이선스 코드별 제품에 대한 LPR 사용권을 구입하여 등록한 개수만큼의 카메라에 대해서만 사용할 수 있습니다.

  7. XProtect LPR License Plate Libraries는 XProtect LPR 서버 수에 제한을 받지 않고 배포할 수 있습니다.

  8. XProtect LPR은 소프트웨어 라이선스 코드별 제품에 대해 구입하여 등록한 개수만큼의 XProtect LPR License Plate Library에 대해서만 사용할 수 있습니다.


Milestone XProtect® Management Server Failover

설치 및 사용 – XProtect Management Server Failover 제품에 대해 다음과 같은 사항이 적용됩니다.

이에 따라 Milestone은 다음과 같은 조건 및 제약과 함께 제품을 설치하고 사용할 수 있는 권한을 귀하에게 부여합니다.


  1. 제품은 Milestone XProtect Corporate 및 Milestone XProtect Expert와 함께만, 특히 이러한 Milestone XProtect 비디오 관리 소프트웨어 제품의 R1 2022 버전 이상부터 사용할 수 있으며, 그러한 Milestone XProtect 비디오 관리 소프트웨어 제품에 적용되는 Milestone EULA를 따릅니다.

  2. 제품은 독점적으로 귀하의 내부 비즈니스 목적을 위해서만 한 번에 하나의 지정 시스템에서만 사용, 표시 및 동작할 수 있습니다. “지정 시스템”이란 귀하가 제품을 처음 실행하고, 라이선스가 제공된 지정된 컴퓨터 시스템을 말합니다. 제품은 해당 제품의 설계 대상인 운영 시스템을 실행 중인 지정된 컴퓨터 시스템에서만 사용해야 합니다.

  3. 귀하의 통제를 벗어난 조건으로 인해 지정 시스템에서 일시적으로 제품을 사용할 수 없는 경우, 귀하는 다른 지정 시스템(“백업 시스템”)에서 일시적으로 제품을 사용할 수 있습니다. 이러한 목적을 위해, 귀하가 Milestone에 사전 서면 통지문과 그러한 임시 라이선스의 발급에 필요한 모든 정보를 제공하는 조건으로 임시 라이선스가 발급됩니다. 귀하는 지정 시스템의 일시적 장애가 시정되면 일체의 백업 시스템에 있는 제품의 모든 사본을 파기해야 하며 영업일 기준 3일 이내에 Milestone에 서면으로 그러한 파기를 증명해야 합니다.

  4. 귀하는 제품을 다른 지정 시스템(“교체용 지정 시스템”)으로 영구적으로 이전할 수 있습니다. 단, 제품의 모든 사본이 원래의 지정 시스템에서 제거 및 파기되어야 하며 그러한 파기는 영업일 기준 3일 이내에 Milestone에 서면으로 증명해야 합니다. 교체용 지정 시스템에서의 사용을 활성화하기 위한 신규 라이선스는 Milestone에 의해 발급될 것입니다. 단, 귀하는 Milestone에 사전 서면 통지문 및 그러한 신규 라이선스의 발급에 필요한 모든 정보를 제공해야 합니다.

  5. Milestone은 귀하의 제품 사용 또는 제품 작동 중단에 의해 초래된 데이터 손실 및/또는 Milestone XProtect 시스템의 구성 손실을 포함하여 일체의 손실에 대한 여하한 보증과 책임도 명시적으로 부인합니다.

  6. 또한 제품 사용은 Milestone XProtect 비디오 관리 소프트웨어 제품의 적용 버전에 적용되는 Milestone EULA의 약관에 의해 제한을 받습니다.

  7. 제품을 사용하려면 XProtect Management Server Failover 라이선스를 구매해야 합니다. 그러한 라이선스는 지정 시스템 내의 기본 및 보조 관리 서버 모두를 위해 구매해야 합니다.


Milestone XProtect® Hospital Assist

설치 및 사용 – Milestone XProtect Hospital Assist 제품에 대해 다음과 같은 사항이 적용됩니다.

이에 따라 Milestone은 다음과 같은 조건 및 제약과 함께 제품을 설치하고 사용할 수 있는 권한을 귀하에게 부여합니다.

  1. 제품을 구성하는 기능은 이 섹션 아래에 정의된 대로 EULA 및 구매한 라이선스의 약관에 따라 귀하가 사용할 권리가 있는 낙상 감지, 사생활 보호를 위한 흐릿한 처리 효과, 스티커 메모, 그리고 멀티룸 오디오입니다. 스티커 메모, 사생활 보호를 위한 흐릿한 처리 효과 및 멀티룸 오디오 기능은 귀하가 적용한 XProtect 비디오 관리 소프트웨어 설치 프로그램의 일부입니다. 그러나 낙상 감지 기능은 별도 설치 파일을 통해 설치됩니다.

  2. 본 제품은 귀하가 별도로 구매한 라이선스인 Milestone XProtect 비디오 관리 소프트웨어 제품(Milestone XProtect Essential+ 제외), 특히 2024 버전 이상의 XProtect 비디오 관리 소프트웨어 제품과만 함께 사용할 수 있습니다.

  3. 제품은 제품 설계 목적에 맞는 운영 체제를 실행하는 컴퓨터에서만 사용될 수 있습니다. 

  4. 제품을 사용하려면 각각의 활성화된 영상 채널을 위한 XProtect Hospital Assist 라이선스를 구매해야 합니다.

  5. 귀하는 제품이 “있는 그대로” 제공되며 승인된 헬스케어 제품 또는 의료 장치가 아니고 환자 모니터링을 대신하거나 의료 서비스 제공자를 대체하여 신뢰할 수 없음을 인정하고 동의합니다. Milestone은 본 제품이 환자의 낙상을 감지한다고 명시적으로든 묵시적으로든 보장하지 않습니다. 귀하는 제품이 보조 지원 도구로만 취급되어야 하므로 귀하의 결정에 대한 기본 또는 유일한 사유가 될 수 없음을 인정하고 동의합니다. 제품이 제공하는 정보의 분석에서 추론된 모든 결론은 다른 출처에서 나온 정보에서 추론된 결론뿐만 아니라 항상 전문적인 주의를 가지고 검증되어야 합니다. 귀하가 내린 모든 결론과 귀하가 취한 모든 조치는 전적으로 귀하의 책임입니다.

  6. 귀하는 제품이 제한된 병원 내 환경 내에서만 테스트를 거쳤다는 사실을 인정하고 동의합니다. 이 환경 내에서 제품 기능을 확인하기 위해 가능한 모든 노력을 다했으나, 병원 환경마다 IT 인프라 및 여타 조건이 다를 수 있다는 점을 유의해야 합니다. 따라서 제품의 성능은 다양한 병원 환경의 영향을 받을 수 있습니다.

  7. 본 EULA에서 명시적으로 승인한 경우를 제외하고, 어떤 시스템이나 응용 프로그램의 사용 또는 고장이 의료, 생명 유지 장치 또는 기타 생명에 중요한 응용 프로그램과 관련된 사용을 포함하되 이에 국한하지 않는 개인의 상해, 사망 또는 손실을 위협하거나 초래할 것이 합리적으로 예상되는 경우 제품을 그러한 시스템 또는 응용 프로그램과 함께 사용하지 않음에 동의합니다.

  8. 또한 제품 사용은 Milestone XProtect 비디오 관리 소프트웨어 제품의 적용 버전에 적용되는 Milestone EULA의 약관에 의해 제한을 받습니다.


Milestone XProtect® Incident Manager

사용 – Milestone XProtect Incident Manager 제품에 대해 다음과 같은 사항이 적용됩니다.

이에 따라 Milestone은 다음과 같은 제약과 함께 제품을 사용할 수 있는 권한을 귀하에게 부여합니다.

  1. 제품은 Milestone XProtect 비디오 관리 소프트웨어 제품 또는 이러한 제품의 승인된 OEM 버전인 Milestone XProtect Corporate 버전 2022 R2 또는 그 이후 버전, 2022 R3 또는 이후 버전인 Milestone XProtect Expert, Milestone XProtect Professional+ 및 Milestone XProtect Express+와만 사용할 수 있습니다.

  2. 제품을 사용하려면 XProtect Incident Manager 라이선스를 구매해야 합니다. Milestone XProtect Corporate 버전 2022 R2 이상을 사용하고 있는 경우 이 제품의 라이선스는 해당 Milestone XProtect Corporate 제품에 포함되어 Milestone XProtect Corporate 제품 라이선스와 함께 활성화됩니다.

  3. 또한 이 제품의 사용은 Milestone XProtect 비디오 관리 소프트웨어 제품의 적용 버전에 적용되는 Milestone EULA의 약관 또는 Milestone 제품의 적용 OEM 버전에 적용되는 라이선스 계약 약관의 적용을 받고 이에 제한을 받습니다.

설치 및 사용 – XProtect Transact 제품에 대해 다음과 같은 사항이 적용됩니다.

이에 따라 Milestone은 다음과 같은 조건 및 제약과 함께 제품을 설치하고 사용할 수 있는 권한을 귀하에게 부여합니다.

  1. 본 제품은 구입이나 가입을 통해 사용권을 정당하게 획득한 XProtect 비디오 관리 소프트웨어 제품(XProtect Essential+를 제외한 일체의 Milestone XProtect 비디오 관리 소프트웨어 제품) 또는 그러한 제품의 승인된 OEM 버전, 또는 Milestone Husky NVR 유닛(일체의 Milestone Husky NVR 제품)에만 사용할 수 있습니다.

  2. 본 제품은 XProtect 비디오 관리 소프트웨어 시스템 또는 Milestone Husky NVR 유닛에 연결된 무제한 대수의 XProtect Management Application/XProtect Management Clients 및 XProtect Smart Clients에서 작동할 수 있습니다.

  3. 본 제품은 공식 호환되는 XProtect 비디오 관리 소프트웨어 제품 및 Milestone Husky NVR 유닛과 연계해서만 사용할 수 있습니다. 공식적으로 호환 가능한 Milestone 제품과 함께 사용하면 Milestone Integration Platform SDK(소프트웨어 개발 키트)를 기반으로 하여 구축된 써드파티 제품/구성 요소와도 함께 제품을 사용할 수 있습니다.

  4. 제품은 지정된 XProtect Transact가 사용하는 소프트웨어 라이선스 코드에 따라 연결 사용권을 구입하여 등록한 개수만큼의 소스 연결에 대해서만 사용할 수 있습니다.


Milestone XProtect® Smart Wall

사용 – Milestone XProtect Smart Wall 제품에 대해 다음과 같은 사항이 적용됩니다. Milestone은 이에 따라 다음과 같은 조건 및 제약과 함께 제품을 사용할 수 있는 권한을 귀하에게 부여합니다.

  1. 본 제품은 별도의 라이선스가 적용되지 않고 XProtect Corporate 시스템에서 사용할 수 있습니다. 이 제품은 정당하게 XProtect Smart Wall 기본 라이선스를 획득한 XProtect Expert와 함께 사용할 수 있습니다.

  2. 본 제품은 XProtect Corporate 시스템에 연결된 무제한의 XProtect 관리 클라이언트 및 XProtect Smart Clients에서 작동할 수 있습니다.

  3. 이 제품의 사용은 XProtect 비디오 관리 소프트웨어 제품의 최종 사용자 사용권 계약에 의한 추가 제약을 받습니다.



Milestone XProtect® 360º Split View Plug-in

설치 및 사용 – Milestone XProtect 360º Split View Plug-in 제품에 대해 다음과 같은 사항이 적용됩니다.

  1. Milestone XProtect 비디오 관리 소프트웨어 제품 또는 Milestone Husky NVR 유닛과 함께 사용할 경우, 제품은 Milestone XProtect Smart Client와 연계해서만 사용할 수 있으며, 본 EULA에 규정된 제품의 설치 및 사용 제한이 적용됩니다.

  2. 제품은 컴퓨터의 수에 제한 없이 설치할 수 있습니다.


Milestone XProtect® Device Pack

설치 및 사용 – Milestone XProtect Device Pack 제품에 대해 다음과 같은 사항이 적용됩니다.

이에 따라 Milestone은 다음과 같은 조건 및 제약과 함께 제품을 설치하고 사용할 수 있는 권한을 귀하에게 부여합니다.

  1. 본 제품 및 개별 장치 드라이버는 공식 호환되고 정당하게 사용권을 획득한 Milestone XProtect 비디오 관리 소프트웨어 제품 또는 Milestone Husky NVR 유닛과 연계해서만 사용할 수 있습니다.

  2. 제품 및 개별 장치 드라이버는 제품 설계 목적에 맞는 운영 체제를 실행하는 컴퓨터에서만 사용될 수 있습니다.

  3. 제품 및 개별 장치 드라이버는 Recording Server, Failover Recording Server 또는 NVR 유닛으로 지정된 컴퓨터에 수에 제한을 받지 않고 설치할 수 있습니다.


Milestone Open Network Bridge

설치 및 사용 – Milestone Open Network Bridge 제품에 대해 다음과 같은 사항이 적용됩니다.

이에 따라 Milestone은 다음과 같은 조건 및 제약과 함께 제품을 설치하고 사용할 수 있는 권한을 귀하에게 부여합니다.

  1. 제품은 제품 설계 목적에 맞는 운영 체제를 실행하는 컴퓨터에서만 사용될 수 있습니다.

  2. 본 제품은 적법하게 라이선스를 받은 Milestone XProtect 비디오 관리 소프트웨어(XProtect Essential+ 제외) 또는 Milestone Integration Platform을 지원하는 Milestone Husky NVR 유닛과 연계해서만 사용할 수 있습니다.

Milestone XProtect® Download Manager

설치 및 사용 – Milestone XProtect Download Manager 제품(“Download Manager”)에 대해 다음과 같은 사항이 적용됩니다.

이에 따라 Milestone은 다음과 같은 조건 및 제약과 함께 제한되지 않은 수의 Download Manager 사본을 설치하고 사용할 수 있는 권한을 귀하에게 부여합니다.

  1. Download Manager는 소프트웨어 구성 요소 설계 목적에 맞는 운영 체제를 실행하는 컴퓨터에서만 사용될 수 있습니다.

  2. Download Manager는 함께 인도된 Milestone XProtect 제품(Original XProtect 제품)과 연계해서만 사용할 수 있습니다. 공식적으로 호환 가능한 Original XProtect 제품과 함께 사용하면 Milestone SDK(소프트웨어 개발 키트) 또는 Milestone Integration Platform SDK(소프트웨어 개발 키트)를 기반으로 하여 구축된 기타 호환 가능한 Milestone 제품 및 써드파티 제품/구성 요소와 함께 Download Manager를 사용할 수도 있습니다.

  3. Download Manager의 사용은 XProtect 비디오 관리 소프트웨어 제품의 최종 사용자 사용권 계약에 의한 추가 제약을 받습니다.


XProtect Update Manager

설치 및 사용 – XProtect Update Manager 유틸리티(“Update Manager”)에 대해 다음과 같은 사항이 적용됩니다.

이에 따라 Milestone은 다음과 같은 조건 및 제약과 함께 제한되지 않은 수의 Update Manager 사본을 설치하고 사용할 수 있는 권한을 귀하에게 부여합니다.

  1. Update Manager는 Milestone XProtect 비디오 관리 소프트웨어 제품이 지원하는 운영 체제를 실행하는 컴퓨터에서만 사용할 수 있습니다. https://www.milestonesys.com/support/help-and-documentation/system-requirements/를 참조하십시오.

  2. Update Manager는 Update Manager의 원래 설계 목적에 맞는 Milestone XProtect 비디오 관리 소프트웨어 제품은 물론 Update Manager에서 지원한다고 Milestone이 확인할 수 있는 향후 제품과 관련해서만 사용할 수 있습니다. Milestone 웹사이트에서 이 제품의 문서 자료를 참조하시기 바랍니다.

  3. Update Manager를 이용하여 다른 컴퓨터에서 Milestone XProtect 비디오 관리 소프트웨어 제품을 원격 설치 및 업데이트함으로써, 귀하는 그와 같은 컴퓨터(“원격 컴퓨터”)의 시스템 관리자로 간주됩니다. 원격 컴퓨터 사용자들이 인지하지 않았을 수 있는 상황에서 자동으로 설치 프로세스가 완료된 경우라도, 원격 컴퓨터의 사용자가 Update Manager를 사용하여 설치하거나 업데이트하는 Milestone XProtect 비디오 관리 소프트웨어 제품의 EULA를 이해하고 수락하도록 확인할 책임은 시스템 관리자인 귀하에게 있습니다. 원격 컴퓨터에서 Milestone XProtect 비디오 관리 소프트웨어 제품을 원격으로 설치하거나 업데이트함으로써 귀하는 시스템 관리자로서 원격 컴퓨터 사용자가 EULA를 준수하도록 할 책임을 포함하여 이러한 책임을 수락하게 됩니다.

  4. Milestone은 귀하의 제품 사용 또는 제품 작동 중단에 의해 초래된 Milestone XProtect 시스템 중단과 데이터 및/또는 Milestone XProtect 시스템의 구성 손실을 포함하여 일체의 손실에 대한 어떤 보증과 책임도 명시적으로 부인합니다.

Milestone Husky IVO™ 시리즈 비디오 감시 장치

설치 및 사용 – Milestone Husky IVO™ 시리즈 비디오 감시 장치(Milestone Husky IVO 150D, Milestone Husky IVO 350T, Milestone Husky IVO 350R, Milestone Husky IVO 700R, Milestone Husky IVO 1000R 및 Milestone Husky IVO 1800R이 해당되며, 이들 제품의 모든 변종 포함)에 대해 다음과 같은 사항이 적용됩니다.

이에 따라 Milestone은 다음과 같은 조건 및 제한과 함께 제품을 배포하고 사용할 수 있는 권한을 귀하에게 부여합니다.

  1. 제품과 함께 인도된 XProtect 비디오 관리 소프트웨어와 Husky Assistant 및 Husky Recovery Tool과 같은 기타 가능한 소프트웨어 유틸리티는 함께 인도된 컴퓨터 하드웨어와 운영체제에서만 사용할 수 있습니다.

  2. Milestone에서 제공한 제품 소프트웨어 업데이트 및 복구 영상은 제품과 함께만 사용할 수 있습니다.

  3. 제품에는 XProtect 비디오 관리 소프트웨어가 미리 내장되어 있습니다. XProtect 비디오 관리 소프트웨어는 특정 제품에 관한 조건에 따라 사용해야 하며(이 EULA의 해당 섹션 참조), 정당하게 확보하여 등록된 소프트웨어 라이선스 코드를 사용하는 것을 전제로 합니다.

  4. 제품에는 내장 Microsoft Windows 운영 체제가 포함되어 있습니다. 내장된 Microsoft Windows 라이선스를 사용하면 Microsoft에서 출시할 수 있는 해당 Windows 운영 체제 업데이트를 무료로 이용할 수 있습니다. Microsoft의 지침에 따라 Windows 운영 체제를 최신 버전으로 유지하는 것은 귀하의 책임입니다. Milestone StableFPS

설치 및 사용 – Milestone StableFPS에 대해 다음과 같은 사항이 적용됩니다.

이에 따라 Milestone은 다음과 같은 제약과 함께 제품을 설치하고 사용할 수 있는 권한을 귀하에게 부여합니다.

  1. 제품은 Milestone XProtect 비디오 관리 소프트웨어 제품이 설치된 컴퓨터의 수에 제한 없이 설치하고 사용할 수 있습니다. 제품은 테스트, 개발, 시연 목적으로만 사용할 수 있습니다.

  2. 본 제품은 직접적인 형태든 간접적인 형태든 관계없이 귀하, 귀하의 피고용인 또는 귀하를 위해 일하는 사람만 작동할 수 있습니다. 제품은 장치 드라이버 및 사전 녹화된 미디어 스트림과 비디오 콘텐츠로 구성됩니다. 귀하는 제품 및 제품 구성요소(비디오 콘텐츠 포함)에 대한 어떠한 권리도 써드파티에 재배포, 라이선스 재부여 또는 다른 방식으로 부여할 수 없습니다. 귀하가 비디오 콘텐츠를 제품에 추가한 경우, 귀하는 써드파티가 권리를 보유한 오브젝트의 사용 라이선스와 해당 법률에 따라 해당 라이선스, 동의 또는 기타 법적 근거가 요구되는 경우 데이터 주체의 동의를 포함하여 그러한 비디오 사용에 대한 법적 근거를 확보할 책임을 집니다.

  3. 제품은 Milestone XProtect 비디오 관리 소프트웨어의 시연 또는 Milestone XProtect 비디오 관리 소프트웨어에 적용되는 애플리케이션 또는 시스템의 개발, 테스트, 시연을 위한 목적으로만 사용할 수 있습니다. Milestone은 Milestone XProtect 비디오 관리 소프트웨어에 적용되거나 연결된 애플리케이션 또는 시스템에 대한 보증을 제공하지 않으며 명시적으로 거부합니다. 그러한 애플리케이션과 시스템의 사용으로 인한 모든 위험을 비롯하여 써드파티 소프트웨어 사용에 대해 필요한 라이선스 취득에 대한 책임은 사용자인 귀하가 부담합니다.

Milestone SDK 도구

설치 및 사용 – Milestone SDK 도구(Milestone Software Development Kit(소프트웨어 개발 키트) 도구)에 대해 다음과 같은 사항이 적용됩니다.

이에 따라 Milestone은 다음과 같은 제약과 함께 제품을 설치하고 사용할 수 있는 권한을 귀하에게 부여합니다.

  1. 본 제품은 컴퓨터의 수에 제한 없이 설치할 수 있으며, 개발 목적으로 사용될 수 있습니다.

  2. 제품은 제품 설계 목적에 맞는 운영 체제를 실행하는 컴퓨터에서만 사용될 수 있습니다.

  3. MIP SDK 도구를 사용하려면 Milestone 통합 플랫폼 SDK(소프트웨어 개발 키트)(이하 ‘MIP SDK’)를 설치해야 할 수 있습니다. MIP SDK에 대한 자세한 정보는 https://www.milestonesys.com/support/for-developers/sdk/에서 확인할 수 있습니다.

  4. 본 제품은 직접적인 형태든 간접적인 형태든 관계없이 귀하, 귀하의 피고용인 또는 귀하를 위해 일하는 사람만 작동할 수 있습니다. 따라서 이 제품은 어떤 방식으로든 귀하의 고객 또는 기타 써드파티가 작동하거나 사용할 수 없습니다.

  5. 제품은 Milestone XProtect 제품, Milestone Integration Platform SDK(소프트웨어 개발 키트)를 지원하는 Milestone Husky NVR 제품 및 Milestone XProtect 제품의 승인된 OEM 버전에 한하여 함께 사용할 수 있습니다. 이 제품은 Milestone 제품이 아닌 제품과 연결하여 별도로 사용할 수 없습니다.

  7. 귀하는 최종 사용자가 Milestone 제품이나 Milestone 제품의 OEM 버전을 특정 제품에 적용된 본 EULA를 비롯한 사용권 계약 약관을 침해하거나, Milestone 제품이나 Milestone 제품의 OEM 버전의 사용권 체제를 위반 혹은 우회하여 사용하는 것이 가능한 방식으로 제품을 사용하지 않음에 동의하고 보증합니다.

  8. 제품에는 써드파티의 소프트웨어와 연결 또는 통합할 수 있게 해주는 소프트웨어 도구와 요소가 포함되어 있습니다. 본 제품은 이 써드파티 소프트웨어의 라이선스를 포함하고 있지 않습니다. 그러므로 귀하가 사용할 목적이라면 직접 획득해야 합니다.


Milestone Customer Dashboard

사용 – Milestone Customer Dashboard 유틸리티에 대해 다음과 같은 사항이 적용됩니다.

XProtect 비디오 관리 소프트웨어 라이선스 활성화 시, 귀하의 시스템 데이터(예: 사용 중인 장치 수, 연결된 장치의 MAC 주소 등)가 Milestone 라이선싱 시스템에 교환 및 저장되며, 이 시스템은 본 EULA의 일반 약관 “시스템 데이터 수집 및 등록” 항목에 명시된 대로 Milestone Customer Dashboard에서 액세스할 수 있습니다.

이에 따라 Milestone은 Milestone Customer Dashboard를 사용할 수 있는 권한을 귀하에게 부여하며 귀하는 다음과 같은 조건과 제한 사항을 수락합니다.

  1. Milestone Customer Dashboard는 Milestone 및 Milestone 파트너가 Milestone XProtect 비디오 관리 소프트웨어 및 라이선스의 설치를 관리하고 모니터링하기 위한 무료 온라인 도구입니다. Milestone Customer Dashboard는 (i) 최종 사용자의 설치에 관한 정보 관리, (ii) 라이선스 등록 및 활성화를 위한 도구를 포함하며, 귀하의 동의에 따라, (iii) 시스템 건강 및 성능 데이터에 대한 실시간 상태 개요 및 (iv) XProtect 비디오 관리 소프트웨어 설치 시 전자메일 통보 및 오류 필터링 도구를 포함합니다.

  2. XProtect 비디오 관리 소프트웨어 제품의 최종 사용자로서 귀하는 귀하의 데이터를 “XProtect 최종 사용자 등록” 양식에 등록할 수 있으며, 이 양식은 Milestone XProtect Management Client를 통해 이용할 수 있습니다. 귀하가 제공한 최종 사용자 데이터는 Milestone의 라이선스 시스템에 저장됩니다.

  3. Milestone Customer Dashboard에 대한 액세스 권한은 Milestone에 요청 시 활성화됩니다. 그러한 액세스를 통해 귀하는 Milestone XProtect 제품 라이선스를 관리할 수 있습니다.

  4. 귀하는 Milestone XProtect Management Client의 도구/옵션 섹션에 있는 상자를 체크하여 귀하의 시스템 구성 및 성능 데이터를 Milestone Customer Dashboard와 공유하는 데 동의할 수 있습니다. 카메라, 시스템 또는 네트워크 장애로부터 발생하는 오류 정보를 이러한 시스템 데이터의 예로 들 수 있습니다. 또한 귀하의 동의는 Milestone이 Milestone Customer Dashboard의 시스템 구성과 성능 데이터를 귀하에게 고객 지원 서비스를 제공하는 목적으로만 승인된 Milestone 채널 파트너와 공유하는 데 동의하는 것을 의미합니다.

  5. 귀하의 최종 사용자 데이터, 라이선스 데이터, 시스템 및 성능 데이터를 Milestone XProtect Management Client 및/또는 Milestone Customer Dashboard를 통해 제공하는 경우, 귀하는 Milestone이 라이선스 관리 및 모니터링의 형태로 Milestone 서비스를 제공할 목적과 Milestone의 서비스 개선을 위한 분석 목적으로 귀하의 데이터를 수신하고 사용하는 데 동의합니다.

  6. 귀하는 Milestone 라이선스 시스템 및/또는 Milestone Customer Dashboard로 전송된 라이선스 데이터, 시스템 및 성능 데이터를 변경, 수정 또는 여하한 방식으로 변조하지 않는 데 동의합니다. 귀하는 Milestone XProtect Management Client를 통해 셀프서비스 액세스를 제공받아 최종 사용자 데이터를 관리할 수 있으며 귀하는 자신의 최종 사용자 데이터를 정확하게 유지할 의무를 집니다. Milestone은 단독 재량에 따라 정확하지 않은 데이터를 수정하거나 제거할 권리를 보유합니다.

  7. Milestone은 라이선스를 활성화하는 동안 Milestone Customer Dashboard와의 통신 중단으로 인해 발생한 여하한 데이터 손실에 대한 책임을 지지 않습니다.

  8. 위의 “책임의 제한” 섹션에서 정의한 Milestone 책임의 일반적 제한과 더불어 Milestone은 Milestone 채널 파트너가 Milestone Customer Dashboard를 잘못 사용하거나 사용하지 못하여 발생하는 어떤 책임도 수용하지 않습니다.

Milestone End-user License Agreement

NOTE: If you are a Milestone Dealer, systems integrator or are otherwise installing this Product on behalf of a third-party, you shall ensure that you have their acceptance of this End-user License Agreement and their consent to provide end-user personal data for registration with Milestone Systems if such voluntary option is applied.


This End-user License Agreement (“EULA”) is a legally binding agreement between you (either an individual or a single legal entity) and Milestone Systems A/S (“Milestone”) for the Milestone product or utility, which may include associated software and hardware components, media, printed materials, online or electronic documentation and any updates or corrections (“Product”). If you have purchased the Product as part of a computer or server system delivered by Milestone all hardware and software components of such system shall for the purposes of this EULA be considered being parts of the Product, except however for any third-party software or hardware component which is covered by a separate third-party license agreement included in the system documentation or otherwise incorporated in the system.


By installing, deploying, copying, or otherwise using the Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Product, instead you may return it, within 30 days after purchase of the Product, along with all associated material to your place of purchase for a full refund, less any shipping and handling costs. This return policy does not apply if you or your representative, including your Milestone dealer (on your behalf) have accepted this EULA prior to, or as part of, your purchase of the Product. Furthermore, this return policy does not apply to Milestone Husky products and related hardware. The Product is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Note that all software parts of Product are licensed to you, not sold. The licensing of the Product does not constitute a lease or a sale of intellectual property rights, or any transfer of the ownership of any intellectual property rights in the Product.


For Milestone products where a Software License Code (“SLC”) is required, the license you have been granted is identified by the Software License Code you have received when purchasing the Product.


Affiliated Companies. The license you have been granted under this EULA for Milestone XProtect Corporate, Milestone XProtect Expert and/or Milestone XProtect Professional+ allows you to grant access to and permit the use of such Product by your Affiliated Companies and their respective employees, representatives and other persons working for your Affiliated Companies, provided that you will at all times remain fully responsible for the Affiliated Companies’ access and use of the Product in compliance with the terms of this EULA. This right also covers Milestone XProtect Extensions and Components purchased by you for Milestone XProtect Corporate, Milestone XProtect Expert and/or Milestone XProtect Professional+. You shall ensure that (i) your Affiliated Companies each submit to this EULA before they are granted access to the Product, and (ii) your Affiliated Companies are in compliance with the terms of this EULA. For the purpose of this EULA, “Affiliated Companies” include any corporate entity that, either directly or indirectly, is controlled by you, or controls you, or under common control with you, where “control’” shall mean the ownership of more than fifty percent of the voting securities entitling to the right to elect or appoint the majority of the board of directors, or a similar managing authority.


Acceptance of Unattended Remote Updating. The system administrator of your organization may today or in the future be using a tool or operating system method enabling remote and unattended updating or installation of software products on your computer; XProtect Update Manager is an example of such a tool. In case such a tool is used to update the Product unattended you may not be prompted to accept a EULA for the new Product. By accepting the present EULA, you assign your right to accept EULAs of future product updates to your system administrator on your behalf.


AWS Cloud Deployment. Milestone XProtect VMS products are also delivered as an Amazon Machine Image (“AMI”) under the bring-your-own-license model (“BYOL”), and can be deployed on AWS cloud services infrastructure by using the associated CloudFormation script. This script performs a default deployment of the Product in a new Virtual Private Cloud (“VPC”) under your AWS account. You can modify the CloudFormation script, or the default deployment produced by it to the extent required for the deployment of the Product in your specific AWS cloud services infrastructure. The CloudFormation script is provided “as is” without warranty of any kind, including, without limitation, the implied warranty of fitness for a particular purpose. Milestone expressly disclaims any warranty and accepts no responsibility for modifications to the CloudFormation script or to the default deployment produced by it. The entire risk and responsibility arising out of deployment and use of the deployed Product remains with you as the user.


Intellectual Property Rights. All title and rights, including but not limited to copyrights, in and to the Product and any copies thereof are owned by Milestone, or in the case of third-party contributions to such Product, the title and rights to such contributions only, are owned by our licensors. All rights not expressly granted are reserved by Milestone.

The Product may include HEVC/H.265 technology that is licensed under the HEVC Advance Patent Portfolio License and the use of such technology is covered by one or more claims of the patents listed at patentlist.hevcadvance.com.


Infringement of Third-party Rights. Milestone shall be liable for ensuring that the Product does not infringe any third-party's intellectual property rights, however, in respect of patents, only (a) patents granted and published in the United States of America or the European Union on the date of your purchase, and (b) only if the Product is infringing as a standalone product when not used with any other product(s) or technology. In the event of any action against you in which such infringement is alleged, you shall give Milestone prompt written notice thereof. Milestone shall thereafter assume the sole conduct of the case and all of its legal costs incidental to the case. Milestone shall have irrevocable power of attorney to conduct litigation on its own behalf or to negotiate for settlement of the alleged infringement with you as the user. Milestone shall be entitled, at Milestone's discretion, to either obtain the continued right for you to use the Product or bring the infringement to an end by modifying or replacing the Product by another product which possesses substantially the same functionalities as the Product, or – if none of these remedies may be achieved at a reasonable cost for Milestone – to terminate this EULA with immediate effect. In the event of termination, you shall have no further claims, to include but not limited to any right of compensation or indemnity, against Milestone.


Correction of Errors. A defect or error in the Product shall be deemed material only if it has effect on the functionality of the Product as a whole or if it prevents the operation of the Product. If you, within 90 (ninety) days after purchase of the Product, document that a material defect or error in the Product exists, Milestone shall, at its sole discretion, be obligated to (i) deliver a new copy of the Product without the material defect or error, (ii) remedy or correct the defect or error free of charge, or (iii) terminate this EULA and repay any license fee received against your return of all copies of the Product. The provisions of this paragraph constitute your sole remedies in the event of a defect or error in the Product.


No Warranties. Unless you are provided with a specific warranty from Milestone as part of your Product documentation, Milestone expressly disclaims any warranty for the Product. The Product and any related documentation are provided “as is” without warranty of any kind, either expressed or implied, including, without limitation, the implied warranties of merchantability or fitness for a particular purpose. The entire risk arising out of use or performance of the Product remains with you as the user. You are notified that the Product, when used with certain equipment or other software, may enable you to perform surveillance actions and data processing which are likely to be restricted by or contrary to applicable law, including without limitation data privacy and criminal law. The sole responsibility for verification of your use against compliance with applicable law lies with you as the user.


Test and Pilot Licenses, Beta Version of Product. If you are granted a test and/or pilot license, or another, similar temporary Milestone license for a specifically defined purpose, including, but not limited to, a license to use a beta-version of the Product, your usage rights under this EULA are limited solely to the purpose of and only for the term as defined in such a granted license. The limited term of any such temporary license is either reflected in XProtect Management Client, or otherwise defined by Milestone, for instance, in the license document or file associated with the temporary license granted. If a temporary license is granted, the Product is provided “as is” without any warranty, express or implied (cf., 'No Warranties' section above), and Milestone provides no support for the Product. No remedies shall be available, and sections such as “Correction of Errors” shall not apply. Under the temporary license, Milestone Product Lifecycle shall not apply and shall not be supported. Whereas all restrictions and requirements for the use of the Product set forth in this EULA shall apply equally to your use of the Product. Under the temporary license, Milestone expressly disclaims any responsibility and liability for the Product on any basis. If, under the temporary license, the Product is provided by Milestone free of charge and without any associated license fee or payment, and where Milestone’s liability cannot be contractually waived, Milestone’s total liability—whether arising in contract, tort, or indemnity—shall be limited to an amount not exceeding EUR 100 (one hundred Euro).

In addition to the above, if the Product is a beta version of the Milestone Product, it is intended for testing and evaluation purposes only. The beta version of the Product may not be fully functional, may contain errors, or design flaws, and its use may result in unexpected results, loss of data, project delays, or other unpredictable damage or loss. You may use such Product at your own discretion and risk, understanding that the Product is not intended for use in production or business-critical systems. Milestone may choose not to make available a non-beta version of the Product. Milestone may also choose to abandon development and terminate the availability of the Product at any time without liability.

Prohibited Use. The Product may only be applied and used in accordance with applicable law(s) of the jurisdiction, country or region it is used in. This includes, but is not limited to, possible legal restrictions to what you surveil and record with the Product, the policy for storing recorded and other data in the Product, and how such recorded data is to be handled as it is exported from the Product. It is the sole responsibility of you - the user of the Product - to be acquainted with, and to adhere to, such laws and restrictions. Milestone does not accept any liability whatsoever, for any direct, indirect or consequential losses or damages for the violation of such laws and/or restrictions.

In accordance with the Milestone Human Rights Policy, Milestone seeks to avoid causing or contributing to adverse human rights impacts, including through the use of the Product. This EULA therefore does not cover use of the Product for the purpose of, or in connection with, any violation of, or adverse impact on the human rights of any individual person or group of people as set out in the United Nations Universal Declaration of Human Rights, or other internationally recognized regional human rights systems, including the EU Charter of Fundamental Rights. Any such use is prohibited under these terms and the Milestone Human Rights Policy and is a material breach of this EULA causing the whole license for the Product to lapse immediately without notice rendering any further use of the Product unlawful. Similarly, Milestone reserves the right to terminate the Product license without prior notice where a human rights grievance report has been submitted through the Milestone Grievance Mechanism and substantiated through the Milestone internal process for human rights grievance investigation, handling and remediation.


Data privacy and protection. You represent and confirm that you are aware that the Product collects and processes personal data, supplied through any video source, including cameras, DVRs, NVRs or in any other manner, and that Milestone and its licensors shall have no responsibility or liability in connection with the manner of which such personal data is collected and processed as input to the Product or by using the Product, its quality or its sufficiency nor shall have any independent access to any such collected and processed personal data, and that Milestone and its licensors shall have no responsibility or liability as to your rights and obligations under any applicable law to collect, process or use personal data, including, but not limited to the GDPR and any other privacy and data protection laws.


Copenhagen Clause. Milestone is a signatory to the Copenhagen Letter, a technology declaration to aspire to open and honest public conversation about the power of technology and how technology should enhance the quality of life. We who shape technology must reflect on how technology affects human needs and behaviors, and how we further the responsible use of technology. Milestone encourages our partners not only to involve themselves in this important discussion on responsible use of technology, but to also sign the Copenhagen Letter at https://www.milestonesys.com/company-news/milestone/csr/the-copenhagen-letter/ and adopt a corresponding Copenhagen Clause into their own agreements.


Limitation of Liability. The provisions of this paragraph are in effect to the maximum extent permitted by applicable law. In no event shall Milestone or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) nor for any product liability (except for bodily injury) arising out of the use of or inability to use the Product or the provision of or failure to provide proper support, even if Milestone has been advised of the possibility of such damages. Absent any willful misconduct or gross negligence, the entire liability of Milestone and its suppliers, whether arising in contract, tort, or indemnity, shall be limited to the amount actually paid by you for the Product.


Third-party Licenses. The Products include rights for you to use certain third-party software as set out in the documentation for the specific Product. You may use and integrate the Products with other third-party software, and it is your responsibility when installing to investigate and obtain usage rights to any such third-party software for your purpose.


Milestone Product Lifecycle. Your use of the Product is also subject to the Milestone Product Lifecycle, cf., https://www.milestonesys.com/support/tools-and-references/product-lifecycle/. Subject to the Milestone Product Lifecycle, and unless otherwise defined therein for a specific Product, license activation is available for 10 years after Product’s general availability. After 10 years, it may no longer be possible to add new IP devices and/or replace IP devices connected to and enabled in the Product. However, subject to this EULA, you will retain your right to use the Product, and the existing XProtect system will continue to operate.


Miscellaneous. (a) You may make as many copies of the Product as may be necessary for backup and archival purposes, subject to an obligation to reproduce all proprietary notices on such copies. (b) You may not distribute, sublicense or otherwise make available the Product to third parties except as expressly permitted in this EULA. (c) You may not reverse engineer, decompile, modify, or disassemble any of the Product's components except and only to the extent permitted by applicable law which cannot be contractually waived. (d) This EULA is non-transferable save that if there is any ownership interest transferred which includes the Milestone Product, you may permanently assign all of your rights for this Product to the transferee, provided the transferee agrees to the terms of this EULA.


Export control. The scope of your rights and the license granted under this EULA shall be subject to any applicable sanctions, export control regulations or other trade restrictive measures imposed by the United Nations, the United States of America, the United Kingdom, Denmark and/or the European Union, and any other applicable country. You shall not use the Product nor exercise any license rights granted hereunder if such use is prohibited by, or subject to any applicable sanctions, export control regulations, or other trade restrictive measures. Without limiting the foregoing, you represent that you are not named on any U.S., EU, or any other applicable government list of persons or entities prohibited from receiving exports. You shall not permit your employees and consultants to use the Product in violation of any EU, UK, and/or U.S. export embargo, prohibition, or restriction. Furthermore, you represent and warrant that you will make sure that all your employees and consultants using the Product are prohibited from residing in, or operating from, any country that is sanctioned by either the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC) or the United Nations Security Council.

Milestone shall not be obliged to license and provide any Milestone Products if it would be prohibited pursuant to applicable sanctions or export control laws or regulations. Milestone shall not be obligated to fulfill this License Agreement if such fulfillment is prevented by any restrictions and impediments arising out of national or international foreign trade or customs requirements or any embargoes or other sanctions.

Termination. Without prejudice to any other rights, Milestone may terminate this EULA if you fail to comply with its terms and conditions and/or if you fail to comply with or in order for Milestone to comply with applicable export control requirements, without any right for you to claim damages, refunds or any compensation. In such an event you must immediately cease using the Product, destroy all copies of it, and certify such destruction in writing.


Severability. If a court or government body of competent jurisdiction determines that any provision of this EULA is invalid, not enforceable or enforceable only if limited in scope, this present EULA shall continue in full force and effect with such provisions stricken or so limited.


Entire Agreement. This EULA constitutes the parties' entire and complete agreement relating to the subject matter hereof and all written and oral undertakings and pledges which may have preceded this EULA, all implied warranties, rules of common law or ordinary rules of law not restated herein, are hereby excluded from effect between the parties.


Governing Law. This EULA and the contract between you and Milestone are governed by Danish law and the sole and proper forum for the settlement of disputes hereunder shall be the City Court of Copenhagen.


License, Installation and Use Conditions and Restrictions. Milestone XProtect VMS products support IP devices. IP devices can be cameras, encoders, video services or other types of video and non-video devices that are addressed through a unique IP address in the applied installation of the Product. For IP devices with one IP address included in the Milestone Supported Device List, one device license is needed per IP device connected to and enabled in the Product. For IP devices with more than one enabled IP address, the number of required device licenses is specified in the Milestone Supported Device List. Please check the supported IP devices, the required number of licenses and the exceptions in the Supported Device List at https://www.milestonesys.com/support/software/supported-devices.The following exceptions for IP devices with one IP address apply: (i) for IP devices connected to the Product through intermediate device or intermediate system one device license per enabled video channel is required; (ii) IP devices with multiple lenses or sensors, and encoders with up to 16 connected analog cameras, count as only one IP device; (iii) for encoders with more than 16 channels one device license per enabled video channel is required. Additional specific exceptions may apply, please refer to the Milestone Supported Device List for the details.


For IP devices not included in the Milestone Supported Device List and for the Video Processing Service Driver included in the Milestone MIP SDK, the following apply: (i) IP devices with video capabilities require one device license per enabled video channel, (ii) IP devices without video capabilities require one device license per IP address. Specific license terms may apply for the specific XProtect® VMS products, please refer to the Products’ specific terms and conditions, and (iii) the Video Processing Service Driver when receiving video from any connected video processing system or any directly or indirectly connected device, requires one device license per enabled video channel.


Collection and registration of system data. By activating the licenses for the Product, you accept that core system data (such as the number of used devices) is exchanged and stored in Milestone’s licensing system. A unique key for each license and each device connected to the system is generated. Milestone collects the MAC addresses of the devices connected and keeps track of the number of times cameras are registered and deleted to make sure the licenses are used according to the EULA. Milestone also registers the IP address of the server that activates the license. For systems using Milestone’s push notifications, Milestone keeps track of the Globally Unique Identifier (“GUID”) of the mobile server and the mobile devices that are registered to receive the notifications and email addresses that are entered to receive push notifications. If you use any plug-ins or other integrated applications with the Product, basic data about such applications will also be collected and sent to Milestone when activating the licenses for the Product. The data about integrated applications include information, such as: the manufacturer’s name, the name and version of the integration. The purpose of gathering and maintaining the system data is to enable Milestone and its channel partners, to enforce license management of the Milestone products. For integrated applications, Milestone will use collected data for statistical and analytical purposes. You agree to not alter, modify, or in any way tamper with the data transmitted to the online service.


End-user Data, General Data Protection Regulation. When purchasing licenses to the Product through our channel partners, the business information of your company must be provided and registered with Milestone. You may also need to provide Milestone with information on your contact persons in the form of name, email, and phone number. Milestone reserves the right to collect your business information and contact data via Milestone channel partners, including as part of the ordering and purchase process for Product(s). It is your responsibility to provide correct and up-to-date data, as well as to inform any relevant contact person(s) (e.g., your employees) of the collection and transfer of their data to Milestone, including if the data is collected via Milestone channel partners. The Product cannot be purchased and, consequently, the license cannot be granted to you unless and until the required data is provided, including via Milestone channel partners as applicable, and Milestone is able to verify you as the End-user and licensee of the Product in accordance with the Milestone verification and screening policy. The purpose of gathering and maintaining such information is to enable Milestone to verify you as the End-user and licensee of the Product, including for the purpose of compliance with applicable regulatory requirements, e.g., export control, and with Milestone’s responsible technology principles, as well as to enable Milestone and its channel partners to enforce license management, carry out the Milestone partner programs and human rights due-diligence, and to provide maintenance and support for the Product, including for the purpose of Milestone Care. Milestone is a data controller with respect to the personal data collected and used hereunder. Milestone treats your personal data in accordance with our Privacy Policy (https://www.milestonesys.com/privacy-policy/).


This EULA applies to all Products, with its general terms and specific terms and conditions valid for the mentioned individual products as detailed in the following sections:


Milestone XProtect® VMS


Milestone XProtect® Corporate

Installation and Use – for the XProtect Corporate product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

  1. The “Management Server” component of the Product may be installed on an unrestricted number of computers designated as Management Servers and possible clustered Management Failover Server per Software License Code.

  2. The “Recording Server” component of the Product may be installed on an unrestricted number of computers designated as Recording Servers and Failover Recording Servers. The Recording Servers and Failover Recording Servers must be managed by the designated Management Server(s) specified above.

  3. The Product may only be used on computers running operating systems for which the Product was designed.

  4. Installing the Product you also agree to adhere to Microsoft’s software license terms for Microsoft SQL Server 2022 Express Edition (https://www.microsoft.com/en-us/sql-server/sql-server-downloads)

  5. The Product may, with the exceptions stated in paragraphs 9 and 10 below, only be operated, regardless of whether this is directly or in some indirect form, by you, your employees or other people working for you, including law enforcement authorities investigating incidents for you. The Product may therefore, for instance, not be operated or used in any way by customers of you or other third parties, except for your Affiliated Companies as specified above, cf. general terms of this EULA, section “Affiliated Companies”.

  6. The Product may only be used for surveillance of property or land that is owned or controlled by you, or by your Affiliated Companies, or you have acquired and maintain the required legal permissions when monitoring property or land not owned or controlled by you.

  7. Using Milestone Federated Architecture, the Product may without being subject to additional licensing be used to connect other XProtect Corporate or XProtect Expert systems, provided that the federated system is rightfully licensed.

  8. Using Milestone Interconnect, the Product may be used to connect other Milestone video management software products and other Milestone approved products (please refer to Milestone’s web site https://www.milestonesys.com/products/expand-your-solution/milestone-extensions/interconnect/milestone-interconnect-compatibility/ for the latest overview of compatible products) belonging to you or a third-party. The use of Milestone Interconnect is subject to the following conditions: a) any interconnected system must be fully licensed with rightfully obtained license rights, b) you through purchase or subscription have rightfully obtained Milestone Interconnect camera licenses for the cameras that shall be accessible in the XProtect Corporate system.

  9. The Product may be remotely operated and managed by a third-party using Milestone Federated Architecture, provided that you have acquired and maintain the required legal permissions to conduct the surveillance.

  10. The Product may be remotely operated and managed by you or a third-party using Milestone Interconnect, provided that: a) you or the third-party have purchased Milestone Interconnect camera licenses for the cameras that shall be accessible in the central XProtect Corporate system, and b) you have acquired and maintain the required legal permissions to conduct the surveillance.

  11. When the Product is used with third-party map applications (such as Google Maps, Microsoft® BingTM Maps or OpenStreetMap), it is your sole responsibility to ensure that you have obtained adequate legal rights to use such map applications, and that the usage complies with the terms and conditions of the used third-party applications.

  12. You can also use the Product with the Milestone Map Service that will allow you to get access to OpenStreetMap (http://www.openstreetmap.org)© data. This data will be provided to you “as is”, including best-effort availability, and without any warranty of any kind, either express or implied, whether of title, of accuracy, of absence of errors, of fitness for purpose, or otherwise. Any damages resulting from the use of the Milestone Map Service are disclaimed.

  13. You acknowledge the requirement that the Product may only be used with as many IP devices as you have acquired device licenses for in accordance with the rules specified in the EULA general terms, “License, Installation and Use Conditions and Restrictions”.


Milestone XProtect® Expert

Installation and Use – for the XProtect Expert product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

  1. The “Management Server” component of the Product may be installed on an unrestricted number of computers designated as Management Servers and possible clustered Management Failover Server per Software License Code.

  2. The “Recording Server” component of the Product may be installed on an unrestricted number of computers designated as Recording Servers and Failover Recording Servers. The Recording Servers and Failover Recording Servers must be managed by the designated Management Server(s) specified above.

  3. The Product may only be used on computers running operating systems for which the Product was designed.

  4. Installing the Product you also agree to adhere to Microsoft’s software license terms for Microsoft SQL Server 2022 Express Edition (https://www.microsoft.com/en-us/sql-server/sql-server-downloads).

The Product may, with the exceptions stated in paragraph 6 and 7 below, only be operated, regardless of whether this is directly or in some indirect form, by you, your employees or other people working for you, including law enforcement authorities investigating incidents for you. The Product may therefore, for instance, not be operated or used in any way by customers of you or other third parties, except for your Affiliated Companies as specified above, cf. general terms of this EULA, section “Affiliated Companies”.

  6. The Product may, with the exceptions stated in paragraph 7 below, be remotely operated and managed by a third-party using Milestone Federated Architecture, provided that you have acquired and maintain the required legal permissions to conduct the surveillance.

  7. The Product may be remotely operated and managed by you or a third-party using Milestone Interconnect, provided that: a) you or the third-party have purchased Milestone Interconnect camera licenses for the cameras that shall be accessible in the central XProtect Corporate system, and b) you have acquired and maintain the required legal permissions to conduct the surveillance.

  8. When the Product is used with third-party map applications (such as Google Maps, Microsoft® BingTM Maps or OpenStreetMap), it is your sole responsibility to ensure that you have obtained adequate legal rights to use such map applications, and that the usage complies with the terms and conditions of the used third-party applications.

Milestone XProtect® Express+

Installation and Use – for the XProtect Express+ product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

  1. The “Management Server” component of the Product may be installed on one (1) computer, or cluster of computers, designated as Management Server and possible clustered Management Failover Server per Software License Code.

  2. The “Recording Server” component of the Product may be installed on one (1) computer designated as Recording Server. The Recording Server must be managed by the designated Management Server specified above.

  3. The Product may only be used on computers running operating systems for which the Product was designed.

  4. Installing the Product you also agree to adhere to Microsoft’s software license terms for Microsoft SQL Server 2022 Express Edition (https://www.microsoft.com/en-us/sql-server/sql-server-downloads).

  5. The Product may, with the exceptions stated in paragraph 6 below, only be operated, regardless of whether this is directly or in some indirect form, by you, your employees or other people working for you, including the law enforcement authorities investigating incidents for you. The Product may therefore, for instance, not be operated or used in any way by customers of yours or other third parties.

  6. The Product may be remotely operated and managed by you or a third-party using Milestone Interconnect, provided that: a) you or the third-party have purchased Milestone Interconnect camera licenses for the cameras that shall be accessible in the central Milestone XProtect Corporate system, and b) you have acquired and maintain the required legal permissions to conduct the surveillance.

  7. You acknowledge the requirement that the Product may only be used with as many IP devices as you have acquired device licenses for in accordance with the rules specified in the EULA general terms, “License, Installation and Use Conditions and Restrictions”.

XProtect® Clients

Milestone XProtect® Smart Client

Installation and Use – for the XProtect Smart Client product the following applies:

Milestone hereby grants you the right to install and use an unrestricted number of copies of the Product with the following conditions and restrictions:

  1. The Product may only be used on computers running operating systems for which the Product was designed.

  2. The Product may only be used in connection with a XProtect VMS product or a Milestone Husky NVR unit. When used together with a XProtect VMS product or a Milestone Husky NVR unit, the Product may also be used together with other compatible Milestone products and with third-party products/components built upon the Milestone Software Development Kit or the Milestone Integration Platform Software Development Kit.

  3. When used together with officially compatible Milestone products the Product may also be used together with third-party products/components built upon the Milestone Integration Platform Software Development Kit.

  4. The use of the Product is further restricted by the End-user License Agreement of the XProtect VMS product applied.


Milestone XProtect® Web Client

Use – for the XProtect Web Client product the following applies:

Milestone hereby grants you the right to use the Product on an unrestricted number of computers and devices with the following conditions and restrictions:

  1. By using the Milestone XProtect Web Client, you accept Milestone’s general terms in this EULA.

  2. The Product may only be used on computers and devices running operating systems for which the Product was designed.

  3. The Product may only be used together with the officially supported version of Milestone XProtect Mobile server or dedicated product evaluation environments provided by Milestone. Please see https://doc.milestonesys.com/latest/en-US/portal/htm/chapter-page-webc.htm/.


Milestone XProtect® Mobile

Installation and Use – for the XProtect Mobile client product the following applies:

Milestone hereby grants you the right to install and use an unrestricted number of copies of the Product with the following conditions and restrictions:

  1. The Product may only be used on devices running operating systems for which the Product was designed.

  2. The Product may only be used together with the officially supported version of XProtect Mobile server or dedicated product evaluation environments provided by Milestone. Please see https://doc.milestonesys.com/latest/en-US/portal/htm/chapter-page-mobc.htm

  3. The use of the video push functionality is subject to licensing in the XProtect VMS product or Milestone Husky NVR unit it is used together with, where each named user of the XProtect Mobile client wanting to make use of the video push functionality requires one (1) camera license in the XProtect VMS product or Milestone Husky NVR unit.


Milestone XProtect® Mobile Server

Installation and Use – for the XProtect Mobile server product the following applies:

Milestone hereby grants you the right to install and use an unrestricted number of copies of the Product with the following conditions and restrictions:

  1. The Product may only be used on computers running operating systems for which the Product was designed.

  2. The Product may only be used in connection with a rightfully licensed XProtect VMS product or Milestone Husky NVR unit.

  3. The use of the XProtect Mobile server is further restricted by the End-user License Agreement of the Milestone XProtect VMS product or Milestone Husky NVR unit it’s used together with.

  4. By accepting the present EULA you accept terms and conditions on behalf of end-users which you allow to connect to XProtect Mobile server in regard to use of XProtect Mobile and XProtect Web Client.

  5. The use of Smart Connect, Video Push and Mobile Push notifications relies on third-party services and network connectivity such as notification services and wireless communication networks. In addition to the general restrictions in Milestone’s liability defined in the section “Limitation of Liability” above, Milestone does not accept any liability arising out of the use of or inability to use any of these capabilities directly, or indirectly, caused by any of third-party network or service component used to provide these capabilities.

  6. The use of the Smart Connect and Mobile Push Notification capabilities is conditioned by a valid Milestone Care Plus service contract. Milestone accepts no liability for possible interruptions in the service caused by failure to renew the Milestone Care Plus coverage in due time.

  7. Additional third-party charges may apply for using the XProtect Mobile service, including, but not limited to, communication cost and third-party service subscriptions.

Milestone XProtect Extensions and Components

Milestone XProtect® Access

Installation and Use – for the XProtect Access product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

  1. The Product may only be used with the XProtect VMS product (any XProtect VMS product, except XProtect Essential+), or approved OEM versions of these Products, or the Milestone Husky NVR product for which the license through purchase or subscription has rightfully been obtained.

  2. The Product may be operated from an unrestricted number of XProtect Management Applications/XProtect Management Clients and XProtect Smart Clients connected to the XProtect VMS system or the Milestone Husky NVR unit.

  3. To facilitate communication with third-party systems an unrestricted number of XProtect Access plug-ins may be installed on the Event Server in the XProtect VMS system or the Milestone Husky NVR unit. In addition to the general restrictions in Milestone’s liability defined in the section “Limitation of Liability” above, Milestone does not accept any liability arising out of the use of or inability to use the Product when the plug-ins have been provided by another party than Milestone, or when the Milestone provided XProtect Access plug-in is used with a third-party product or version of a third-party product that it has not been designed and validated for. Further, Milestone does not accept any liability arising out of the use of or inability to use the Product caused by errors in any third-party product that XProtect Access is used together with.

  4. The Product may only be used in connection with officially compatible XProtect VMS products and Milestone Husky NVR units.

  5. XProtect Access may only be used with as many doors as you have purchased and registered door licenses to for the Product by the Software License Code.


Milestone XProtect® LPR

Installation and Use – for the XProtect LPR product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

  1. The Product may only be used with the XProtect VMS product (any XProtect VMS product, except XProtect Essential+), or approved OEM versions of these Products, or the Milestone Husky NVR unit (any Milestone Husky NVR product) for which the license through purchase or subscription has rightfully been obtained.

  2. The XProtect LPR may be installed on an unrestricted number of computers designated as XProtect LPR Servers per Software License Code.

  3. The Product may only be used on computers running operating systems for which the Product was designed.

  4. The Product may only be used in connection with officially compatible XProtect VMS products and Milestone Husky NVR units. When used together with officially compatible Milestone products the Product may also be used together with third-party products/components built upon the Milestone Integration Platform Software Development Kit.

  5. The XProtect LPR Plug-in may be installed on an unrestricted number of computers designated as Event Servers, or as Recording Servers, or on computers running the Management Client application.

  6. XProtect LPR may only be used with as many cameras as you have purchased and registered LPR Camera Licenses for the Product by the Software License Code.

  7. The XProtect LPR License Plate Libraries may be deployed on an unrestricted number of XProtect LPR Servers.

  8. XProtect LPR may only be used with as many XProtect LPR License Plate Libraries as you have purchased and registered for the Product by the Software License Code.


Milestone XProtect® Management Server Failover

Installation and Use – for the XProtect Management Server Failover product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:


  1. The Product may only be used in connection with Milestone XProtect Corporate and Milestone XProtect Expert, in particular starting with R1 2022 version of these Milestone XProtect VMS products and onwards, subject to the Milestone EULA applied to such Milestone XProtect VMS products.

  2. The Product may only be used, displayed and performed on one designated system at a time exclusively for your own internal business purpose. The “designated system” shall mean the designated computer system on which you first run the Product and for which a license is provided. The Product may only be used on the designated computer system running operating system for which the Product is designed.

  3. If you are temporarily unable to use the Product on the designated system because of conditions beyond your control, you may temporarily use the Product on another designated system (“Back-up System”). For this purpose, a temporary license will be issued by Milestone provided that you give Milestone prior written notice and all information necessary for the issuance of such temporary license. You shall destroy all copies of the Product on any Back-up System when the temporary failure of the designated system is corrected and shall certify such destruction in writing to Milestone within three business days.

  4. You may permanently transfer the Product to a different designated system (“Replacement Designated System”) provided that all copies of the Product are removed from the original designated system and destroyed, such destruction to be certified in writing to Milestone within three business days. A new license to enable use on the Replacement Designated System will be issued by Milestone provided that you give Milestone prior written notice and all information necessary for the issuance of such new license.

  5. Milestone expressly disclaims any warranty and responsibility for any loss, including loss of data and/or configuration of the Milestone XProtect system, caused by your use of the Product or by the Product disruption.

  6. The use of the Product is further restricted by the terms of the Milestone EULA applicable to the applied version of the Milestone XProtect VMS product.

  7. In order to use the Product, you must purchase an XProtect Management Server Failover license. Such license must be purchased for both the primary and secondary management server within your designated system.


Milestone XProtect® Hospital Assist

Installation and Use – for the Milestone XProtect Hospital Assist product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

  1. The Product consists of the following features: Fall Detection, Privacy Blur, Sticky Note, and Multiroom Audio which you have the right to use subject to the terms of this EULA and purchased license as defined below in this section. The Sticky Note, Privacy Blur and Multiroom Audio features are part of XProtect VMS installer applied by you. Whereas the Fall Detection feature is to be installed via separate installation files.

  2. The Product may only be used with Milestone XProtect VMS products (with exception of Milestone XProtect Essential+) for which a license has been separately purchased by you, in particular with the 2024 versions of XProtect VMS products and above.

  3. The Product may only be used on computers running operating systems for which the Product was designed. 

  4. To use the Product, you must purchase an XProtect Hospital Assist license for each enabled video channel.

  5. You acknowledge and accept that the Product is provided “as-is” and is not an approved healthcare product or medical device and cannot be relied upon in lieu of patient monitoring or replace medical care providers. Milestone makes no guarantee, express or implied, that this Product will detect a patient fall. You acknowledge and accept that the Product should be treated only as a secondary support tool and therefore cannot constitute the basic or sole reason for your decision. Any conclusions which are drawn from the analysis of information provided by the Product must at all times be verified with due professional care as well as with conclusions being drawn from information coming from other sources. Any conclusions made by you and any actions taken by you are your responsibility solely.

  6. You acknowledge and accept that the Product has undergone testing only within a limited hospital environment. While every effort has been made to ensure its functionality within this setting, it is important to note that IT infrastructure and other conditions in the hospital environments may vary. Therefore, the Product's performance may be affected by different hospital environments.

  7. Except as expressly authorized in this EULA, you agree that you will not use the Product with any system or application where the use or failure of such system or application can reasonably be expected to threaten or result in personal injury, death, or loss, including, without limitation, use in connection with any medical, life support or other life critical applications.

  8. The use of the Product is further restricted by the terms of the Milestone EULA applicable to the applied version of the Milestone XProtect VMS product.


Milestone XProtect® Incident Manager

Use – for the Milestone XProtect Incident Manager product the following applies:

Milestone hereby grants you the right to use the Product with the following restrictions:

  1. The Product may only be used in connection with the following Milestone XProtect VMS products or approved OEM versions of these products: Milestone XProtect Corporate version 2022 R2 or later versions, and Milestone XProtect Expert, Milestone XProtect Professional+, and Milestone XProtect Express+ that are version 2022 R3 or later versions of these products.

  2. In order to use the Product, you must purchase an XProtect Incident Manager license. If you are using Milestone XProtect Corporate version 2022 R2 or later, the license for the Product is included in and activated together with the license for your Milestone XProtect Corporate product.

  3. The use of the Product is also governed and restricted by the terms of the Milestone EULA applicable to the applied version of the Milestone XProtect VMS product, or by the terms of a license agreement applicable to the applied OEM version of the Milestone product.


Milestone XProtect® Transact

Installation and Use – for the XProtect Transact product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

  1. The Product may only be used with the XProtect VMS product (any Milestone XProtect VMS product, except XProtect Essential+), or approved OEM versions of these Products, or the Milestone Husky NVR unit (any Milestone Husky NVR product) for which the license through purchase or subscription has rightfully been obtained.

  2. The Product may be operated from an unrestricted number of XProtect Management Applications/XProtect Management Clients and XProtect Smart Clients connected to the XProtect VMS system or the Milestone Husky NVR unit.

  3. The Product may only be used in connection with officially compatible XProtect VMS products and Milestone Husky NVR units. When used together with officially compatible Milestone products the Product may also be used together with third-party products/components built upon the Milestone Integration Platform Software Development Kit.

  4. The Product may only be used with as many source connections as you have purchased and registered connection licenses for under the Software License Code used by the designated XProtect Transact.


Milestone XProtect® Smart Wall

Use – for the Milestone XProtect Smart Wall product the following applies: Milestone hereby grants you the right to use the Product with the following conditions and restrictions:

  1. The Product may be used with XProtect Corporate systems without being subject to separate licensing. The Product may be used together with XProtect Expert for which an XProtect Smart Wall base license has rightfully been obtained.

  2. The Product may be operated from an unrestricted number of XProtect Management Clients and XProtect Smart Clients connected to the XProtect Corporate system.

  3. The use of the Product is further restricted by the End-user License Agreement of the XProtect VMS product.


Milestone XProtect® 360º Split View Plug-in

Installation and Use – for the Milestone XProtect 360º Split View Plug-in product the following applies:

  1. The Product may only be used in connection with the Milestone XProtect Smart Client when used together with a Milestone XProtect VMS product, or approved OEM versions of these Products, or a Milestone Husky NVR unit, and shall be subject to the installation and use restrictions for these Products as set out in this EULA.

  2. The Product may be installed on an unrestricted number of computers.


Milestone XProtect® Input Unit Plug-ins

Installation and Use – for the Milestone XProtect Input Unit Plug-ins product the following applies:

  1. The Product may only be used in connection with the Milestone XProtect Smart Client when used together with a Milestone XProtect VMS product or a Milestone Husky NVR unit and shall be subject to the installation and use restrictions for these Products as set out in this EULA.

  2. The Product may be installed on an unrestricted number of computers.


Milestone XProtect® Device Pack

Installation and Use – for the Milestone XProtect Device Pack product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

  1. The Product and its individual Device Drivers may only be used with officially compatible and rightfully licensed Milestone XProtect VMS products or Milestone Husky NVR units.

  2. The Product and its individual Device Drivers may only be used on computers running operating systems for which the Product was designed.

  3. The Product and its individual Device Drivers may be installed on an unrestricted number of computers designated as Recording Servers, Failover Recording Servers or NVR units.


Milestone Open Network Bridge

Installation and Use – for the Milestone Open Network Bridge product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

  1. The Product may only be used on computers running operating systems for which the Product was designed.

  2. The Product may only be used in connection with a rightfully licensed Milestone XProtect VMS (except XProtect Essential+) or Milestone Husky NVR unit supporting the Milestone Integration Platform.

Milestone XProtect® Download Manager

Installation and Use – for the Milestone XProtect Download Manager product (“Download Manager”) the following applies:

Milestone hereby grants you the right to install and use an unrestricted number of copies of the Download Manager with the following conditions and restrictions:

  1. The Download Manager may only be used on computers running operating systems for which the Download Manager was designed.

  2. The Download Manager may only be used in connection with the Milestone XProtect product with which it was delivered (the Original XProtect product). When used together with the Original XProtect product the Download Manager may also be used together with other compatible Milestone products and with third-party products/components built upon the Milestone Software Development Kit or Milestone Integration Platform Software Development Kit.

  3. The use of the Download Manager is further restricted by the End-user License Agreement of the XProtect VMS product.


XProtect Update Manager

Installation and Use – for the XProtect Update Manager utilities (“Update Manager”) the following applies:

Milestone hereby grants you the right to install and use an unrestricted number of copies of the Update Manager with the following conditions and restrictions:

  1. Update Manager may only be used in connection with computers running operating systems supported by Milestone XProtect VMS products. Please see https://www.milestonesys.com/support/help-and-documentation/system-requirements/.

  2. Update Manager may only be used in connection with the Milestone XProtect VMS products for which Update Manager was originally intended as well as with future products Milestone may confirm to be supported by Update Manager. Please see this Product’s documentation on Milestone website.

  3. By using Update Manager to remotely install and update Milestone XProtect VMS products on other computers, you are regarded as being a system administrator of those computers ("Remote Computers"). Being a system administrator, it is your responsibility to ensure that the users of the Remote Computers understand and accept the EULAs of the Milestone XProtect VMS products being installed or updated using Update Manager, even in the case when the installation process has been made unattended for the users of the Remote Computers and possibly invisibly for them as well. By remotely installing or updating a Milestone XProtect VMS product on a Remote Computer you accept - as a system administrator - this responsibility, including the responsibility and liability for adherence to and compliance with this EULA by the users of Remote Computers.

  4. Milestone expressly disclaims any warranty and responsibility for any Milestone XProtect system disruption as well as any loss, including loss of data and/or configuration of the Milestone XProtect system, caused by your use of the Product or by the Product disruption.

Husky

Milestone Husky IVO™ series Video Surveillance Appliances

Installation and Use – for the Milestone Husky IVO™ series Video Surveillance Appliances (covers the following products: Milestone Husky IVO 150D, Milestone Husky IVO 350T, Milestone Husky IVO 350R, Milestone Husky IVO 700R, Milestone Husky IVO 1000R and Milestone Husky IVO 1800R, including all variants of these products) the following applies:

Milestone hereby grants you the right to deploy and use the Product with the following conditions and restrictions:

  1. The XProtect VMS software, the Husky Assistant and other possible software utilities, such as Husky Recovery Tool, delivered with the Product, may, and can, only be used with the computer hardware and operating system with which it is delivered.

  2. Product software updates and recovery images provided by Milestone for the product may, and can, only be used with the Product.

  3. The Product is preloaded with XProtect VMS software. The use of the XProtect VMS software is subject to the terms and conditions for the specific product (refer to relevant section in this EULA) and conditioned by the use of a rightfully obtained and registered Software License Code.

  4. The Product includes an embedded Microsoft Windows Operating System. The included Microsoft Windows license gives you free access to possible updates to the applicable Windows Operating System that Microsoft may release. It is your responsibility to keep the Windows Operating System current according to Microsoft’s guidelines. Milestone does not accept any responsibility for the compatibility of future software updates of the Windows Operating System, and future versions of the Microsoft Windows Operating System may change the use of available system resources in the Product, which may impact the overall performance of the Product. The Product is further dimensioned and designed for the included version of Microsoft Windows operating system. Milestone cannot guarantee compatibility with other versions of Microsoft Windows operating systems.

  5. The included Microsoft Windows Operating System must only be used together with the Product and must hence not be used on any other computer hardware. The terms and conditions for the use of the Microsoft Windows Operating System are regulated by Microsoft’s end-user license agreement.

  6. The Product may include software components from Dell EMC, e.g., integrated Dell Remote Access Controller (iDRAC), and your use of such components is subject to the Dell EMC end-user software license agreement, cf. https://www.dell.com/learn/us/en/uscorp1/legal_terms-conditions_dellgrmwebpage/art-software-license-agreements.


MIP SDK Tools

Milestone StableFPS

Installation and Use – for the Milestone StableFPS the following applies:

Milestone hereby grants you the right to install and use the Product with the following restrictions:

  1. The Product may be installed and used on an unlimited number of computers where a Milestone XProtect VMS product is installed. The Product may only be used for testing, development, and demonstration purposes.

  2. The Product may only be operated, regardless of whether this is directly or in some indirect form, by you, your employees or other people working for you. The Product consists of a device driver and prerecorded media streams, including video content. You may not redistribute, sublicense, nor otherwise grant any right to the Product and to its components, including video content, to any third party. In case any video content is added by you to the Product, it is your responsibility to ensure a legal basis for your use of such video, including a license to use objects of third-party’s rights as well as a data subject’s consent when such license, consent or other legal basis is required under applicable laws.

  3. The Product may only be used for the purpose of demonstrating of Milestone XProtect VMS, or for development, testing and demonstration of applications or systems applied with Milestone XProtect VMS. Milestone does not provide and expressly disclaims any warranty for applications or systems applied with or connected to Milestone XProtect VMS. The entire risk arising out of your use of such applications and systems remains with you as the user, including your responsibility to obtain required licenses for your use of third-party software.

  4. The Product may only be used in connection with Milestone XProtect products, Milestone Husky NVR products supporting the Milestone Integration Platform Software Development Kit, and approved OEM versions of Milestone XProtect products. The Product may not be used separately, in connection with non-Milestone products.

  5. You agree and warrant not using the Product in ways that will enable an end-user to use a Milestone product, or an OEM version of a Milestone product in a way that may infringe the license terms covering the specific product, or break or circumvent the licensing system for the Milestone product or the OEM version of a Milestone product.

Milestone SDK Tools

Installation and Use – for the Milestone SDK Tools (Milestone Software Development Kit Tools):

Milestone hereby grants you the right to install and use the Product with the following restrictions:

  1. The Product may be installed on an unlimited number of computers and can be used for development purposes.

  2. The Product may only be used on computers running operating systems for which the Product was designed.

  3. Milestone Integration Platform Software Development Kit (“MIP SDK”) may be required to be installed in order to use MIP SDK Tools. You can find more information on MIP SDK at https://www.milestonesys.com/support/for-developers/sdk/

  4. The Product may only be operated, regardless of whether this is directly or in some indirect form, by you, your employees or other people working for you. The Product may therefore, for instance, not be operated or used in any way by customers of yours or other third parties.

  5. The Product may only be used in connection with Milestone XProtect products, Milestone Husky NVR products supporting the Milestone Integration Platform Software Development Kit, and approved OEM versions of Milestone XProtect products. The Product may not be used separately, in connection with non-Milestone products.

  6. The use of the Product is further restricted by the terms and requirements set out in the End-user License Agreement for the Milestone product or the OEM version of the Milestone product it is used together with.

  7. You agree and warrant not using the Product in ways that will enable an end-user to use a Milestone product, or an OEM version of a Milestone product in a way that may infringe the terms of the license agreement, including this EULA, covering the specific product, or break or circumvent the licensing system for the Milestone product or the OEM version of a Milestone product.

  8. The Product includes software tools and components that enable you to connect or integrate with third-party software. The Product does not include licenses for such third-party software, which you must obtain yourself for your purpose.


Milestone Customer Dashboard

Use – for the Milestone Customer Dashboard utilities the following applies:

When activating the XProtect VMS licenses, your system data (e.g., the number of used devices, MAC addresses of the connected devices, etc.) is exchanged and stored in the Milestone’s licensing system, accessible via the Milestone Customer Dashboard, as specified in the general terms of this EULA, “Collection and registration of system data”.

Milestone hereby grants you the right to use the Milestone Customer Dashboard and you accept the following conditions and restrictions:

  1. Milestone Customer Dashboard is a free online tool for Milestone and Milestone partners to manage and monitor installations of Milestone XProtect VMS and licenses. Milestone Customer Dashboard contains tools for (i) managing information about end-users’ installations, (ii) registration and activation of licenses, and subject to your consent, (iii) real-time status overview of the system's health and performance data, and (iv) email notifications and error filtering in XProtect VMS installations.

  2. As the end-user of XProtect VMS product, you can register your data in the “XProtect end-user registration” form, accessible via the Milestone XProtect Management Client. The end-user data provided by you is stored in Milestone’s licensing system.

  3. Your access to the Milestone Customer Dashboard can be activated upon request to Milestone. With such access, you can administer your licenses for the Milestone XProtect products.

  4. You may consent to share your system configuration and performance data with the Milestone Customer Dashboard by checking the box in the Tools/ Options section in the Milestone XProtect Management Client. Examples of such system data are error information originating from cameras, system or network failures. Your consent also implies that you agree to Milestone sharing your system configuration and performance data in the Milestone Customer Dashboard with the authorised Milestone channel partners with the sole purpose of providing customer support services to you.

  5. When providing your end-user data, license data, system and performance data via the Milestone XProtect Management Client and/or via the Milestone Customer Dashboard, you consent to Milestone receiving and using your data for the purpose of Milestone services in the form of license management and monitoring, and for Milestone’s analytical purposes to improve our services.

  6. You agree to not alter, modify, or in any way tamper with the license data, system and performance data transmitted to Milestone’s licensing system and/or the Milestone Customer Dashboard. You are provided with self-service access via the Milestone XProtect Management Client to administer your end-user data and you are obliged to keep your end-user data accurate. Milestone reserves the right, at our sole discretion, to correct or remove inaccurate data.

  7. Milestone cannot be held responsible for any loss of data caused by disruptions in communication with the Milestone Customer Dashboard during license activation.

  8. In addition to the general restrictions in Milestone’s liability defined in the section “Limitation of Liability” above, Milestone does not accept any liability arising out of a Milestone channel partner’s misuse of, or inability to use, the Milestone Customer Dashboard.

  9. Access to certain features of the Milestone Customer Dashboard requires a valid Milestone Care Plus contract. Please see https://www.milestonesys.com/solutions/services/milestone-care/. Milestone accepts no liability for possible interruptions in the service caused by failure to renew the Milestone Care coverage in due time. 

  10. Additional third-party charges may apply for using the Milestone Customer Dashboard, including, but not limited to, communication cost.
