Questa è la versione tradotta dell'Accordo di licenza Milestone per l'utente finale. In caso di dubbio o controversia relativamente all'interpretazione dei termini e delle condizioni di questo Accordo di licenza per l'utente finale, la versione originale in inglese prevarrà su questa versione tradotta. La versione originale in inglese dell'Accordo di licenza Milestone per l'utente finale è riportata di seguito alla versione localizzata.

NOTA: se l'utente è un Rivenditore Milestone, un integratore di sistemi o sta installando questo Prodotto per conto di terzi, dovrà assicurarsi di avere l'accettazione da parte di questi ultimi del presente Accordo di licenza per l'utente finale e il loro consenso a fornire i dati personali dell'utente finale per la registrazione presso Milestone Systems, se tale opzione volontaria viene applicata.

Il presente Accordo di licenza per utente finale ("EULA", End-user License Agreement) costituisce un vincolo legale tra l'Utente (sia esso una persona fisica o un singolo soggetto giuridico) e Milestone Systems A/S ("Milestone") per il prodotto o utilità Milestone, che può includere software e componenti hardware associati, supporti, materiali stampati, documentazione elettronica o online e aggiornamenti o correzioni ("Prodotto"). Se l'Utente ha acquistato il Prodotto come parte di un computer o di un server fornito da Milestone, tutti i componenti hardware o software del sistema devono essere considerati, ai sensi del presente EULA, come parte del Prodotto, con l'esclusione di qualsiasi componente software o hardware di terze parti che rientri in un contratto di licenza separato relativo alle terze parti incluso nella documentazione del sistema o integrato in altro modo nel sistema.

Installando, implementando, copiando o utilizzando in altro modo il Prodotto, l'Utente accetta di essere vincolato dalle condizioni del presente EULA. Qualora non si accettino i termini del presente EULA, l'Utente non potrà installare o utilizzare il Prodotto e dovrà restituirlo entro 30 giorni dall'acquisto del Prodotto, insieme al materiale associato, al rivenditore presso il quale è stato acquistato al fine di ottenere un rimborso completo, costi di spedizione e gestione esclusi. Questa politica di restituzione non è applicabile se l'Utente o un suo rappresentante, compreso il distributore Milestone (per conto dell'Utente), hanno accettato il presente EULA prima o durante l'acquisto del Prodotto. Inoltre, questa politica di restituzione non è applicabile ai prodotti Milestone Husky e relativo hardware. Il Prodotto è tutelato dalle leggi sul copyright e dai trattati internazionali sul copyright, oltre che da altri trattati e disposizioni di legge relativi alla proprietà intellettuale. Nota: tutti i componenti software del Prodotto vengono concessi in licenza e non venduti. La licenza del Prodotto non costituisce una concessione o una vendita di diritti di proprietà intellettuale né altro trasferimento di titolarità di alcun diritto di proprietà intellettuale relativo al Prodotto.

Per i prodotti Milestone che richiedono un codice di licenza software ("SLC"), la licenza concessa all'Utente viene identificata nel codice di licenza software ricevuto al momento dell'acquisto del Prodotto.

Società Collegate. La licenza concessa all'Utente ai sensi del presente EULA per Milestone XProtect Corporate, Milestone XProtect Expert e/o Milestone XProtect Professional+ consente all'utente di concedere l'accesso e consentire l'uso di tale Prodotto alle Società Collegate e ai rispettivi dipendenti, rappresentanti e altri soggetti che lavorano per le Società Collegate, fermo restando che l'Utente resta sempre pienamente responsabile dell'accesso e dell'uso del Prodotto da parte delle Società Collegate in conformità con i termini del presente EULA. Tale diritto include anche i componenti e le estensioni XProtect di Milestone acquistati dall'Utente per Milestone XProtect Corporate, Milestone XProtect Expert e/o Milestone XProtect Professional+. L'Utente è tenuto ad assicurarsi che (i) ciascuna delle proprie Società Collegate sottoscriva il presente EULA prima di ricevere l'accesso al Prodotto e che (ii) le proprie Società Collegate siano in regola con i termini del presente EULA. Ai fini del presente EULA, per "Società Collegate" si intendono tutte le entità societarie che, direttamente o indirettamente, sono controllate dall'Utente, o controllano l'Utente, o sono sotto un controllo condiviso con l'Utente, ove per "controllo" si intende la proprietà di oltre il cinquanta per cento dei titoli con diritto di voto che danno diritto a eleggere o nominare la maggioranza del consiglio di amministrazione o un simile organismo di gestione.

Accettazione dell'aggiornamento remoto automatico. L'amministratore di sistema dell'azienda dell'Utente potrebbe utilizzare, attualmente o in futuro, uno strumento o un metodo del sistema operativo (come ad esempio XProtect Update Manager) che abiliti l'aggiornamento o l'installazione di prodotti software sul computer senza intervento da parte dell'Utente. Nel caso in cui si utilizzi uno strumento di questo tipo per aggiornare il Prodotto automaticamente, è possibile che non venga richiesta l'accettazione di alcun EULA. Con l'accettazione del presente EULA, l'Utente assegna al proprio amministratore di sistema il diritto di accettare, per proprio conto, i contratti di licenza dei futuri aggiornamenti del Prodotto.

Implementazione di AWS Cloud. I prodotti VMS XProtect di Milestone sono inoltre consegnati come Amazon Machine Image ("AMI") secondo il modello di licenza BYOL ("Bring Your Own License") e possono essere implementati nell'infrastruttura dei servizi AWS Cloud utilizzando lo script CloudFormation associato. Questo script esegue un'implementazione predefinita del Prodotto in un nuovo Virtual Private Cloud ("VPC") dell'account AWS dell'Utente. È possibile modificare lo script CloudFormation o l'implementazione predefinita da esso prodotta nella misura necessaria per l'implementazione del Prodotto nella propria specifica infrastruttura dei servizi AWS Cloud. Lo script CloudFormation viene fornito "così com'è" senza garanzie di alcun tipo, ivi compresa, senza limitazioni, la garanzia implicita di idoneità per uno scopo particolare. Milestone declina espressamente qualsiasi garanzia e non si assume alcuna responsabilità per le modifiche apportate allo script CloudFormation o all'implementazione predefinita da esso realizzata. Il rischio e la responsabilità derivanti dall'impiego e dall'uso del Prodotto implementato rimangono totalmente a carico dell'utente.

Diritti di proprietà intellettuale. Tutti i titoli e i diritti relativi al Prodotto, inclusi, a titolo esemplificativo, i copyright, e tutte le copie dello stesso sono di proprietà di Milestone; qualora il Prodotto contenga contributi di terze parti, i titoli e i diritti relativi esclusivamente a tali contributi in licenza sono di proprietà dei relativi concedenti. Tutti i diritti non espressamente concessi dal presente documento sono riservati a Milestone.

Il Prodotto può includere la tecnologia HEVC/H.265 che è concessa in licenza ai sensi della HEVC Advance Patent Portfolio License e l'utilizzo di tale tecnologia è coperto da una o più rivendicazioni dei brevetti disponibili su patentlist.hevcadvance.com.

Violazione dei diritti di terze parti. Sarà responsabilità di Milestone assicurare che il Prodotto non violi i diritti di proprietà intellettuale di terze parti, ma per quanto riguarda i brevetti, limitatamente ai soli (a) brevetti concessi e pubblicati negli Stati Uniti e nell'Unione Europea alla data dell'acquisto e (b) solo se il Prodotto viola tali diritti se inteso come prodotto indipendente e non quando viene utilizzato insieme ad altri prodotti o tecnologie. Nel caso in cui l'Utente sia oggetto di un'azione legale relativa a una violazione di questo tipo, l'Utente dovrà darne notifica scritta a Milestone in maniera tempestiva. In questo caso, Milestone si accollerà l'esclusiva conduzione del caso e ne sosterrà tutte le spese legali. Milestone avrà il potere irrevocabile di nominare un avvocato per condurre la causa per proprio conto o negoziare un accordo legale in merito alla presunta violazione commessa dall'Utente. A propria discrezione, Milestone avrà titolo di ottenere il diritto di utilizzo continuativo del Prodotto da parte dell'Utente o di correggere la violazione modificando il Prodotto o sostituendolo con un altro che presenti le stesse funzionalità, oppure, se non riterrà che nessuno dei rimedi sopraccitati sia applicabile a costi ragionevoli per Milestone, di rescindere questo EULA con effetto immediato. In caso di rescissione, l'Utente non potrà rivendicare alcun ulteriore diritto compreso, a titolo esemplificativo, il diritto di rimborso o di indennità nei confronti di Milestone.

Correzione degli errori. Un difetto o un errore nel Prodotto sarà da ritenersi di natura materiale soltanto se avrà effetto sulla funzionalità dell'intero Prodotto o ne impedirà il funzionamento. Se l'Utente, entro 90 (novanta) giorni dall'acquisto del Prodotto, sarà in grado di documentare l'esistenza di un difetto o errore materiale nel prodotto, Milestone sarà, a propria discrezione, obbligata a (i) consegnare una nuova copia del Prodotto priva di tale difetto o errore materiale, (ii) risolvere o correggere il difetto o l'errore o (iii) terminare questo EULA e rimborsare qualsiasi costo di licenza in cambio della restituzione di tutte le copie del Prodotto. Le disposizioni descritte nel presente paragrafo rappresentano le uniche azioni correttive dell'Utente in caso di difetti o errori nel Prodotto.

Esclusione di garanzie. Se l'utente non riceve da Milestone una garanzia specifica come parte della documentazione del Prodotto, Milestone declina espressamente qualsiasi garanzia per il Prodotto. Il Prodotto e la relativa documentazione vengono forniti "così come sono", ovvero senza garanzia di alcun tipo, espressa o implicita, ivi comprese le garanzie implicite di commerciabilità o idoneità a uno scopo specifico. L'intero rischio derivante dall'utilizzo o dal funzionamento del Prodotto resta a carico dell'Utente. L'Utente viene avvertito del fatto che il Prodotto, se utilizzato con specifiche apparecchiature o altro software, potrebbe consentire l'esecuzione di azioni di sorveglianza ed elaborazione di dati soggetti a limitazioni o contrarie alle leggi vigenti, compreso il diritto penale e la legge sulla riservatezza dei dati. L'unica responsabilità della verifica della conformità dell'utilizzo del Prodotto da parte dell'Utente in conformità con le leggi vigenti è a carico dell'Utente stesso.

Licenze per test e progetti pilota, versione beta del prodotto. Se all'Utente viene concessa una licenza per test e/o progetto pilota o un'altra licenza temporanea Milestone analoga per uno scopo specificamente definito, inclusa, a titolo esemplificativo ma non esaustivo, una licenza per utilizzare una versione beta del Prodotto, i diritti di utilizzo dell'Utente ai sensi del presente EULA sono limitati esclusivamente allo scopo e solo per la durata definiti in tale licenza concessa. La durata limitata di una qualsiasi di queste licenze temporanee è riportata in XProtect Management Client o altrimenti definita da Milestone, ad esempio nel documento di licenza o nel file associato alla licenza temporanea concessa. Se viene concessa una licenza temporanea, il Prodotto viene fornito "così com'è" senza alcuna garanzia, espressa o implicita (vedere la precedente sezione "Nessuna garanzia") e Milestone non fornisce alcun supporto per il Prodotto. Non saranno disponibili rimedi e non saranno applicabili sezioni come "Correzione degli errori". In base alla licenza temporanea, il ciclo di vita del Prodotto Milestone non sarà applicabile e non sarà supportato. Al contrario, tutte le restrizioni e i requisiti per l'utilizzo del Prodotto stabiliti nel presente EULA si applicheranno allo stesso modo all'utilizzo del Prodotto. In base alla licenza temporanea, Milestone declina espressamente qualsiasi responsabilità per il Prodotto, a qualsiasi titolo. Se, in base alla licenza temporanea, il Prodotto è fornito da Milestone gratuitamente e senza alcun costo di licenza o pagamento associato, e laddove la responsabilità di Milestone non possa essere contrattualmente esclusa, la responsabilità totale di Milestone, derivante da contratto, illecito civile o indennizzo, sarà limitata a un importo non superiore a 100 EUR (cento euro).

Oltre a quanto sopra, se si tratta di una versione beta del Prodotto Milestone, il Prodotto è destinato esclusivamente a scopi di test e valutazione. La versione beta del Prodotto potrebbe non essere completamente funzionale, potrebbe contenere errori o difetti di progettazione e il suo utilizzo potrebbe comportare risultati imprevisti, perdita di dati, ritardi nei progetti o altri danni o perdite imprevedibili. L'utente può utilizzare tale Prodotto a propria discrezione e rischio, tenendo presente che il Prodotto non è destinato all'uso in sistemi di produzione o critici per l'azienda. Milestone potrebbe decidere di non rendere disponibile una versione non beta del Prodotto. Milestone può anche decidere di abbandonare lo sviluppo e terminare la disponibilità del Prodotto in qualsiasi momento senza alcuna responsabilità.

Uso vietato. Il Prodotto può essere applicato e utilizzato solo nel rispetto delle leggi vigenti nella giurisdizione, nel Paese o nella regione in cui viene utilizzato. Ciò include, a titolo esemplificativo, le possibili restrizioni legali relative a quanto viene sottoposto alla sorveglianza e registrazione da parte dell'Utente mediante il Prodotto, alle politiche relative all'immagazzinamento nel Prodotto dei dati registrati e di altra natura, e al modo in cui tali dati registrati debbano essere gestiti una volta esportati dal Prodotto. La conoscenza e il rispetto di tali leggi e restrizioni sono da ritenersi responsabilità esclusiva dell'Utente del Prodotto. Milestone non si assume alcuna responsabilità per qualsivoglia perdita o danno diretto, indiretto o conseguente alla violazione di tali leggi e/o restrizioni.

In conformità con la propria Politica sui diritti umani, Milestone adotta ogni ragionevole sforzo al fine di evitare di causare o contribuire ad azioni od omissioni che abbiano conseguenze negative sui diritti umani, anche tramite l'uso del Prodotto. Pertanto, il presente EULA non contempla l'uso del Prodotto allo scopo di, o in connessione con, qualsiasi violazione dei diritti umani o conseguenza negativa sui diritti umani di qualsiasi singola persona o gruppo di persone come stabilito nella Dichiarazione universale dei diritti umani delle Nazioni Unite o in altri sistemi regionali riconosciuti a livello internazionale di diritti umani, inclusa la Carta dei diritti fondamentali dell'Unione Europea. Qualsiasi uso di questo tipo è vietato ai sensi dei presenti termini e della Politica sui diritti umani di Milestone e rappresenta una violazione materiale del presente EULA, che determina l'immediata decadenza senza preavviso dell'intera licenza del prodotto e rende illecito qualsiasi ulteriore uso del Prodotto stesso. Analogamente, Milestone si riserva il diritto di risolvere la licenza del Prodotto senza preavviso alcuno, nell'ipotesi in cui sia stata presentata una segnalazione di reclamo sui diritti umani tramite il Meccanismo di reclamo di Milestone e comprovata mediante il processo interno di indagine, gestione e correzione dei reclami relativi ai diritti umani adottato in Milestone.

Privacy e protezione dei dati. L'Utente dichiara e conferma di essere a conoscenza del fatto che il Prodotto raccoglie ed elabora i dati personali, forniti attraverso fonti video di qualunque genere, incluse telecamere, DVR, NVR o qualsiasi altro mezzo, e che Milestone e i suoi licenziatari non avranno alcuna responsabilità in relazione alla modalità di raccolta e trattamento di tali dati personali come input del Prodotto o tramite uso del Prodotto, della sua qualità o della sua sufficienza, né avranno alcun accesso indipendente a tali dati personali raccolti ed elaborati; dichiara e conferma inoltre che Milestone e i suoi licenziatari non avranno alcuna responsabilità per quanto riguarda i diritti e gli obblighi dell'Utente previsti da qualsiasi legge vigente in materia di raccolta, trattamento o utilizzo dei dati personali, tra cui, a titolo non limitativo, il GDPR (Regolamento generale sulla protezione dei dati) e qualsiasi altra legge sulla privacy e sulla protezione dei dati.

Copenhagen Clause. Milestone è uno dei firmatari della Copenhagen Letter, una dichiarazione sulla tecnologia che aspira a una conversazione pubblica aperta e onesta sul potere della tecnologia e il modo in cui questa dovrebbe contribuire alla qualità della vita. Chi plasma la tecnologia deve riflettere su come essa influenzi le esigenze e i comportamenti umani, e in che modo ne promuoviamo un uso responsabile. Milestone incoraggia i propri partner, non solo a farsi coinvolgere in questa importante discussione sull'uso responsabile della tecnologia, ma anche a sottoscrivere la Copenhagen Letter all'indirizzo https://www.milestonesys.com/company-news/milestone/csr/the-copenhagen-letter/ e ad adottare una Copenhagen Clause corrispondente nei propri accordi.

Limitazione di Responsabilità. Le disposizioni contenute nel presente paragrafo sono applicabili nella misura massima consentita dalla legge vigente. Milestone o i relativi fornitori non saranno in alcun caso responsabili di danni speciali, accidentali, indiretti o consequenziali di qualsiasi tipo (compresi, a titolo esemplificativo, i danni per perdita di profitti aziendali, interruzione dell'attività, perdita di informazioni aziendali o qualsiasi altra perdita pecuniaria) né di qualsiasi responsabilità legata al Prodotto (con l'esclusione dei danni alla persona) derivanti dall'utilizzo o dall'impossibilità di utilizzare il Prodotto oppure dall'errata o mancata fornitura di adeguati servizi di assistenza, anche nel caso in cui Milestone fosse stata informata della eventualità di tali danni. Con l'esclusione dei casi di grave colpa o dolo, la responsabilità complessiva di Milestone e dei suoi fornitori, derivante da contratto, illecito civile o indennizzo, non potrà superare l'importo effettivamente corrisposto dall'Utente per il Prodotto.

Licenze di terze parti. I Prodotti comprendono diritti di utilizzo di alcuni software di terze parti, secondo quanto definito nella documentazione relativa al Prodotto specifico. È possibile utilizzare e integrare i Prodotti con altri software di terze parti ed è responsabilità dell'Utente verificare e ottenere i diritti di utilizzo di tali software di terze parti per gli scopi desiderati al momento dell'installazione.

Ciclo di vita del Prodotto Milestone. L'utilizzo del Prodotto da parte dell'Utente è inoltre soggetto al Ciclo di vita del Prodotto Milestone, cfr. https://www.milestonesys.com/support/tools-and-references/product-lifecycle/. In base al Ciclo di vita del prodotto Milestone e salvo diversa definizione ivi contenuta per un Prodotto specifico, l'attivazione della licenza è disponibile per 10 anni successivi alla disponibilità generale del Prodotto. Trascorsi 10 anni, potrebbe non essere più possibile aggiungere nuovi dispositivi IP e/o sostituire i dispositivi IP collegati e abilitati nel Prodotto. Tuttavia, conformemente al presente EULA, l'Utente manterrà il diritto di utilizzare il Prodotto e il sistema XProtect esistente continuerà a funzionare.

Disposizioni varie. (a) L'Utente può effettuare copie del Prodotto nella quantità necessaria ai fini di backup e archiviazione, con l'obbligo di riprodurre tutti gli avvisi di proprietà su tali copie. (b) Non è consentito distribuire, concedere in sublicenza o rendere in altro modo disponibile il Prodotto a terze parti, salvo ove espressamente consentito dal presente EULA. (c) Non è consentito sottoporre a ingegneria inversa, decompilare, modificare o disassemblare i componenti del Prodotto, salvo e solo nella misura consentita dalla legge applicabile, alla quale non è possibile derogare in via contrattuale. (d) Il presente EULA non è trasferibile, salvo in caso di trasferimento di partecipazioni azionarie comprensive del Prodotto Milestone. È consentito cedere al cessionario tutti i propri diritti inerenti a questo Prodotto, a condizione che il cessionario accetti i termini del presente EULA.

Controllo delle esportazioni. L'ambito dei diritti dell'Utente e la licenza concessa ai sensi del presente EULA sono soggetti a qualsiasi sanzione applicabile, ai regolamenti di controllo delle esportazioni o alle altre misure restrittive del commercio imposte dalle Nazioni Unite, dagli Stati Uniti d'America, dal Regno Unito, dalla Danimarca e/o dall'Unione europea e da qualsiasi altro Paese applicabile. L'Utente non dovrà utilizzare il Prodotto né esercitare alcun diritto di licenza concesso ai sensi del presente documento se tale utilizzo è vietato o soggetto a eventuali sanzioni applicabili, regolamenti sul controllo delle esportazioni o altre misure restrittive commerciali. Fatto salvo quanto precede, l'Utente dichiara di non essere presente in alcun elenco governativo statunitense, dell'UE o di qualsiasi altro ente applicabile di persone o entità a cui sia vietato ricevere esportazioni. Non è consentito ai propri dipendenti e consulenti utilizzare il Prodotto in violazione di qualsiasi embargo, divieto o restrizione sulle esportazioni dell'UE, del Regno Unito e/o degli Stati Uniti. Inoltre, l'Utente dichiara e garantisce che si assicurerà che a tutti i propri dipendenti e consulenti che utilizzano il Prodotto sia vietato risiedere o operare in qualsiasi paese sanzionato dall'Office of Foreign Assets Control (OFAC) del Dipartimento del Tesoro degli Stati Uniti o dal Consiglio di sicurezza delle Nazioni Unite.

Milestone non è obbligata a concedere in licenza o fornire alcun Prodotto Milestone qualora ciò sia vietato ai sensi delle sanzioni applicabili o delle leggi o dei regolamenti sul controllo delle esportazioni. Milestone non sarà obbligata a rispettare il presente Accordo di licenza qualora tale adempimento sia impedito da eventuali restrizioni e impedimenti derivanti da requisiti nazionali o internazionali in materia di commercio estero o doganali o da eventuali embarghi o altre sanzioni.

Risoluzione. Fatto salvo ogni altro diritto, Milestone può risolvere il presente EULA in caso di mancato rispetto dei termini e delle condizioni in esso contenuti e/o in caso di mancato rispetto degli obblighi applicabili sul controllo delle esportazioni o tale mancanza impedisca a Milestone di rispettare tali obblighi, senza che ciò dia luogo ad alcun diritto di richiedere danni, rimborsi o altra compensazione. In tale evenienza, l'Utente dovrà cessare immediatamente l'utilizzo del Prodotto, distruggerne tutte le copie e certificarne la distruzione per iscritto.

Clausola salvatoria. Se una corte o un organismo governativo della giurisdizione di competenza decreta l'invalidità, l'inapplicabilità o l'applicabilità solo in un ambito limitato di una qualsiasi disposizione di questo EULA, esso resterà interamente in vigore ed effetto, con la sola esclusione o limitazione della disposizione in oggetto.

Totalità del contratto. Questo EULA costituisce l'intero contratto tra le parti relativamente alla materia in oggetto, pertanto tra le parti non avrà effetto alcun impegno o promessa scritta od orale precedente a questo EULA, alcuna garanzia implicita, alcuna regola del diritto comune né alcuna legge ordinaria che non venga ribadita in questo documento.

Diritto applicabile. Il presente EULA stipulato tra l'Utente e Milestone è regolamentato dalla legge danese e l'unico e solo organo competente per la risoluzione di eventuali controversie sarà il Tribunale di Copenaghen.

Licenza, condizioni di installazione e utilizzo e restrizioni. I prodotti VMS XProtect Milestone supportano i dispositivi IP. I dispositivi IP possono essere telecamere, codificatori, servizi video o altri tipi di dispositivi video e non che sono dotati di un indirizzo IP univoco nell'installazione applicata del Prodotto. Per i dispositivi IP con un indirizzo IP compreso nella Lista dei dispositivi supportati di Milestone, è necessaria una licenza per il dispositivo per ciascun dispositivo IP connesso e abilitato al Prodotto. Per i dispositivi IP con più di un indirizzo IP abilitato, il numero delle licenze per il dispositivo necessarie è specificato nella Lista dei dispositivi supportati di Milestone. Controllare i dispositivi IP supportati, il numero di licenze necessario e le eccezioni nella Lista dei dispositivi supportati all'indirizzo https://www.milestonesys.com/support/software/supported-devices. Per i dispositivi IP con un indirizzo, si applicano le seguenti eccezioni: (i) per dispositivi IP connessi al Prodotto mediante un dispositivo o un sistema intermedio, è necessaria una licenza per il dispositivo per ciascun canale video abilitato; (ii) i dispositivi IP con più obiettivi o sensori e codificatori multipli con un massimo di 16 telecamere analogiche collegate contano come un solo dispositivo IP; (iii) per codificatori con più di 16 canali è necessaria una licenza per il dispositivo per ciascun canale video abilitato. I dispositivi IP non compresi nella Lista dei dispositivi supportati e il driver del servizio di elaborazione video incluso nel MIP SDK di MIlestone, sono soggetti alle seguenti condizioni: (i) i dispositivi IP con funzionalità video richiedono una licenza per il dispositivo per ogni indirizzo canale video abilitato, (ii) i dispositivi IP senza funzionalità video richiedono una licenza per il dispositivo per ogni indirizzo IP. Ogni specifico prodotto XProtect® VMS può essere soggetto a condizioni di licenza specifiche; verificare i termini e le condizioni del Prodotto specifico; inoltre (iii) il Driver del servizio di elaborazione video richiede una licenza per il dispositivo per ogni canale video abilitato quando si ricevono video da sistemi di elaborazione video connessi o da dispositivi connessi sia in modo diretto che indiretto.

Raccolta e registrazione dei dati di sistema. Attivando le licenze per il Prodotto, l'Utente accetta che i dati di base del sistema (come il numero dei dispositivi utilizzati) siano scambiati e archiviati nel sistema di licenze Milestone. Viene generata una chiave univoca per ciascuna licenza e ogni dispositivo collegato al sistema. Milestone raccoglie gli indirizzi MAC dei dispositivi collegati e tiene traccia del numero di volte in cui le telecamere vengono registrate ed eliminate per assicurare che le licenze siano utilizzate ai sensi dell'EULA. Milestone inoltre registra l'indirizzo IP del server che attiva la licenza. Per i sistemi che utilizzano notifiche push Milestone, Milestone tiene traccia dell'Identificatore univoco globale (Globally Unique Identifier, "GUID") del server mobile e dei dispositivi mobili registrati per ricevere le notifiche e gli indirizzi e-mail che sono stati inseriti per ricevere notifiche in modalità push. Se si utilizzano plug-in o altre applicazioni integrate con il Prodotto, al momento dell'attivazione delle licenze del Prodotto vengono raccolti e inviati a Milestone anche i dati di base di tali applicazioni. I dati relativi alle applicazioni integrate includono informazioni quali: il nome del produttore, il nome e la versione dell'integrazione. Il fine della raccolta e della conservazione dei dati di sistema è quello di consentire a Milestone e ai suoi channel partner di far applicare la gestione della licenza dei prodotti Milestone. Per le applicazioni integrate, Milestone utilizzerà i dati raccolti a fini statistici e analitici. L'Utente si impegna a non alterare, modificare o manomettere in alcun modo i dati trasmessi al servizio online.

Dati degli utenti finali, regolamento generale sulla protezione dei dati. Quando si acquistano licenze del Prodotto tramite i nostri channel partner, le informazioni aziendali della società devono essere fornite e registrate su Milestone. Potrebbe essere necessario fornire a Milestone le informazioni riguardo nome, e-mail e numero di telefono delle persone da contattare. Milestone si riserva il diritto di raccogliere le informazioni aziendali e i dati di contatto dell'Utente tramite i channel partner di Milestone, anche nell'ambito del processo di ordinazione e acquisto del Prodotto/i. L'Utente ha la responsabilità di fornire dati corretti e aggiornati, ed altresì di informare i referenti del caso (ad esempio i propri dipendenti) che i rispettivi dati vengono raccolti e inviati a Milestone, anche quando tali dati vengono raccolti tramite i channel partner di Milestone. Non è possibile acquistare il Prodotto e, di conseguenza, non è possibile concedere la licenza all'Utente a meno che e fino a quando non vengano forniti i dati richiesti, anche tramite i channel partner Milestone, come applicabile, e Milestone sia in grado di verificare l'utente finale e il licenziatario del Prodotto in conformità con la politica di verifica e screening di Milestone. Queste informazioni vengono raccolte e conservate per consentire a Milestone di verificare che l'utente sia effettivamente l'Utente finale e il licenziatario del Prodotto, anche ai fini della conformità con i requisiti previsti dalle normative applicabili, ad es. riguardo il controllo delle esportazioni, e con i principi di Milestone circa l'uso responsabile della tecnologia, nonché per consentire a Milestone e ai suoi channel partner di implementare la gestione delle licenze, portare avanti i Milestone Partner Program e la due diligence in materia di diritti umani e fornire manutenzione e assistenza per il Prodotto, anche ai fini di Milestone Care. Milestone è responsabile del trattamento dei dati per quanto riguarda i dati personali raccolti e utilizzati in conformità al presente documento. Milestone tratta i dati personali in conformità alla propria Informativa sulla Privacy (https://www.milestonesys.com/privacy-policy/).

Il presente EULA si applica a tutti i Prodotti, con le seguenti condizioni generali e i termini e le condizioni specifici validi per i singoli prodotti menzionati, come specificato nelle sezioni seguenti:

VMS Milestone XProtect^®

XProtect^® Corporate di Milestone

Installazione e utilizzo. Il prodotto XProtect Corporate è soggetto alle seguenti condizioni:

Il componente "Server di registrazione" del Prodotto può essere installato su un numero illimitato di computer designati come "Server di registrazione" e "Server di registrazione per il failover". I Server di registrazione e i Server di registrazione per il failover devono essere amministrati dal/i Server di gestione designato/i specificato/i in precedenza.
Il Prodotto può essere utilizzato solo su computer dotati di sistemi operativi per i quali il Prodotto è stato progettato.
Con l'installazione del Prodotto, l'Utente accetta inoltre di aderire ai termini di licenza software di Microsoft per Microsoft SQL Server 2022 Express Edition (https://www.microsoft.com/en-us/sql-server/sql-server-downloads)
Fatta eccezione per quanto disposto ai seguenti paragrafi 9 e 10, il Prodotto può essere gestito, in maniera diretta o indiretta, solo dall'Utente o dai relativi dipendenti o collaboratori, comprese le autorità di pubblica sicurezza che potrebbero svolgere indagini su eventuali incidenti per conto dell'Utente stesso. Il Prodotto non può, ad esempio, essere gestito o utilizzato in alcun modo dai clienti dell'Utente o da altre parti terze, ad eccezione delle società collegate dell'Utente, come specificato in precedenza. Si rimanda alle condizioni generali del presente EULA, sezione "Società Collegate".
È possibile utilizzare il Prodotto solo per la sorveglianza di proprietà o terreni di proprietà o controllati dall'Utente o dalle società collegate o qualora l'Utente abbia ottenuto e mantenga le necessarie autorizzazioni legali per la sorveglianza di beni o terreni non di sua proprietà o non controllati dallo stesso.
Con l'uso di Milestone Federated Architecture, è possibile utilizzare il Prodotto senza licenze aggiuntive per la connessione ad altri sistemi XProtect Corporate o XProtect Expert, a condizione che il sistema federato disponga di regolare licenza.
Attraverso Milestone Interconnect, il Prodotto può essere utilizzato per la connessione con altri software di gestione video e prodotti approvati da Milestone (fare riferimento al sito web di Milestone https://www.milestonesys.com/products/expand-your-solution/milestone-extensions/interconnect/milestone-interconnect-compatibility/ per l'elenco aggiornato dei prodotti compatibili) appartenenti all'Utente o a terze parti. L'utilizzo di Milestone Interconnect è subordinato alle seguenti condizioni: a) qualsiasi sistema interconnesso deve disporre di licenza completa con tutti gli annessi diritti regolarmente acquisiti, b) l'Utente disponga, attraverso acquisto o sottoscrizione, di regolari licenze d'uso Milestone Interconnect per tutte le telecamere accessibili attraverso il sistema XProtect Corporate.
Il Prodotto può essere operato e gestito in remoto da una terza parte utilizzando Milestone Federated Architecture, a condizione che l'utente abbia acquisito e mantenga i permessi legali necessari per attuare la sorveglianza.
L'Utente o terze parti possono gestire e utilizzare il Prodotto in remoto attraverso Milestone Interconnect a condizione che: a) l'Utente o le terze parti abbiano acquistato le licenze Milestone Interconnect per le telecamere accessibili attraverso il sistema centrale XProtect Corporate e b) l'Utente disponga dei permessi legali necessari per attuare la sorveglianza.
Quando il Prodotto viene utilizzato con applicazioni per mappe di terze parti (ad esempio Google Maps, Microsoft^® Bing^TM Maps o OpenStreetMap), è esclusiva responsabilità dell'Utente assicurarsi di aver ottenuto i diritti legali adeguati all'uso di tali applicazioni, e garantire che il loro utilizzo sia conforme ai termini e alle condizioni delle applicazioni di terze parti.
È inoltre possibile utilizzare il Prodotto con il Milestone Map Service, che consente di accedere ai dati di OpenStreetMap (http://www.openstreetmap.org)©. Questi dati vengono forniti all'utente "così come sono", compresa la disponibilità al meglio delle possibilità e senza garanzia di alcun tipo, né espressa né implicita, ivi comprese garanzie implicite di titolarità, accuratezza, assenza di errore, di idoneità allo scopo o altro. Si declina qualunque responsabilità per eventuali danni derivanti dall'uso di Milestone Map Service.
L'utente riconosce il requisito che il Prodotto può essere utilizzato solo con un numero di dispositivi IP pari al numero di licenze di dispositivi acquistati, in conformità con le regole specificate nei termini generali dell'EULA, "Licenza, condizioni di installazione e utilizzo e restrizioni".

XProtect^® Expert di Milestone

Installazione e utilizzo. Il prodotto XProtect Expert è soggetto alle seguenti condizioni:

L'Utente riconosce il requisito che il Prodotto può essere utilizzato solo con un numero di dispositivi IP pari al numero di licenze di dispositivi acquistati, in conformità con le regole specificate nei termini generali dell'EULA, "Licenza, condizioni di installazione e utilizzo e restrizioni".

Client XProtect^®

Milestone XProtect^® Smart Client

Installazione e utilizzo. Il prodotto XProtect Smart Client è soggetto alle seguenti condizioni:

Con il presente contratto, Milestone concede all'Utente il diritto di installare e utilizzare un numero illimitato di copie del Prodotto con le seguenti condizioni e limitazioni:

Il Prodotto può essere utilizzato solo su computer dotati di sistemi operativi per i quali il Prodotto è stato progettato.
Il Prodotto può essere utilizzato esclusivamente in connessione con un prodotto VMS XProtect e con un'unità Milestone Husky NVR. Se utilizzato con un prodotto VMS XProtect o un'unità Milestone Husky NVR, il Prodotto può anche essere utilizzato con altri prodotti Milestone compatibili e con prodotti/componenti di terze parti costruiti sulla base del Milestone Software Development Kit o del Milestone Integration Platform Software Development Kit.
Se utilizzato insieme a prodotti Milestone ufficialmente compatibili, il Prodotto può essere adoperato anche con prodotti/componenti di terze parti sviluppati con Milestone Integration Platform Software Development Kit (SDK).
L'uso del Prodotto è ulteriormente limitato dall'Accordo di licenza per utente finale del prodotto VMS XProtect applicato.

Milestone XProtect^® Web Client

Utilizzo. Il prodotto XProtect Web Client è soggetto alle seguenti condizioni:

Con il presente contratto, Milestone concede all'Utente il diritto di utilizzare il Prodotto su un numero illimitato di computer e dispositivi con le seguenti condizioni e limitazioni:

Utilizzando Milestone XProtect Web Client, l'Utente accetta i termini e le condizioni generali di Milestone presenti nel presente EULA.
Il Prodotto può essere utilizzato solo su computer e dispositivi dotati di sistemi operativi per i quali è stato concepito.
Il Prodotto può essere utilizzato solo unitamente alla versione ufficialmente supportata del Server XProtect Mobile di Milestone o ad ambienti dedicati alla valutazione dei prodotti forniti da Milestone. Consultare https://doc.milestonesys.com/latest/en-US/portal/htm/chapter-page-webc.htm/.

Milestone XProtect^® Mobile

Installazione e utilizzo. Il prodotto client XProtect Mobile è soggetto alle seguenti condizioni:

L'utilizzo della funzionalità video push è soggetto a licenza nel prodotto VMS XProtect o nell'unità Milestone Husky NVR con cui viene utilizzata, in cui ciascun utente di XProtect Mobile che intenda usufruire della funzionalità video push deve disporre di una (1) licenza per ciascuna telecamera del prodotto Milestone VMS XProtect o dell'unità Milestone Husky NVR.

Milestone XProtect^® Mobile Server

Installazione e utilizzo. Il prodotto server XProtect Mobile è soggetto alle seguenti condizioni:

Con il presente contratto, Milestone concede all'Utente il diritto di installare e utilizzare un numero illimitato di copie del Prodotto con le seguenti condizioni e limitazioni:

Il Prodotto può essere utilizzato solo su computer dotati di sistemi operativi per i quali il Prodotto è stato progettato.
Il Prodotto può essere utilizzato esclusivamente in connessione con un prodotto VMS XProtect o con un'unità Milestone Husky NVR concessi in regolare licenza.
L'uso del server XProtect Mobile è soggetto a ulteriori restrizioni da parte dell'accordo di licenza per utente finale del prodotto Milestone VMS XProtect o dell'unità Milestone Husky NVR con cui il server viene utilizzato.
Con l'accettazione del presente EULA, l'Utente accetta i termini e le condizioni per conto di tutti gli utenti finali a cui consente di connettersi a Server XProtect Mobile per l'utilizzo di XProtect Mobile e XProtect Web Client.
L'utilizzo di notifiche di Smart Connect, Video Push e Mobile Push dipende dai servizi e dalla connettività della rete di terze parti, come servizi di notifica e reti di comunicazione wireless. Oltre alle limitazioni generali di responsabilità Milestone di cui alla precedente sezione "Limitazione di responsabilità", Milestone non accetta alcuna responsabilità derivante dall'utilizzo, o impossibilità di utilizzo, diretto o indiretto, di queste funzionalità, dovuto a reti o componenti di servizio di terzi utilizzati per fornire tali funzionalità.
L'utilizzo di funzionalità di notifica connessione intelligente e Mobile Push è soggetto alla stipula di un contratto di servizio valido Milestone Care Plus. Milestone declina qualsiasi responsabilità per possibili interruzioni di servizio dovute al mancato rinnovo della copertura Milestone Care Plus entro la scadenza stabilita.
Potrebbero applicarsi costi aggiuntivi di terzi per l'utilizzo del servizio XProtect Mobile, incluso, a titolo esemplificativo e non esaustivo, costi di comunicazione e abbonamento a servizi di terzi.

Componenti ed estensioni XProtect di Milestone

Milestone XProtect^® Access

Installazione e utilizzo. Il prodotto XProtect Access è soggetto alle seguenti condizioni:

Milestone concede all'Utente il diritto di installare e utilizzare il Prodotto alle seguenti condizioni e limitazioni:

Il Prodotto può essere utilizzato esclusivamente con il prodotto VMS XProtect (qualsiasi prodotto VMS XProtect, eccetto XProtect Essential+), o versioni OEM approvate di questi Prodotti, o il prodotto Milestone Husky NVR per i quali è stata regolarmente ottenuta la licenza tramite acquisto o abbonamento.
Il Prodotto può essere utilizzato da un numero illimitato di applicazioni di gestione XProtect/Client di gestione XProtect e XProtect Smart Client collegati al sistema VMS XProtect o all'unità Milestone Husky NVR.
Per facilitare la comunicazione con i sistemi di terzi parti, è possibile installare un numero illimitato di plug-in di XProtect Access sul server di eventi presente nel sistema VMS XProtect o nell'unità Milestone Husky NVR. Oltre alle limitazioni generali della responsabilità di Milestone contenute nella sezione "Limitazione di responsabilità" di cui sopra, Milestone non si assume alcuna responsabilità derivante dall'utilizzo o dall'impossibilità di utilizzare il Prodotto nel caso in cui i plug-in vengano forniti da un soggetto diverso da Milestone o in cui il plug-in XProtect Access fornito da Milestone venga utilizzato con un prodotto di terze parti o con una versione dello stesso per cui non è stato progettato o convalidato. Inoltre, Milestone non si assume alcuna responsabilità derivante dall'utilizzo o dall'impossibilità di utilizzare il Prodotto a causa di errori contenuti in qualsiasi prodotto di terze parti utilizzato insieme a XProtect Access.
Il Prodotto può essere utilizzato esclusivamente in connessione con i prodotti VMS XProtect e con le unità Milestone Husky NVR ufficialmente compatibili.

Installazione e utilizzo. Il prodotto XProtect LPR è soggetto alle seguenti condizioni:

Il Prodotto può essere utilizzato esclusivamente con il prodotto VMS XProtect (qualsiasi prodotto VMS XProtect, eccetto XProtect Essential+), o versioni OEM approvate di questi Prodotti, o l'unità Milestone Husky NVR (qualsiasi prodotto Milestone Husky NVR) per i quali è stata regolarmente ottenuta la licenza tramite acquisto o abbonamento.
È possibile installare XProtect LPR su un numero illimitato di computer designati come server XProtect LPR in base al codice di licenza software.
Il Prodotto può essere utilizzato solo su computer dotati di sistemi operativi per i quali il Prodotto è stato progettato.
Il Prodotto può essere utilizzato esclusivamente in connessione con i prodotti VMS XProtect e con le unità Milestone Husky NVR ufficialmente compatibili. Se utilizzato insieme a prodotti Milestone ufficialmente compatibili, il Prodotto può essere adoperato anche con prodotti/componenti di terze parti sviluppati con Milestone Integration Platform Software Development Kit (SDK).
È possibile installare il plug-in XProtect LPR su un numero illimitato di computer designati come server di eventi o server di registrazione o su computer che eseguono l'applicazione Management Client.
XProtect LPR può essere utilizzato solo con il numero di telecamere acquistate e di licenze telecamera LPR registrate per il Prodotto, in base al Codice di licenza software.
Le XProtect LPR License Plate Library possono essere implementate su un numero illimitato di XProtect LPR Server.
XProtect LPR può essere utilizzato solo con il numero di XProtect LPR License Plate Library acquistate e registrate per il Prodotto, in base al Codice di licenza software.

Milestone XProtect^® Management Server Failover

Installazione e utilizzo. Il prodotto XProtect Management Server Failover è soggetto alle seguenti condizioni:

Milestone concede all'Utente il diritto di installare e utilizzare il Prodotto con le seguenti condizioni e limitazioni:

Il Prodotto può essere utilizzato solo in connessione con Milestone XProtect Corporate e Milestone XProtect Expert, in particolare a partire dalla versione R1 2022 di questi prodotti VMS XProtect di Milestone e versioni successive, secondo l'accordo di licenza per utente finale di Milestone applicato a tali prodotti VMS XProtect di Milestone.
Il Prodotto può essere utilizzato, visualizzato ed eseguito su un solo sistema designato per volta, esclusivamente per finalità aziendali interne. Per "sistema designato" si intende il sistema informatico designato su cui si esegue per la prima volta il Prodotto e per il quale è fornita una licenza. Il Prodotto può essere utilizzato solo sul sistema informatico designato che esegue il sistema operativo per il quale è progettato il Prodotto.
Se l'Utente non è temporaneamente in grado di utilizzare il Prodotto sul sistema designato per condizioni che ricadono fuori del suo controllo, può temporaneamente utilizzare il Prodotto su un altro sistema designato ("Sistema di back-up"). A tal fine, Milestone rilascerà una licenza temporanea a condizione che l'Utente dia a Milestone preavviso scritto assieme a tutte le informazioni necessarie per il rilascio di tale licenza temporanea. Quando il guasto temporaneo del sistema designato viene corretto, l'Utente deve distruggere tutte le copie del Prodotto presente su qualsiasi sistema di back-up e certificare tale distruzione per iscritto a Milestone entro tre giorni lavorativi.
L'Utente ha la facoltà di trasferire permanentemente il Prodotto a un diverso sistema designato ("Sistema designato sostitutivo") a condizione che tutte le copie del Prodotto vengano rimosse e distrutte dal sistema designato originale. Tale distruzione deve essere certificata per iscritto a Milestone entro tre giorni lavorativi. Milestone rilascerà una nuova licenza per abilitare l'uso sul Sistema designato sostitutivo, a condizione che l'utente fornisca a Milestone un preavviso scritto assieme a ogni informazione necessaria per il rilascio di tale nuova licenza.
Milestone declina espressamente qualsiasi garanzia e responsabilità in merito a eventuali perdite, ivi compresa la perdita di dati e/o di configurazione del sistema XProtect di Milestone, causate dall'utilizzo del Prodotto o dalla sua interruzione.
Ai sensi del Milestone EULA, l'utilizzo del Prodotto è ulteriormente limitato dai termini applicabili alla versione applicata del prodotto VMS XProtect di Milestone.
Per utilizzare il Prodotto, è necessario acquistare una licenza di XProtect Management Server Failover. Tale licenza deve essere acquistata sia per il server di gestione primario che per quello secondario all'interno del sistema designato dell'utente.

Milestone XProtect^® Hospital Assist

Installazione e utilizzo. Il prodotto Milestone XProtect Hospital Assist è soggetto alle seguenti condizioni:

Milestone concede all'Utente il diritto di installare e utilizzare il Prodotto con le seguenti condizioni e limitazioni:

Il Prodotto comprende le seguenti funzioni: Rilevamento caduta, Sfocatura privacy, Promemoria a schermo e Audio Multi-room, che l'utente ha diritto a utilizzare ai sensi dei termini del presente EULA e della licenza acquistata come definito di seguito in questa sezione. Le funzioni di Promemoria a schermo, Sfocatura privacy e Audio Multi-room fanno parte del programma di installazione di VMS XProtect applicato dall'utente, mentre la funzione di Rilevamento caduta deve essere installata mediante file di installazione separati.
Il Prodotto può essere utilizzato solo con i prodotti Milestone VMS XProtect (ad eccezione di Milestone XProtect Essential+) per i quali la licenza è stata acquistata dall'utente, in particolare per le versioni dei prodotti VMS XProtect 2024 e successive.
Il Prodotto può essere utilizzato solo su computer dotati di sistemi operativi per i quali il Prodotto è stato progettato.
Per utilizzare il Prodotto, è necessario acquistare una licenza XProtect Hospital Assist per ogni canale video abilitato.
L'utente riconosce e accetta che il Prodotto viene fornito "così com'è", che non costituisce un prodotto sanitario o un dispositivo medico approvato e non può essere utilizzato al posto del monitoraggio del paziente o in sostituzione della fornitura di assistenza medica. Milestone non fornisce alcuna garanzia, esplicita o implicita, che questo Prodotto rileverà una caduta del paziente. L'Utente riconosce e accetta che il Prodotto deve essere trattato solo come strumento di supporto secondario e pertanto non può costituire la base o l'unico motivo della sua decisione. Eventuali conclusioni tratte dall'analisi delle informazioni fornite dal Prodotto devono essere verificate in ogni momento con la dovuta cura professionale, nonché con conclusioni tratte da informazioni provenienti da altre fonti. Qualsiasi conclusione tratta dall'utente e qualsiasi azione intrapresa dall'Utente è di sua esclusiva responsabilità.
L'Utente è consapevole e accetta che il Prodotto è stato sottoposto a test solo nell'ambito di un ambiente ospedaliero limitato. Benché sia stato fatto ogni sforzo per garantire il corretto funzionamento del Prodotto in questo contesto, è importante notare che l'infrastruttura IT e altre condizioni negli ambienti ospedalieri possono variare. Pertanto le prestazioni del Prodotto potrebbero essere influenzate dai diversi ambienti ospedalieri.
Ad eccezione di quanto espressamente autorizzato nel presente EULA, l'Utente accetta di non utilizzare il Prodotto con qualsiasi sistema o applicazione in cui si possa ragionevolmente prevedere che l'uso o il guasto di tale sistema o applicazione possa minacciare o provocare lesioni personali, morte o perdita, inclusi, senza limitazioni, l'uso in relazione a qualsiasi applicazione medica, di supporto vitale o altre applicazioni critiche per la vita.
Ai sensi del Milestone EULA, l'utilizzo del Prodotto è ulteriormente limitato dai termini applicabili alla versione applicata del prodotto VMS XProtect di Milestone.

Milestone XProtect^®Incident Manager

Utilizzo. Il prodotto Milestone XProtect Incident Manager è soggetto alle seguenti condizioni:

Milestone concede all'Utente il diritto di utilizzare il Prodotto con le seguenti limitazioni:

Il Prodotto può essere utilizzato solo con i seguenti prodotti VMS XProtect Milestone o con le versioni OEM approvate di questi prodotti: Milestone XProtect Corporate versione 2022 R2 o versioni successive, e Milestone XProtect Expert, Milestone XProtect Professional+ e Milestone XProtect Express+ nella versione 2022 R3 o versioni successive.
Per utilizzare il Prodotto, è necessario acquistare una licenza di XProtect Incident Manager. Se si utilizza Milestone XProtect Corporate versione 2022 R2 o successiva, la licenza per il Prodotto è inclusa con la licenza del prodotto Milestone XProtect Corporate e attivata insieme a essa.
L'uso del Prodotto è inoltre regolato e limitato dai termini dell'EULA Milestone applicabile alla versione applicata del prodotto VMS XProtect Milestone o dai termini di un contratto di licenza applicabile alla versione OEM applicata del prodotto Milestone.

Milestone XProtect^® Transact

Installazione e utilizzo. Il prodotto XProtect Transact è soggetto alle seguenti condizioni:

Il Prodotto può essere utilizzato esclusivamente con il prodotto VMS XProtect (qualsiasi prodotto Milestone VMS XProtect, eccetto XProtect Essential+) o versioni OEM approvate di questi Prodotti o l'unità Milestone Husky NVR (qualsiasi prodotto Milestone Husky NVR) per i quali è stata regolarmente ottenuta la licenza tramite acquisto o abbonamento.
Il Prodotto può essere utilizzato da un numero illimitato di applicazioni di gestione XProtect/Client di gestione XProtect e XProtect Smart Client collegati al sistema VMS XProtect o all'unità Milestone Husky NVR.
Il Prodotto può essere utilizzato esclusivamente in connessione con i prodotti VMS XProtect e con le unità Milestone Husky NVR ufficialmente compatibili. Se utilizzato insieme a prodotti Milestone ufficialmente compatibili, il Prodotto può essere adoperato anche con prodotti/componenti di terze parti sviluppati con Milestone Integration Platform Software Development Kit (SDK).
Il Prodotto può essere utilizzato solo con il numero di connessioni di origine acquistate e di licenze di connessione registrate nell'ambito del codice di licenza software utilizzato dal XProtect Transact designato.

Milestone XProtect^®Smart Wall

Utilizzo. Il prodottoMilestone XProtect Smart Wall è soggetto alle seguenti condizioni: Milestone concede all'Utente il diritto di utilizzare il prodotto con le seguenti condizioni e limitazioni:

È possibile utilizzare il Prodotto su sistemi XProtect Corporate senza una licenza separata. È possibile utilizzare il Prodotto insieme a XProtect Expert dotato di regolare licenza di base di XProtect Smart Wall.
Il Prodotto può essere utilizzato da un numero illimitato di XProtect Management Client e XProtect Smart Client collegati al sistema XProtect Corporate.
L'uso del Prodotto è ulteriormente limitato dall'Accordo di licenza per utente finale del prodotto VMS XProtect.

Milestone XProtect^® 360º Split View Plug-in

Installazione e utilizzo. Il prodotto Milestone XProtect 360° Split View Plug-in è soggetto alle seguenti condizioni:

Milestone XProtect^® Input Unit Plug-ins

Installazione e utilizzo. Il prodotto Milestone XProtect Input Unit Plug-ins è soggetto alle seguenti condizioni:

Il Prodotto e i suoi singoli driver del dispositivo possono essere utilizzati su computer dotati di sistemi operativi per i quali il Prodotto è stato progettato.
Il Prodotto e i suoi singoli driver del dispositivo possono essere installati su un numero illimitato di computer designati come "Server di registrazione", "Server di registrazione per il failover" o "Unità NVR".

Milestone Open Network Bridge

Installazione e utilizzo. Il prodotto Milestone Open Network Bridge è soggetto alle seguenti condizioni:

Milestone XProtect^® Download Manager

Installazione e utilizzo. Il prodotto Milestone XProtect Download Manager ("Download Manager") è soggetto alle seguenti condizioni:

Con il presente contratto, Milestone concede all'Utente il diritto di installare e utilizzare un numero illimitato di copie del Download Manager con le seguenti condizioni e limitazioni:

È possibile utilizzare Download Manager solo su computer dotati di sistemi operativi per cui il prodotto è stato progettato.
È possibile utilizzare Download Manager solo unitamente al prodotto Milestone XProtect con cui è stato fornito (il prodotto XProtect originale). Se utilizzato con il prodotto XProtect originale, Download Manager può essere utilizzato anche con altri prodotti Milestone compatibili e con prodotti/componenti di terze parti costruiti con Milestone Software Development Kit o Milestone Integration Platform Software Development Kit.
L'uso di Download Manager è ulteriormente limitato dall'Accordo di licenza per utente finale del prodotto VMS XProtect.

XProtect Update Manager

Installazione e utilizzo. Per le utilità XProtect Update Manager ("Update Manager") si applica quanto riportato di seguito:

Milestone concede all'Utente il diritto di installare e utilizzare un numero illimitato di copie dell'Update Manager con le seguenti condizioni e limitazioni:

Update Manager può essere utilizzato con computer che eseguono sistemi operativi supportati dai prodotti VMS XProtect di Milestone. Consultare https://www.milestonesys.com/support/help-and-documentation/system-requirements/.
È possibile utilizzare Update Manager solo unitamente ai prodotti Milestone VMS XProtect per cui è stato originariamente progettato e con i futuri prodotti che Milestone eventualmente designerà come supportati da Update Manager. Consultare la seguente documentazione sul prodotto sul sito web di Milestone.
Utilizzando Update Manager per l'installazione o l'aggiornamento in remoto dei prodotti VMS Milestone XProtect su altri computer, l'Utente viene considerato amministratore di sistema di tali computer ("Computer remoti"). In qualità di amministratore di sistema, è responsabilità dell'Utente verificare che gli utenti dei Computer remoti comprendano e accettino gli EULA dei prodotti Milestone XProtect installati e aggiornati mediante Update Manager, anche nel caso in cui il processo di installazione non richieda l'intervento da parte degli utenti dei Computer remoti ed, eventualmente, non sia per loro visibile. Attraverso l'installazione e l'aggiornamento di un prodotto VMS Milestone XProtect su un Computer remoto, l'Utente, in qualità di amministratore di sistema, accetta questa responsabilità, insieme all'adesione e alla conformità a questo EULA da parte degli utenti dei Computer remoti.
Milestone declina espressamente qualsiasi garanzia e responsabilità in merito a eventuali disservizi del sistema Milestone XProtect o ad eventuali perdite, ivi compresa la perdita di dati e/o di configurazione del sistema XProtect di Milestone, causate dall'utilizzo del Prodotto o dalla sua interruzione.

Dispositivi di video sorveglianza serie Milestone Husky IVO™

Installazione e utilizzo - I prodotti di video sorveglianza serie Milestone Husky IVO™ (tra cui i seguenti: Milestone Husky IVO 150D, Milestone Husky IVO 350T, Milestone Husky IVO 350R, Milestone Husky IVO 700R, Milestone Husky IVO 1000R e Milestone Husky IVO 1800R e tutte le varianti di tali prodotti) sono soggetti alle seguenti condizioni:

Milestone concede all'Utente il diritto di installare e distribuire il Prodotto con le seguenti condizioni e limitazioni:

I software VMS XProtect, Husky Assistant e altre utilità software eventualmente fornite con il Prodotto, ad esempio Husky Recovery Tool, possono essere utilizzati solo con l'hardware del computer e il sistema operativo con cui sono stati forniti.
Gli aggiornamenti del software del Prodotto e le immagini di recupero fornite da Milestone per il Prodotto possono essere utilizzate solo con il Prodotto.
Il Prodotto è precaricato con il software VMS XProtect. L'utilizzo del software VMS XProtect è soggetto ai termini e alle condizioni per il prodotto specifico (fare riferimento alla sezione pertinente del presente EULA) e vincolato all'utilizzo di un codice di licenza software regolarmente ottenuto e registrato.
Il Prodotto include un sistema operativo Microsoft Windows incorporato. La licenza Microsoft Windows inclusa consente l'accesso gratuito a eventuali aggiornamenti del sistema operativo Windows applicabile eventualmente rilasciati da Microsoft. È responsabilità dell'utente mantenere il sistema operativo Windows aggiornato secondo le linee guida di Microsoft. Milestone non si assume alcuna responsabilità per la compatibilità degli aggiornamenti software futuri del sistema operativo Windows e le versioni future del sistema operativo Microsoft Windows potrebbero modificare l'uso delle risorse di sistema disponibili nel Prodotto, con conseguente impatto sulle prestazioni complessive dello stesso. Il Prodotto è ulteriormente dimensionato e progettato per la versione inclusa del sistema operativo Microsoft Windows. Milestone non può garantire la compatibilità con altre versioni dei sistemi operativi Microsoft Windows.
Il sistema operativo Microsoft Windows incluso deve essere utilizzato solo insieme al Prodotto e quindi non deve essere utilizzato su nessun altro hardware del computer. I termini e le condizioni per l'utilizzo del sistema operativo Microsoft Windows sono regolati dall'Accordo di licenza per utente finale di Microsoft.
Il Prodotto può includere componenti software di Dell EMC, ad esempio il Dell Remote Access Controller integrato (iDRAC), e l'uso di tali componenti è soggetto al contratto di licenza software per l'utente finale di Dell EMC, cfr. https://www.dell.com/learn/us/en/uscorp1/legal_terms-conditions_dellgrmwebpage/art-software-license-agreements.

StableFPS Milestone

Installazione e utilizzo. Il prodotto Milestone StableFPS è soggetto alle seguenti condizioni:

Milestone concede all'Utente il diritto di installare e utilizzare il Prodotto con le seguenti limitazioni:

Il Prodotto può essere installato su un numero illimitato di computer su cui è installato il prodotto Milestone XProtect VMS. Il Prodotto può essere utilizzato solo a fini di test, sviluppo e dimostrazione.
Il Prodotto può essere utilizzato, direttamente o indirettamente, solo dall'Utente, dai suoi dipendenti o da altri soggetti che lavorano per l'Utente. Il Prodotto consiste in un driver del dispositivo e in flussi multimediali preregistrati, tra cui contenuti video. L'Utente non può ridistribuire, concedere in sublicenza, né concedere in altro modo a terzi alcun diritto relativo al Prodotto e ai suoi componenti, inclusi i contenuti video. Nel caso in cui l'Utente aggiunga un contenuto video al Prodotto, è responsabilità dell'Utente garantire l'esistenza di una base giuridica per l'utilizzo di tale video, inclusi una licenza d'uso di oggetti i cui diritti appartengono a terze parti e il consenso di eventuali interessati, qualora tale licenza, consenso o altra base giuridica siano richiesti dalle leggi vigenti.
Il Prodotto può essere utilizzato solo per effettuare dimostrazioni di Milestone VMS XProtect o per lo sviluppo, lo svolgimento di test e la dimostrazione di applicazioni o sistemi applicati con Milestone VMS XProtect. Milestone non fornisce e declina espressamente qualsiasi garanzia inerente alle applicazioni o ai sistemi applicati con o collegati a Milestone VMS XProtect. I rischi derivanti dall'uso di tali applicazioni e sistemi, nonché la responsabilità di ottenere le necessarie licenze per l'uso di software di terze parti, rimangono in capo all'Utente.
Il Prodotto può essere utilizzato solo unitamente a prodotti Milestone XProtect, prodotti NVR Milestone Husky che supportano il Software Development Kit (SDK) di Milestone Integration Platform e versioni OEM approvate dei prodotti Milestone XProtect. Il Prodotto non può essere utilizzato separatamente con prodotti non appartenenti al marchio Milestone.
L'Utente accetta e garantisce di non utilizzare il Prodotto con modalità che consentano a un utente finale di utilizzare un prodotto Milestone o una versione OEM di un prodotto Milestone in un modo suscettibile di violare i termini della licenza relativa al prodotto specifico, oppure in un modo suscettibile di violare o eludere il sistema di concessione della licenza per il prodotto Milestone o la versione OEM di un prodotto Milestone.

Milestone SDK Tools

Installazione e utilizzo. Per Milestone SDK Tools (Milestone Software Development Kit Tools):

Milestone concede all'Utente il diritto di installare e utilizzare il Prodotto con le seguenti limitazioni:

Il Prodotto può essere installato su un numero illimitato di computer e può essere utilizzato a fini di sviluppo.
Il Prodotto può essere utilizzato solo su computer dotati di sistemi operativi per i quali il Prodotto è stato progettato.
Per utilizzare MIP SDK Tools potrebbe essere necessario installare il Software Development Kit di Milestone Integration Platform ("MIP SDK"). Ulteriori informazioni su MIP SDK sono disponibili all'indirizzo https://www.milestonesys.com/support/for-developers/sdk/
Il Prodotto può essere utilizzato, direttamente o indirettamente, solo dall'Utente, dai suoi dipendenti o da altri soggetti che lavorano per l'Utente. Il Prodotto non può quindi, ad esempio, essere gestito o utilizzato in alcun modo da clienti dell'Utente o di terze parti.
Il Prodotto può essere utilizzato solo unitamente a prodotti Milestone XProtect, prodotti NVR Milestone Husky che supportano il Software Development Kit (SDK) di Milestone Integration Platform e versioni OEM approvate dei prodotti Milestone XProtect. Il Prodotto non può essere utilizzato separatamente con prodotti non appartenenti al marchio Milestone.
L'uso del Prodotto è ulteriormente limitato dalle condizioni e dai requisiti riportati nell'Accordo di licenza per l'utente finale relativo al prodotto Milestone o alla versione OEM del prodotto Milestone con cui viene utilizzato.
L'Utente si impegna e garantisce di non utilizzare il Prodotto con modalità che consentano a un utente finale di utilizzare un prodotto Milestone o una versione OEM di un prodotto Milestone in un modo suscettibile di violare i termini del contratto di licenza, ivi compreso il presente EULA, relativo al prodotto specifico, oppure in un modo suscettibile di violare o eludere il sistema di concessione della licenza per il prodotto Milestone o la versione OEM di un prodotto Milestone.
Il Prodotto comprende strumenti software e componenti che consentono di connettersi a o integrare software di terze parti. Il Prodotto non include le licenze per tali software di terzi, che l'utente deve acquistare autonomamente per i propri scopi.

In qualità di utente finale del prodotto VMS XProtect, l'Utente può registrare i propri dati nel modulo "Registrazione dell'utente finale XProtect", accessibile tramite il Milestone XProtect Management Client. Il consenso implica altresì che l'Utente acconsente a che Milestone condivida la configurazione e i dati prestazionali del sistema nella Milestone Customer Dashboard con i channel partner Milestone autorizzati, con il solo fine di fornire all'Utente servizi di assistenza clienti.
Nel fornire i dati relativi agli utenti finali, alle licenze, al sistema e alle prestazioni tramite Milestone XProtect Management Client e/o tramite la Milestone Customer Dashboard, l'Utente acconsente a che Milestone riceva e utilizzi i suoi dati al fine di erogare i servizi Milestone sotto forma di gestione e monitoraggio delle licenze e per finalità di analisi da parte di Milestone tese a migliorare i propri servizi.
L'Utente si impegna a non alterare, modificare né in alcun modo manomettere i dati relativi alle licenze, i dati relativi al sistema e alle prestazioni trasmessi al sistema di concessione della licenza Milestone e/o alla Milestone Customer Dashboard. L'Utente dispone di un accesso self-service tramite il Milestone XProtect Management Client per amministrare i dati relativi all'utente finale e ha l'obbligo di mantenere accurati tali dati. Milestone si riserva il diritto, a propria esclusiva discrezione, di correggere o rimuovere i dati inesatti.
Milestone declina ogni responsabilità per eventuali perdite di dati causate da interruzioni delle comunicazioni con la Milestone Customer Dashboard durante l'attivazione della licenza.

Milestone End-user License Agreement

NOTE: If you are a Milestone Dealer, systems integrator or are otherwise installing this Product on behalf of a third-party, you shall ensure that you have their acceptance of this End-user License Agreement and their consent to provide end-user personal data for registration with Milestone Systems if such voluntary option is applied.

This End-user License Agreement (“EULA”) is a legally binding agreement between you (either an individual or a single legal entity) and Milestone Systems A/S (“Milestone”) for the Milestone product or utility, which may include associated software and hardware components, media, printed materials, online or electronic documentation and any updates or corrections (“Product”). If you have purchased the Product as part of a computer or server system delivered by Milestone all hardware and software components of such system shall for the purposes of this EULA be considered being parts of the Product, except however for any third-party software or hardware component which is covered by a separate third-party license agreement included in the system documentation or otherwise incorporated in the system.

By installing, deploying, copying, or otherwise using the Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Product, instead you may return it, within 30 days after purchase of the Product, along with all associated material to your place of purchase for a full refund, less any shipping and handling costs. This return policy does not apply if you or your representative, including your Milestone dealer (on your behalf) have accepted this EULA prior to, or as part of, your purchase of the Product. Furthermore, this return policy does not apply to Milestone Husky products and related hardware. The Product is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Note that all software parts of Product are licensed to you, not sold. The licensing of the Product does not constitute a lease or a sale of intellectual property rights, or any transfer of the ownership of any intellectual property rights in the Product.

For Milestone products where a Software License Code (“SLC”) is required, the license you have been granted is identified by the Software License Code you have received when purchasing the Product.

Affiliated Companies. The license you have been granted under this EULA for Milestone XProtect Corporate, Milestone XProtect Expert and/or Milestone XProtect Professional+ allows you to grant access to and permit the use of such Product by your Affiliated Companies and their respective employees, representatives and other persons working for your Affiliated Companies, provided that you will at all times remain fully responsible for the Affiliated Companies’ access and use of the Product in compliance with the terms of this EULA. This right also covers Milestone XProtect Extensions and Components purchased by you for Milestone XProtect Corporate, Milestone XProtect Expert and/or Milestone XProtect Professional+. You shall ensure that (i) your Affiliated Companies each submit to this EULA before they are granted access to the Product, and (ii) your Affiliated Companies are in compliance with the terms of this EULA. For the purpose of this EULA, “Affiliated Companies” include any corporate entity that, either directly or indirectly, is controlled by you, or controls you, or under common control with you, where “control’” shall mean the ownership of more than fifty percent of the voting securities entitling to the right to elect or appoint the majority of the board of directors, or a similar managing authority.

Acceptance of Unattended Remote Updating. The system administrator of your organization may today or in the future be using a tool or operating system method enabling remote and unattended updating or installation of software products on your computer; XProtect Update Manager is an example of such a tool. In case such a tool is used to update the Product unattended you may not be prompted to accept a EULA for the new Product. By accepting the present EULA, you assign your right to accept EULAs of future product updates to your system administrator on your behalf.

AWS Cloud Deployment. Milestone XProtect VMS products are also delivered as an Amazon Machine Image (“AMI”) under the bring-your-own-license model (“BYOL”), and can be deployed on AWS cloud services infrastructure by using the associated CloudFormation script. This script performs a default deployment of the Product in a new Virtual Private Cloud (“VPC”) under your AWS account. You can modify the CloudFormation script, or the default deployment produced by it to the extent required for the deployment of the Product in your specific AWS cloud services infrastructure. The CloudFormation script is provided “as is” without warranty of any kind, including, without limitation, the implied warranty of fitness for a particular purpose. Milestone expressly disclaims any warranty and accepts no responsibility for modifications to the CloudFormation script or to the default deployment produced by it. The entire risk and responsibility arising out of deployment and use of the deployed Product remains with you as the user.

Intellectual Property Rights. All title and rights, including but not limited to copyrights, in and to the Product and any copies thereof are owned by Milestone, or in the case of third-party contributions to such Product, the title and rights to such contributions only, are owned by our licensors. All rights not expressly granted are reserved by Milestone.

The Product may include HEVC/H.265 technology that is licensed under the HEVC Advance Patent Portfolio License and the use of such technology is covered by one or more claims of the patents listed at patentlist.hevcadvance.com.

Infringement of Third-party Rights. Milestone shall be liable for ensuring that the Product does not infringe any third-party's intellectual property rights, however, in respect of patents, only (a) patents granted and published in the United States of America or the European Union on the date of your purchase, and (b) only if the Product is infringing as a standalone product when not used with any other product(s) or technology. In the event of any action against you in which such infringement is alleged, you shall give Milestone prompt written notice thereof. Milestone shall thereafter assume the sole conduct of the case and all of its legal costs incidental to the case. Milestone shall have irrevocable power of attorney to conduct litigation on its own behalf or to negotiate for settlement of the alleged infringement with you as the user. Milestone shall be entitled, at Milestone's discretion, to either obtain the continued right for you to use the Product or bring the infringement to an end by modifying or replacing the Product by another product which possesses substantially the same functionalities as the Product, or – if none of these remedies may be achieved at a reasonable cost for Milestone – to terminate this EULA with immediate effect. In the event of termination, you shall have no further claims, to include but not limited to any right of compensation or indemnity, against Milestone.

Correction of Errors. A defect or error in the Product shall be deemed material only if it has effect on the functionality of the Product as a whole or if it prevents the operation of the Product. If you, within 90 (ninety) days after purchase of the Product, document that a material defect or error in the Product exists, Milestone shall, at its sole discretion, be obligated to (i) deliver a new copy of the Product without the material defect or error, (ii) remedy or correct the defect or error free of charge, or (iii) terminate this EULA and repay any license fee received against your return of all copies of the Product. The provisions of this paragraph constitute your sole remedies in the event of a defect or error in the Product.

No Warranties. Unless you are provided with a specific warranty from Milestone as part of your Product documentation, Milestone expressly disclaims any warranty for the Product. The Product and any related documentation are provided “as is” without warranty of any kind, either expressed or implied, including, without limitation, the implied warranties of merchantability or fitness for a particular purpose. The entire risk arising out of use or performance of the Product remains with you as the user. You are notified that the Product, when used with certain equipment or other software, may enable you to perform surveillance actions and data processing which are likely to be restricted by or contrary to applicable law, including without limitation data privacy and criminal law. The sole responsibility for verification of your use against compliance with applicable law lies with you as the user.

Test and Pilot Licenses, Beta Version of Product. If you are granted a test and/or pilot license, or another, similar temporary Milestone license for a specifically defined purpose, including, but not limited to, a license to use a beta-version of the Product, your usage rights under this EULA are limited solely to the purpose of and only for the term as defined in such a granted license. The limited term of any such temporary license is either reflected in XProtect Management Client, or otherwise defined by Milestone, for instance, in the license document or file associated with the temporary license granted. If a temporary license is granted, the Product is provided “as is” without any warranty, express or implied (cf., 'No Warranties' section above), and Milestone provides no support for the Product. No remedies shall be available, and sections such as “Correction of Errors” shall not apply. Under the temporary license, Milestone Product Lifecycle shall not apply and shall not be supported. Whereas all restrictions and requirements for the use of the Product set forth in this EULA shall apply equally to your use of the Product. Under the temporary license, Milestone expressly disclaims any responsibility and liability for the Product on any basis. If, under the temporary license, the Product is provided by Milestone free of charge and without any associated license fee or payment, and where Milestone’s liability cannot be contractually waived, Milestone’s total liability—whether arising in contract, tort, or indemnity—shall be limited to an amount not exceeding EUR 100 (one hundred Euro).

In addition to the above, if the Product is a beta version of the Milestone Product, it is intended for testing and evaluation purposes only. The beta version of the Product may not be fully functional, may contain errors, or design flaws, and its use may result in unexpected results, loss of data, project delays, or other unpredictable damage or loss. You may use such Product at your own discretion and risk, understanding that the Product is not intended for use in production or business-critical systems. Milestone may choose not to make available a non-beta version of the Product. Milestone may also choose to abandon development and terminate the availability of the Product at any time without liability.

Prohibited Use. The Product may only be applied and used in accordance with applicable law(s) of the jurisdiction, country or region it is used in. This includes, but is not limited to, possible legal restrictions to what you surveil and record with the Product, the policy for storing recorded and other data in the Product, and how such recorded data is to be handled as it is exported from the Product. It is the sole responsibility of you - the user of the Product - to be acquainted with, and to adhere to, such laws and restrictions. Milestone does not accept any liability whatsoever, for any direct, indirect or consequential losses or damages for the violation of such laws and/or restrictions.

In accordance with the Milestone Human Rights Policy, Milestone seeks to avoid causing or contributing to adverse human rights impacts, including through the use of the Product. This EULA therefore does not cover use of the Product for the purpose of, or in connection with, any violation of, or adverse impact on the human rights of any individual person or group of people as set out in the United Nations Universal Declaration of Human Rights, or other internationally recognized regional human rights systems, including the EU Charter of Fundamental Rights. Any such use is prohibited under these terms and the Milestone Human Rights Policy and is a material breach of this EULA causing the whole license for the Product to lapse immediately without notice rendering any further use of the Product unlawful. Similarly, Milestone reserves the right to terminate the Product license without prior notice where a human rights grievance report has been submitted through the Milestone Grievance Mechanism and substantiated through the Milestone internal process for human rights grievance investigation, handling and remediation.

Data privacy and protection. You represent and confirm that you are aware that the Product collects and processes personal data, supplied through any video source, including cameras, DVRs, NVRs or in any other manner, and that Milestone and its licensors shall have no responsibility or liability in connection with the manner of which such personal data is collected and processed as input to the Product or by using the Product, its quality or its sufficiency nor shall have any independent access to any such collected and processed personal data, and that Milestone and its licensors shall have no responsibility or liability as to your rights and obligations under any applicable law to collect, process or use personal data, including, but not limited to the GDPR and any other privacy and data protection laws.

Copenhagen Clause. Milestone is a signatory to the Copenhagen Letter, a technology declaration to aspire to open and honest public conversation about the power of technology and how technology should enhance the quality of life. We who shape technology must reflect on how technology affects human needs and behaviors, and how we further the responsible use of technology. Milestone encourages our partners not only to involve themselves in this important discussion on responsible use of technology, but to also sign the Copenhagen Letter at https://www.milestonesys.com/company-news/milestone/csr/the-copenhagen-letter/ and adopt a corresponding Copenhagen Clause into their own agreements.

Limitation of Liability. The provisions of this paragraph are in effect to the maximum extent permitted by applicable law. In no event shall Milestone or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) nor for any product liability (except for bodily injury) arising out of the use of or inability to use the Product or the provision of or failure to provide proper support, even if Milestone has been advised of the possibility of such damages. Absent any willful misconduct or gross negligence, the entire liability of Milestone and its suppliers, whether arising in contract, tort, or indemnity, shall be limited to the amount actually paid by you for the Product.

Third-party Licenses. The Products include rights for you to use certain third-party software as set out in the documentation for the specific Product. You may use and integrate the Products with other third-party software, and it is your responsibility when installing to investigate and obtain usage rights to any such third-party software for your purpose.

Milestone Product Lifecycle. Your use of the Product is also subject to the Milestone Product Lifecycle, cf., https://www.milestonesys.com/support/tools-and-references/product-lifecycle/. Subject to the Milestone Product Lifecycle, and unless otherwise defined therein for a specific Product, license activation is available for 10 years after Product’s general availability. After 10 years, it may no longer be possible to add new IP devices and/or replace IP devices connected to and enabled in the Product. However, subject to this EULA, you will retain your right to use the Product, and the existing XProtect system will continue to operate.

Miscellaneous. (a) You may make as many copies of the Product as may be necessary for backup and archival purposes, subject to an obligation to reproduce all proprietary notices on such copies. (b) You may not distribute, sublicense or otherwise make available the Product to third parties except as expressly permitted in this EULA. (c) You may not reverse engineer, decompile, modify, or disassemble any of the Product's components except and only to the extent permitted by applicable law which cannot be contractually waived. (d) This EULA is non-transferable save that if there is any ownership interest transferred which includes the Milestone Product, you may permanently assign all of your rights for this Product to the transferee, provided the transferee agrees to the terms of this EULA.

Export control. The scope of your rights and the license granted under this EULA shall be subject to any applicable sanctions, export control regulations or other trade restrictive measures imposed by the United Nations, the United States of America, the United Kingdom, Denmark and/or the European Union, and any other applicable country. You shall not use the Product nor exercise any license rights granted hereunder if such use is prohibited by, or subject to any applicable sanctions, export control regulations, or other trade restrictive measures. Without limiting the foregoing, you represent that you are not named on any U.S., EU, or any other applicable government list of persons or entities prohibited from receiving exports. You shall not permit your employees and consultants to use the Product in violation of any EU, UK, and/or U.S. export embargo, prohibition, or restriction. Furthermore, you represent and warrant that you will make sure that all your employees and consultants using the Product are prohibited from residing in, or operating from, any country that is sanctioned by either the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC) or the United Nations Security Council.

Milestone shall not be obliged to license and provide any Milestone Products if it would be prohibited pursuant to applicable sanctions or export control laws or regulations. Milestone shall not be obligated to fulfill this License Agreement if such fulfillment is prevented by any restrictions and impediments arising out of national or international foreign trade or customs requirements or any embargoes or other sanctions.

Termination. Without prejudice to any other rights, Milestone may terminate this EULA if you fail to comply with its terms and conditions and/or if you fail to comply with or in order for Milestone to comply with applicable export control requirements, without any right for you to claim damages, refunds or any compensation. In such an event you must immediately cease using the Product, destroy all copies of it, and certify such destruction in writing.

Severability. If a court or government body of competent jurisdiction determines that any provision of this EULA is invalid, not enforceable or enforceable only if limited in scope, this present EULA shall continue in full force and effect with such provisions stricken or so limited.

Entire Agreement. This EULA constitutes the parties' entire and complete agreement relating to the subject matter hereof and all written and oral undertakings and pledges which may have preceded this EULA, all implied warranties, rules of common law or ordinary rules of law not restated herein, are hereby excluded from effect between the parties.

Governing Law. This EULA and the contract between you and Milestone are governed by Danish law and the sole and proper forum for the settlement of disputes hereunder shall be the City Court of Copenhagen.

License, Installation and Use Conditions and Restrictions. Milestone XProtect VMS products support IP devices. IP devices can be cameras, encoders, video services or other types of video and non-video devices that are addressed through a unique IP address in the applied installation of the Product. For IP devices with one IP address included in the Milestone Supported Device List, one device license is needed per IP device connected to and enabled in the Product. For IP devices with more than one enabled IP address, the number of required device licenses is specified in the Milestone Supported Device List. Please check the supported IP devices, the required number of licenses and the exceptions in the Supported Device List at https://www.milestonesys.com/support/software/supported-devices.The following exceptions for IP devices with one IP address apply: (i) for IP devices connected to the Product through intermediate device or intermediate system one device license per enabled video channel is required; (ii) IP devices with multiple lenses or sensors, and encoders with up to 16 connected analog cameras, count as only one IP device; (iii) for encoders with more than 16 channels one device license per enabled video channel is required. Additional specific exceptions may apply, please refer to the Milestone Supported Device List for the details.

For IP devices not included in the Milestone Supported Device List and for the Video Processing Service Driver included in the Milestone MIP SDK, the following apply: (i) IP devices with video capabilities require one device license per enabled video channel, (ii) IP devices without video capabilities require one device license per IP address. Specific license terms may apply for the specific XProtect® VMS products, please refer to the Products’ specific terms and conditions, and (iii) the Video Processing Service Driver when receiving video from any connected video processing system or any directly or indirectly connected device, requires one device license per enabled video channel.

Collection and registration of system data. By activating the licenses for the Product, you accept that core system data (such as the number of used devices) is exchanged and stored in Milestone’s licensing system. A unique key for each license and each device connected to the system is generated. Milestone collects the MAC addresses of the devices connected and keeps track of the number of times cameras are registered and deleted to make sure the licenses are used according to the EULA. Milestone also registers the IP address of the server that activates the license. For systems using Milestone’s push notifications, Milestone keeps track of the Globally Unique Identifier (“GUID”) of the mobile server and the mobile devices that are registered to receive the notifications and email addresses that are entered to receive push notifications. If you use any plug-ins or other integrated applications with the Product, basic data about such applications will also be collected and sent to Milestone when activating the licenses for the Product. The data about integrated applications include information, such as: the manufacturer’s name, the name and version of the integration. The purpose of gathering and maintaining the system data is to enable Milestone and its channel partners, to enforce license management of the Milestone products. For integrated applications, Milestone will use collected data for statistical and analytical purposes. You agree to not alter, modify, or in any way tamper with the data transmitted to the online service.

End-user Data, General Data Protection Regulation. When purchasing licenses to the Product through our channel partners, the business information of your company must be provided and registered with Milestone. You may also need to provide Milestone with information on your contact persons in the form of name, email, and phone number. Milestone reserves the right to collect your business information and contact data via Milestone channel partners, including as part of the ordering and purchase process for Product(s). It is your responsibility to provide correct and up-to-date data, as well as to inform any relevant contact person(s) (e.g., your employees) of the collection and transfer of their data to Milestone, including if the data is collected via Milestone channel partners. The Product cannot be purchased and, consequently, the license cannot be granted to you unless and until the required data is provided, including via Milestone channel partners as applicable, and Milestone is able to verify you as the End-user and licensee of the Product in accordance with the Milestone verification and screening policy. The purpose of gathering and maintaining such information is to enable Milestone to verify you as the End-user and licensee of the Product, including for the purpose of compliance with applicable regulatory requirements, e.g., export control, and with Milestone’s responsible technology principles, as well as to enable Milestone and its channel partners to enforce license management, carry out the Milestone partner programs and human rights due-diligence, and to provide maintenance and support for the Product, including for the purpose of Milestone Care. Milestone is a data controller with respect to the personal data collected and used hereunder. Milestone treats your personal data in accordance with our Privacy Policy (https://www.milestonesys.com/privacy-policy/).

This EULA applies to all Products, with its general terms and specific terms and conditions valid for the mentioned individual products as detailed in the following sections:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

The “Management Server” component of the Product may be installed on an unrestricted number of computers designated as Management Servers and possible clustered Management Failover Server per Software License Code.
The “Recording Server” component of the Product may be installed on an unrestricted number of computers designated as Recording Servers and Failover Recording Servers. The Recording Servers and Failover Recording Servers must be managed by the designated Management Server(s) specified above.
The Product may only be used on computers running operating systems for which the Product was designed.
Installing the Product you also agree to adhere to Microsoft’s software license terms for Microsoft SQL Server 2022 Express Edition (https://www.microsoft.com/en-us/sql-server/sql-server-downloads)
The Product may, with the exceptions stated in paragraphs 9 and 10 below, only be operated, regardless of whether this is directly or in some indirect form, by you, your employees or other people working for you, including law enforcement authorities investigating incidents for you. The Product may therefore, for instance, not be operated or used in any way by customers of you or other third parties, except for your Affiliated Companies as specified above, cf. general terms of this EULA, section “Affiliated Companies”.
The Product may only be used for surveillance of property or land that is owned or controlled by you, or by your Affiliated Companies, or you have acquired and maintain the required legal permissions when monitoring property or land not owned or controlled by you.
Using Milestone Federated Architecture, the Product may without being subject to additional licensing be used to connect other XProtect Corporate or XProtect Expert systems, provided that the federated system is rightfully licensed.
Using Milestone Interconnect, the Product may be used to connect other Milestone video management software products and other Milestone approved products (please refer to Milestone’s web site https://www.milestonesys.com/products/expand-your-solution/milestone-extensions/interconnect/milestone-interconnect-compatibility/ for the latest overview of compatible products) belonging to you or a third-party. The use of Milestone Interconnect is subject to the following conditions: a) any interconnected system must be fully licensed with rightfully obtained license rights, b) you through purchase or subscription have rightfully obtained Milestone Interconnect camera licenses for the cameras that shall be accessible in the XProtect Corporate system.

The Product may be remotely operated and managed by you or a third-party using Milestone Interconnect, provided that: a) you or the third-party have purchased Milestone Interconnect camera licenses for the cameras that shall be accessible in the central XProtect Corporate system, and b) you have acquired and maintain the required legal permissions to conduct the surveillance.
When the Product is used with third-party map applications (such as Google Maps, Microsoft^® Bing^TM Maps or OpenStreetMap), it is your sole responsibility to ensure that you have obtained adequate legal rights to use such map applications, and that the usage complies with the terms and conditions of the used third-party applications.
You can also use the Product with the Milestone Map Service that will allow you to get access to OpenStreetMap (http://www.openstreetmap.org)© data. This data will be provided to you “as is”, including best-effort availability, and without any warranty of any kind, either express or implied, whether of title, of accuracy, of absence of errors, of fitness for purpose, or otherwise. Any damages resulting from the use of the Milestone Map Service are disclaimed.
You acknowledge the requirement that the Product may only be used with as many IP devices as you have acquired device licenses for in accordance with the rules specified in the EULA general terms, “License, Installation and Use Conditions and Restrictions”.

Milestone XProtect^® Expert

Installation and Use – for the XProtect Expert product the following applies:

The Product may, with the exceptions stated in paragraph 6 and 7 below, only be operated, regardless of whether this is directly or in some indirect form, by you, your employees or other people working for you, including law enforcement authorities investigating incidents for you. The Product may therefore, for instance, not be operated or used in any way by customers of you or other third parties, except for your Affiliated Companies as specified above, cf. general terms of this EULA, section “Affiliated Companies”.

Milestone XProtect^® Mobile Server

Installation and Use – for the XProtect Mobile server product the following applies:

By accepting the present EULA you accept terms and conditions on behalf of end-users which you allow to connect to XProtect Mobile server in regard to use of XProtect Mobile and XProtect Web Client.
The use of Smart Connect, Video Push and Mobile Push notifications relies on third-party services and network connectivity such as notification services and wireless communication networks. In addition to the general restrictions in Milestone’s liability defined in the section “Limitation of Liability” above, Milestone does not accept any liability arising out of the use of or inability to use any of these capabilities directly, or indirectly, caused by any of third-party network or service component used to provide these capabilities.
The use of the Smart Connect and Mobile Push Notification capabilities is conditioned by a valid Milestone Care Plus service contract. Milestone accepts no liability for possible interruptions in the service caused by failure to renew the Milestone Care Plus coverage in due time.
Additional third-party charges may apply for using the XProtect Mobile service, including, but not limited to, communication cost and third-party service subscriptions.

Milestone XProtect Extensions and Components

Milestone XProtect^® Access

Installation and Use – for the XProtect Access product the following applies:

The Product may only be used with the XProtect VMS product (any XProtect VMS product, except XProtect Essential+), or approved OEM versions of these Products, or the Milestone Husky NVR product for which the license through purchase or subscription has rightfully been obtained.
The Product may be operated from an unrestricted number of XProtect Management Applications/XProtect Management Clients and XProtect Smart Clients connected to the XProtect VMS system or the Milestone Husky NVR unit.
To facilitate communication with third-party systems an unrestricted number of XProtect Access plug-ins may be installed on the Event Server in the XProtect VMS system or the Milestone Husky NVR unit. In addition to the general restrictions in Milestone’s liability defined in the section “Limitation of Liability” above, Milestone does not accept any liability arising out of the use of or inability to use the Product when the plug-ins have been provided by another party than Milestone, or when the Milestone provided XProtect Access plug-in is used with a third-party product or version of a third-party product that it has not been designed and validated for. Further, Milestone does not accept any liability arising out of the use of or inability to use the Product caused by errors in any third-party product that XProtect Access is used together with.
The Product may only be used in connection with officially compatible XProtect VMS products and Milestone Husky NVR units.
XProtect Access may only be used with as many doors as you have purchased and registered door licenses to for the Product by the Software License Code.

Milestone XProtect^® LPR

Installation and Use – for the XProtect LPR product the following applies:

The Product may only be used with the XProtect VMS product (any XProtect VMS product, except XProtect Essential+), or approved OEM versions of these Products, or the Milestone Husky NVR unit (any Milestone Husky NVR product) for which the license through purchase or subscription has rightfully been obtained.
The XProtect LPR may be installed on an unrestricted number of computers designated as XProtect LPR Servers per Software License Code.
The Product may only be used on computers running operating systems for which the Product was designed.
The Product may only be used in connection with officially compatible XProtect VMS products and Milestone Husky NVR units. When used together with officially compatible Milestone products the Product may also be used together with third-party products/components built upon the Milestone Integration Platform Software Development Kit.
The XProtect LPR Plug-in may be installed on an unrestricted number of computers designated as Event Servers, or as Recording Servers, or on computers running the Management Client application.
XProtect LPR may only be used with as many cameras as you have purchased and registered LPR Camera Licenses for the Product by the Software License Code.
The XProtect LPR License Plate Libraries may be deployed on an unrestricted number of XProtect LPR Servers.
XProtect LPR may only be used with as many XProtect LPR License Plate Libraries as you have purchased and registered for the Product by the Software License Code.

Milestone XProtect^® Management Server Failover

Installation and Use – for the XProtect Management Server Failover product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

The Product may only be used in connection with Milestone XProtect Corporate and Milestone XProtect Expert, in particular starting with R1 2022 version of these Milestone XProtect VMS products and onwards, subject to the Milestone EULA applied to such Milestone XProtect VMS products.
The Product may only be used, displayed and performed on one designated system at a time exclusively for your own internal business purpose. The “designated system” shall mean the designated computer system on which you first run the Product and for which a license is provided. The Product may only be used on the designated computer system running operating system for which the Product is designed.
If you are temporarily unable to use the Product on the designated system because of conditions beyond your control, you may temporarily use the Product on another designated system (“Back-up System”). For this purpose, a temporary license will be issued by Milestone provided that you give Milestone prior written notice and all information necessary for the issuance of such temporary license. You shall destroy all copies of the Product on any Back-up System when the temporary failure of the designated system is corrected and shall certify such destruction in writing to Milestone within three business days.
You may permanently transfer the Product to a different designated system (“Replacement Designated System”) provided that all copies of the Product are removed from the original designated system and destroyed, such destruction to be certified in writing to Milestone within three business days. A new license to enable use on the Replacement Designated System will be issued by Milestone provided that you give Milestone prior written notice and all information necessary for the issuance of such new license.
Milestone expressly disclaims any warranty and responsibility for any loss, including loss of data and/or configuration of the Milestone XProtect system, caused by your use of the Product or by the Product disruption.
The use of the Product is further restricted by the terms of the Milestone EULA applicable to the applied version of the Milestone XProtect VMS product.
In order to use the Product, you must purchase an XProtect Management Server Failover license. Such license must be purchased for both the primary and secondary management server within your designated system.

Milestone XProtect^® Hospital Assist

Installation and Use – for the Milestone XProtect Hospital Assist product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

The Product consists of the following features: Fall Detection, Privacy Blur, Sticky Note, and Multiroom Audio which you have the right to use subject to the terms of this EULA and purchased license as defined below in this section. The Sticky Note, Privacy Blur and Multiroom Audio features are part of XProtect VMS installer applied by you. Whereas the Fall Detection feature is to be installed via separate installation files.
The Product may only be used with Milestone XProtect VMS products (with exception of Milestone XProtect Essential+) for which a license has been separately purchased by you, in particular with the 2024 versions of XProtect VMS products and above.
The Product may only be used on computers running operating systems for which the Product was designed.
To use the Product, you must purchase an XProtect Hospital Assist license for each enabled video channel.
You acknowledge and accept that the Product is provided “as-is” and is not an approved healthcare product or medical device and cannot be relied upon in lieu of patient monitoring or replace medical care providers. Milestone makes no guarantee, express or implied, that this Product will detect a patient fall. You acknowledge and accept that the Product should be treated only as a secondary support tool and therefore cannot constitute the basic or sole reason for your decision. Any conclusions which are drawn from the analysis of information provided by the Product must at all times be verified with due professional care as well as with conclusions being drawn from information coming from other sources. Any conclusions made by you and any actions taken by you are your responsibility solely.
You acknowledge and accept that the Product has undergone testing only within a limited hospital environment. While every effort has been made to ensure its functionality within this setting, it is important to note that IT infrastructure and other conditions in the hospital environments may vary. Therefore, the Product's performance may be affected by different hospital environments.
Except as expressly authorized in this EULA, you agree that you will not use the Product with any system or application where the use or failure of such system or application can reasonably be expected to threaten or result in personal injury, death, or loss, including, without limitation, use in connection with any medical, life support or other life critical applications.
The use of the Product is further restricted by the terms of the Milestone EULA applicable to the applied version of the Milestone XProtect VMS product.

Milestone XProtect^®Incident Manager

Use – for the Milestone XProtect Incident Manager product the following applies:

The Product may only be used in connection with the following Milestone XProtect VMS products or approved OEM versions of these products: Milestone XProtect Corporate version 2022 R2 or later versions, and Milestone XProtect Expert, Milestone XProtect Professional+, and Milestone XProtect Express+ that are version 2022 R3 or later versions of these products.
In order to use the Product, you must purchase an XProtect Incident Manager license. If you are using Milestone XProtect Corporate version 2022 R2 or later, the license for the Product is included in and activated together with the license for your Milestone XProtect Corporate product.
The use of the Product is also governed and restricted by the terms of the Milestone EULA applicable to the applied version of the Milestone XProtect VMS product, or by the terms of a license agreement applicable to the applied OEM version of the Milestone product.

Milestone XProtect^® Transact

Installation and Use – for the XProtect Transact product the following applies:

XProtect Update Manager

Installation and Use – for the XProtect Update Manager utilities (“Update Manager”) the following applies:

Update Manager may only be used in connection with the Milestone XProtect VMS products for which Update Manager was originally intended as well as with future products Milestone may confirm to be supported by Update Manager. Please see this Product’s documentation on Milestone website.
By using Update Manager to remotely install and update Milestone XProtect VMS products on other computers, you are regarded as being a system administrator of those computers ("Remote Computers"). Being a system administrator, it is your responsibility to ensure that the users of the Remote Computers understand and accept the EULAs of the Milestone XProtect VMS products being installed or updated using Update Manager, even in the case when the installation process has been made unattended for the users of the Remote Computers and possibly invisibly for them as well. By remotely installing or updating a Milestone XProtect VMS product on a Remote Computer you accept - as a system administrator - this responsibility, including the responsibility and liability for adherence to and compliance with this EULA by the users of Remote Computers.
Milestone expressly disclaims any warranty and responsibility for any Milestone XProtect system disruption as well as any loss, including loss of data and/or configuration of the Milestone XProtect system, caused by your use of the Product or by the Product disruption.

Milestone Husky IVO™ series Video Surveillance Appliances

Installation and Use – for the Milestone Husky IVO™ series Video Surveillance Appliances (covers the following products: Milestone Husky IVO 150D, Milestone Husky IVO 350T, Milestone Husky IVO 350R, Milestone Husky IVO 700R, Milestone Husky IVO 1000R and Milestone Husky IVO 1800R, including all variants of these products) the following applies:

Milestone hereby grants you the right to deploy and use the Product with the following conditions and restrictions:

The XProtect VMS software, the Husky Assistant and other possible software utilities, such as Husky Recovery Tool, delivered with the Product, may, and can, only be used with the computer hardware and operating system with which it is delivered.
Product software updates and recovery images provided by Milestone for the product may, and can, only be used with the Product.
The Product is preloaded with XProtect VMS software. The use of the XProtect VMS software is subject to the terms and conditions for the specific product (refer to relevant section in this EULA) and conditioned by the use of a rightfully obtained and registered Software License Code.
The Product includes an embedded Microsoft Windows Operating System. The included Microsoft Windows license gives you free access to possible updates to the applicable Windows Operating System that Microsoft may release. It is your responsibility to keep the Windows Operating System current according to Microsoft’s guidelines. Milestone does not accept any responsibility for the compatibility of future software updates of the Windows Operating System, and future versions of the Microsoft Windows Operating System may change the use of available system resources in the Product, which may impact the overall performance of the Product. The Product is further dimensioned and designed for the included version of Microsoft Windows operating system. Milestone cannot guarantee compatibility with other versions of Microsoft Windows operating systems.
The included Microsoft Windows Operating System must only be used together with the Product and must hence not be used on any other computer hardware. The terms and conditions for the use of the Microsoft Windows Operating System are regulated by Microsoft’s end-user license agreement.

Installation and Use – for the Milestone StableFPS the following applies:

Milestone hereby grants you the right to install and use the Product with the following restrictions:

The Product may be installed and used on an unlimited number of computers where a Milestone XProtect VMS product is installed. The Product may only be used for testing, development, and demonstration purposes.
The Product may only be operated, regardless of whether this is directly or in some indirect form, by you, your employees or other people working for you. The Product consists of a device driver and prerecorded media streams, including video content. You may not redistribute, sublicense, nor otherwise grant any right to the Product and to its components, including video content, to any third party. In case any video content is added by you to the Product, it is your responsibility to ensure a legal basis for your use of such video, including a license to use objects of third-party’s rights as well as a data subject’s consent when such license, consent or other legal basis is required under applicable laws.
The Product may only be used for the purpose of demonstrating of Milestone XProtect VMS, or for development, testing and demonstration of applications or systems applied with Milestone XProtect VMS. Milestone does not provide and expressly disclaims any warranty for applications or systems applied with or connected to Milestone XProtect VMS. The entire risk arising out of your use of such applications and systems remains with you as the user, including your responsibility to obtain required licenses for your use of third-party software.
The Product may only be used in connection with Milestone XProtect products, Milestone Husky NVR products supporting the Milestone Integration Platform Software Development Kit, and approved OEM versions of Milestone XProtect products. The Product may not be used separately, in connection with non-Milestone products.
You agree and warrant not using the Product in ways that will enable an end-user to use a Milestone product, or an OEM version of a Milestone product in a way that may infringe the license terms covering the specific product, or break or circumvent the licensing system for the Milestone product or the OEM version of a Milestone product.

Milestone SDK Tools

Installation and Use – for the Milestone SDK Tools (Milestone Software Development Kit Tools):

Milestone hereby grants you the right to install and use the Product with the following restrictions:

The Product may be installed on an unlimited number of computers and can be used for development purposes.
The Product may only be used on computers running operating systems for which the Product was designed.
Milestone Integration Platform Software Development Kit (“MIP SDK”) may be required to be installed in order to use MIP SDK Tools. You can find more information on MIP SDK at https://www.milestonesys.com/support/for-developers/sdk/
The Product may only be operated, regardless of whether this is directly or in some indirect form, by you, your employees or other people working for you. The Product may therefore, for instance, not be operated or used in any way by customers of yours or other third parties.
The Product may only be used in connection with Milestone XProtect products, Milestone Husky NVR products supporting the Milestone Integration Platform Software Development Kit, and approved OEM versions of Milestone XProtect products. The Product may not be used separately, in connection with non-Milestone products.
The use of the Product is further restricted by the terms and requirements set out in the End-user License Agreement for the Milestone product or the OEM version of the Milestone product it is used together with.
You agree and warrant not using the Product in ways that will enable an end-user to use a Milestone product, or an OEM version of a Milestone product in a way that may infringe the terms of the license agreement, including this EULA, covering the specific product, or break or circumvent the licensing system for the Milestone product or the OEM version of a Milestone product.
The Product includes software tools and components that enable you to connect or integrate with third-party software. The Product does not include licenses for such third-party software, which you must obtain yourself for your purpose.

Milestone Customer Dashboard

Use – for the Milestone Customer Dashboard utilities the following applies:

When activating the XProtect VMS licenses, your system data (e.g., the number of used devices, MAC addresses of the connected devices, etc.) is exchanged and stored in the Milestone’s licensing system, accessible via the Milestone Customer Dashboard, as specified in the general terms of this EULA, “Collection and registration of system data”.

Milestone hereby grants you the right to use the Milestone Customer Dashboard and you accept the following conditions and restrictions:

Milestone Customer Dashboard is a free online tool for Milestone and Milestone partners to manage and monitor installations of Milestone XProtect VMS and licenses. Milestone Customer Dashboard contains tools for (i) managing information about end-users’ installations, (ii) registration and activation of licenses, and subject to your consent, (iii) real-time status overview of the system's health and performance data, and (iv) email notifications and error filtering in XProtect VMS installations.
As the end-user of XProtect VMS product, you can register your data in the “XProtect end-user registration” form, accessible via the Milestone XProtect Management Client. The end-user data provided by you is stored in Milestone’s licensing system.
Your access to the Milestone Customer Dashboard can be activated upon request to Milestone. With such access, you can administer your licenses for the Milestone XProtect products.
You may consent to share your system configuration and performance data with the Milestone Customer Dashboard by checking the box in the Tools/ Options section in the Milestone XProtect Management Client. Examples of such system data are error information originating from cameras, system or network failures. Your consent also implies that you agree to Milestone sharing your system configuration and performance data in the Milestone Customer Dashboard with the authorised Milestone channel partners with the sole purpose of providing customer support services to you.
When providing your end-user data, license data, system and performance data via the Milestone XProtect Management Client and/or via the Milestone Customer Dashboard, you consent to Milestone receiving and using your data for the purpose of Milestone services in the form of license management and monitoring, and for Milestone’s analytical purposes to improve our services.
You agree to not alter, modify, or in any way tamper with the license data, system and performance data transmitted to Milestone’s licensing system and/or the Milestone Customer Dashboard. You are provided with self-service access via the Milestone XProtect Management Client to administer your end-user data and you are obliged to keep your end-user data accurate. Milestone reserves the right, at our sole discretion, to correct or remove inaccurate data.
Milestone cannot be held responsible for any loss of data caused by disruptions in communication with the Milestone Customer Dashboard during license activation.
In addition to the general restrictions in Milestone’s liability defined in the section “Limitation of Liability” above, Milestone does not accept any liability arising out of a Milestone channel partner’s misuse of, or inability to use, the Milestone Customer Dashboard.
Access to certain features of the Milestone Customer Dashboard requires a valid Milestone Care Plus contract. Please see https://www.milestonesys.com/solutions/services/milestone-care/. Milestone accepts no liability for possible interruptions in the service caused by failure to renew the Milestone Care coverage in due time.
Additional third-party charges may apply for using the Milestone Customer Dashboard, including, but not limited to, communication cost.
