NOTA: Si es usted distribuidor de Milestone, integrador de sistemas o si está instalando este Producto en nombre de un tercero, deberá asegurarse de obtener la aceptación del presente Acuerdo de licencia para usuario final y su consentimiento para proporcionar datos personales del usuario final para registrarse en Milestone Systems si se aplica dicha opción voluntaria.

El presente Acuerdo de licencia para usuario final (“EULA”, por sus siglas en inglés) es un contrato vinculante entre usted (persona física o jurídica) y Milestone Systems A/S (“Milestone”) en relación con el producto o utilidad de Milestone, que puede incluir componentes de software y hardware, soportes, materiales impresos, documentación online o electrónica y cualquier actualización o corrección (“Producto”). Si ha adquirido este Producto como parte de un sistema de ordenadores o servidores proporcionado por Milestone, todos los componentes de software y hardware de dicho sistema se considerarán, a efectos de este Acuerdo de licencia para usuario final, partes del Producto, salvo cualquier componente de software y hardware cubierto por un acuerdo de licencia de un tercero independiente que esté incluido en la documentación del sistema o incorporado en dicho sistema.

Al instalar, implementar o copiar el Producto, o al utilizarlo de cualquier otra manera, usted acepta someterse a las condiciones del presente Acuerdo de licencia para usuario final. Si no acepta las condiciones de este EULA o no instala ni utiliza el Producto, deberá devolverlo en un plazo de 30 días tras la compra de este junto con todo el material correspondiente al lugar donde lo adquirió para el reembolso íntegro de su importe, sin incluir los gastos de envío. Esta política de devolución no se aplica si usted o su representante, incluido el distribuidor de Milestone que actúe en su nombre, ha aceptado este Acuerdo de licencia para usuario final antes del proceso de compra del Producto o como parte de este. Tampoco se aplica a los productos Milestone Husky ni al hardware relacionado. El Producto está protegido por leyes de copyright y tratados internacionales de copyright, además de leyes y tratados de propiedad intelectual. Tenga en cuenta que no adquiere todos los componentes de software del Producto, sino que se le otorga la licencia de estos. La licencia del Producto no constituye un arrendamiento o una venta de los derechos de propiedad intelectual, ni ninguna transferencia de propiedad de los derechos de propiedad intelectual del Producto.

En cuanto a aquellos productos de Milestone que requieran un código de licencia de software (“SLC”), la licencia que se le ha otorgado se identifica a través del código de licencia de software que usted recibió al adquirir el Producto.

Sociedades afiliadas. En virtud del presente Acuerdo de licencia para usuario final, usted recibe una licencia respecto de Milestone XProtect Corporate, Milestone XProtect Expert o Milestone XProtect Professional+. Gracias a ella, usted podrá conceder a sus Sociedades afiliadas y a sus respectivos empleados, representantes y demás personas que trabajen para ellas acceso a dicho Producto o permitir su uso por parte de cualquiera de dichas personas, siempre que usted asuma en todo momento la responsabilidad íntegra derivada de que el acceso al Producto y su uso por parte de las Sociedades afiliadas se efectúen de conformidad con las condiciones del presente Acuerdo de licencia para usuario final. Este derecho abarca también las extensiones y los componentes Milestone XProtect que usted haya adquirido para Milestone XProtect Corporate, Milestone XProtect Expert o Milestone XProtect Professional+. Usted deberá asegurase de que sus Sociedades afiliadas (i) acaten el presente Acuerdo de licencia para usuario final antes de que se les conceda acceso al Producto (ii) y cumplan los términos y condiciones del mismo. A los efectos del presente Acuerdo de licencia para usuario final, el término “Sociedades afiliadas” incluye a cualquier persona jurídica que, directa o indirectamente, esté bajo control de usted, le controle a usted o esté bajo control común junto con usted; y los términos “control” o “controlar” significan poseer la titularidad de más del 50 % de las acciones políticas, que otorgan el derecho a elegir o designar a la mayoría del consejo de administración o a un órgano de gestión parecido.

Aceptación de actualización remota desasistida. Cabe la posibilidad de que el administrador de sistemas de su organización utilice ahora o en el futuro una herramienta o técnica asociada al sistema operativo que permita actualizar o instalar productos de software en su ordenador de forma remota y desasistida; un ejemplo de este tipo de herramientas es XProtect Update Manager. Si utiliza una herramienta de este tipo para actualizar el Producto sin la atención del usuario, es muy posible que no se le pida que acepte un Acuerdo de licencia para usuario final para el nuevo Producto. Al aceptar este EULA, otorga usted al administrador de sistemas de su organización el derecho de aceptar los EULA de futuras actualizaciones de productos en su nombre.

Implementación de AWS Cloud. Los productos XProtect VMS de Milestone también se entregan en forma de imagen de máquina de Amazon («AMI») bajo el modelo Bring Your Own License y se pueden implementar en infraestructuras de servicios de AWS Cloud mediante la secuencia de comandos asociada de CloudFormation. Esta secuencia de comandos realiza una implementación predeterminada del Producto en una nube privada virtual («VPC») en su cuenta de AWS. La secuencia de comandos de CloudFormation o la implementación predeterminada que esta genera se puede modificar, en la medida en que sea necesario para implementar el Producto, en la infraestructura de servicios de AWS Cloud propia del usuario. La secuencia de comandos de CloudFormation se proporciona “en las condiciones en que se ofrece”, sin garantía alguna, ni siquiera, entre otras, la garantía implícita de adecuación para un fin determinado. Milestone renuncia de manera expresa a cualquier garantía y no acepta responsabilidad alguna por modificaciones efectuadas en la secuencia de comandos de CloudFormation o en la implementación predeterminada que esta genere. Usted, en calidad de usuario, asume la totalidad del riesgo y la responsabilidad que se deriven de la implementación del Producto y del uso de este una vez implementado.

Derechos de propiedad intelectual. Todos los títulos y derechos, incluidos, entre otros, los derechos de autor, en el Producto y asociados al mismo y a cualquier copia son propiedad de Milestone, o en el caso de contribuciones de terceros a dicho producto, el título y derechos a dichas contribuciones solamente son propiedad de sus licenciatarios. Milestone se reserva todos los derechos no otorgados expresamente.

El Producto podrá incluir la tecnología HEVC/H.265, que está sujeta a la licencia “HEVC Advance Patent Portfolio License” y cuyo uso está contemplado en una o varias pretensiones de las patentes recogidas en patentlist.hevadvance.com.

Vulneración de derechos de terceros. Milestone asume la responsabilidad de garantizar que el Producto no vulnere los derechos de propiedad intelectual de terceros; no obstante, en lo que respecta a patentes, solamente se hace responsable de (a) las patentes otorgadas y publicadas en los Estados Unidos de América o la Unión Europea antes de la fecha de adquisición, y (b) solamente si el Producto constituye una vulneración como producto independiente mientras este no se use con otro(s) producto(s) o tecnología. En caso de que se emprendan acciones legales contra usted en las que se alegue la existencia de dicha vulneración, deberá notificarlo por escrito de inmediato a Milestone. Milestone se hará cargo a partir de entonces de la responsabilidad del caso y de todos los costes legales derivados de este. Milestone tendrá poderes irrevocables para llevar a cabo el litigio en su propio nombre o para negociar acuerdos en cuanto a la presunta violación con usted, el usuario. Milestone tendrá derecho, según su propio criterio, a obtener para usted el derecho continuado a usar el Producto o a resolver la violación modificando o sustituyendo el Producto por otro que posea básicamente las mismas funciones que el Producto, o (si no se puede recurrir a ninguna de estas soluciones a un coste razonable para Milestone) de resolver este EULA con efecto inmediato. En caso de resolución de este Acuerdo, usted no presentará ninguna alegación contra Milestone, incluidos, entre otros, los derechos de compensación o indemnización.

Corrección de errores. Los defectos o errores en el Producto se considerarán de tipo material solamente si influyen en la funcionalidad del Producto en su totalidad o si impiden que el Producto funcione. Si usted, en un plazo de 90 (noventa) días desde la compra del Producto, registra la existencia de un defecto o error material en este, Milestone, según su propio y entero criterio, estará obligada a (i) entregar una nueva copia del Producto sin el defecto o error material, (ii) remediar o corregir el defecto sin cargo alguno para el cliente, o (iii) resolver este EULA y reembolsar toda cantidad abonada por las licencias una vez devueltas todas las copias del Producto. Las disposiciones de este párrafo constituyen las únicas soluciones de que usted dispondrá en caso de defecto o error en el Producto.

Sin garantías. Salvo que se le conceda una garantía específica como parte de la documentación del Producto, Milestone niega expresamente toda garantía de dicho Producto. El Producto y cualquier documentación relacionada se suministran «tal cual» sin garantías de ningún tipo, expresas o implícitas, incluidas sin limitación, las garantías tácitas de comerciabilidad o idoneidad para un propósito en particular. El riesgo que conlleva el uso o rendimiento del Producto quedará bajo la responsabilidad del usuario. Si se usa con un equipo o software determinado, el Producto puede permitirle realizar acciones de vigilancia y procesamiento de datos que pueden estar limitados por la ley aplicable o ser contrarios a ella, incluidos, entre otros, la privacidad de datos y el derecho penal. Es su responsabilidad como usuario verificar su uso de conformidad con la ley aplicable.

Licencias de prueba y piloto, versión beta del Producto. Si se le concede una licencia de prueba o piloto, u otra licencia temporal de Milestone para una finalidad definida específicamente, incluida, entre otras, una licencia para usar una versión beta del Producto, los derechos de uso en virtud del presente Acuerdo de licencia para usuario final se limitan exclusivamente a la finalidad de la licencia concedida, y solo durante el plazo definido en esta licencia. El plazo limitado de cualquier licencia temporal de este tipo se muestra en XProtect Management Client, o está definido de otro modo por Milestone; por ejemplo, en el archivo o documento de la licencia asociado a la licencia temporal concedida. Si se concede una licencia temporal, el Producto se proporciona «tal cual» sin ninguna garantía, expresa o implícita (véase la sección anterior «Sin garantías»), y Milestone no proporciona asistencia para el Producto. No se admitirá ningún recurso y no se aplicarán secciones como, por ejemplo, «Correcciones y errores». En el marco de la licencia temporal, no se aplicará el Ciclo de vida del producto Milestone y la asistencia no estará incluida. En cambio, todas las restricciones y requisitos relacionados con el uso del Producto descritos en el presente Acuerdo de licencia para usuario final se aplicarán de igual modo al uso que haga del mismo. En el marco de la licencia temporal, Milestone niega expresamente cualquier responsabilidad legal o de cualquier otra índole por el Producto. Si, en el marco de la licencia temporal, Milestone proporciona el Producto de forma gratuita y sin ninguna cuota o pago por la licencia, y cuando Milestone no pueda renunciar contractualmente a la responsabilidad (ya sea contractual, extracontractual o indemnización), esta se limitará a un importe no superior a 100 EUR (cien euros).

Además de lo anterior, si el Producto es una versión beta del Producto Milestone, su finalidad será únicamente de prueba y evaluación. La versión beta del Producto puede que no sea totalmente funcional, puede contener errores o fallos de diseño, y su uso puede producir resultados inesperados, pérdida de datos, retrasos en los proyectos u otros daños o pérdidas impredecibles. Puede utilizar este Producto según su propio criterio y riesgo, entendiendo que no está diseñado para su uso en sistemas de producción o críticos para la empresa. Milestone puede optar por no poner a disposición una versión del Producto distinta de la beta. Milestone también puede optar por cancelar el desarrollo del Producto y dar por finalizada su disponibilidad en cualquier momento, sin que por ello se deriven responsabilidades.

Uso prohibido. El Producto solo puede ser usado y aplicado respetando las leyes de la jurisdicción, país o región en que se use. Esto incluye, entre otras, las posibles restricciones legales de lo que se puede vigilar y grabar con el Producto, la política para almacenar datos grabados y de otro tipo en el Producto, y cómo se gestionan dichos datos grabados al exportarlos del Producto. Es responsabilidad exclusiva del usuario del Producto conocer y cumplir estas leyes y restricciones. Milestone no acepta ninguna responsabilidad por pérdidas o daños producidos como consecuencia directa, indirecta o como resultado del incumplimiento de dichas leyes o restricciones.

De conformidad con la Política de Derechos Humanos de Milestone, Milestone procura impedir que se ocasionen graves perjuicios a los derechos humanos o que se contribuya a tales perjuicios, incluso a través del uso del Producto. El presente Acuerdo de licencia para usuario final no contempla el uso del Producto con el fin de infringir o menoscabar gravemente los derechos humanos de cualquier persona física o colectivo de personas ni en relación con tales prácticas, tal y como se estipula en la Declaración Universal de Derechos Humanos de Naciones Unidas u otros sistemas de protección de derechos humanos con reconocimiento internacional, incluida la Carta de los Derechos Fundamentales de la UE. Dicho uso queda prohibido en virtud de los presentes términos y de la Política de Derechos Humanos de Milestone y constituye una infracción sustancial del presente Acuerdo de licencia para usuario final, que dará lugar a una interrupción inmediata de la licencia del Producto sin previo aviso, con lo que cualquier uso posterior del mismo sería considerado ilegal. Asimismo, Milestone se reserva el derecho de cancelar la licencia del Producto sin previo aviso en caso de que se presente una denuncia por infracción de derechos humanos a través del Mecanismo de Denuncia de Milestone y dicha denuncia quede probada en el procedimiento interno de Milestone destinado a investigar, gestionar y subsanar cualquier infracción de los derechos humanos.

Protección de datos y privacidad. Usted declara y confirma que es consciente de que el Producto recopila y trata datos personales, suministrados a través de cualquier fuente de vídeo, como cámaras, grabadores de vídeo en red o grabadores digitales de vídeo o de cualquier otra forma, y que Milestone y sus licenciantes no tendrán ninguna responsabilidad en relación con la forma en que dichos datos personales se recopilan y procesan como entrada del Producto o mediante el uso del Producto, su calidad o suficiencia ni tendrán ningún acceso independiente a dichos datos personales recopilados y tratados, y que Milestone y sus licenciantes no tendrán ninguna responsabilidad en cuanto a sus derechos y obligaciones en virtud de cualquier ley aplicable para recopilar, tratar o utilizar datos personales, incluyendo, pero sin limitarse al RGPD y cualquier otra legislación sobre privacidad y protección de datos.

Copenhagen Clause. Milestone se adhiere a la Copenhagen Letter, una declaración de tecnología para aspirar a una conversación pública abierta y honesta sobre la potencia de la tecnología y cómo la tecnología debería mejorar la calidad de vida. Nosotros, que damos forma a la tecnología, debemos reflexionar sobre cómo la tecnología afecta a las necesidades y a los comportamientos humanos, y de qué forma deberíamos responsabilizarnos más en relación con el uso de tecnología. Milestone anima a nuestros socios a no solo participar en este importante debate sobre el uso responsable de la tecnología, sino también a firmar la Copenhagen Letter en el sitio web https://www.milestonesys.com/company-news/milestone/csr/the-copenhagen-letter/ y a adoptar en sus propios acuerdos la correspondiente Copenhagen Clause.

Limitación de responsabilidad. Las disposiciones de este párrafo serán efectivas en la medida que lo permita la ley aplicable. Milestone o sus proveedores no serán en ningún caso responsables de los daños especiales, incidentales, indirectos o consecuenciales (incluidos, entre otros, los daños por pérdidas de beneficios empresariales, interrupción de negocios, pérdidas de información empresarial u otras pérdidas pecuniarias) ni asumirán ningún tipo de responsabilidad por producto (salvo por daños físicos) derivada de la capacidad o incapacidad de utilizar el Producto o de suministrar asistencia técnica adecuada, incluso si se ha avisado a Milestone de la posibilidad de que se produzcan dichos daños. Exceptuando cualquier dolo o negligencia grave, la única responsabilidad de Milestone y sus proveedores, ya sea contractual, extracontractual o indemnización, quedará limitada a la cantidad que ha pagado el usuario por el Producto.

Licencias de terceros. Los Productos incluyen los derechos de uso de determinados productos de software de terceros según lo establecido en la documentación del Producto específico. Puede usar e integrar los Productos con otro software de terceros y es su responsabilidad, al instalarlos, investigar y obtener derechos de uso de cualquier software de terceros para su propósito.

Ciclo de vida de los productos de Milestone. El uso que hace del Producto también está sujeto al Ciclo de vida de los productos de Milestone. Véase https://www.milestonesys.com/support/tools-and-references/product-lifecycle/. Con arreglo al ciclo de vida de los productos de Milestone y, salvo que en él se defina de otro modo, la activación de las licencias está disponible durante los 10 años posteriores a la disponibilidad general del Producto. Al cabo de 10 años, puede que ya no sea posible agregar nuevos dispositivos IP y/o reemplazar dispositivos IP conectados y habilitados en el Producto. Sin embargo, conforme a este Acuerdo de licencia para usuario final, conservará su derecho a usar el Producto y el Sistema XProtect existente seguirá funcionando.

Disposiciones varias. (a) Podrá hacer tantas copias del Producto como sean necesarias con fines de realización de copia de seguridad y de archivado, con sujeción a la obligación de reproducir todos los avisos de propiedad en dichas copias. (b) No podrá distribuir, otorgar sublicencias o poner el Producto a disposición de terceros, salvo en la medida en que el presente Acuerdo de licencia para usuario final lo autorice de manera expresa. (c) No podrá aplicar técnicas de ingeniería inversa a los componentes del Producto, ni tampoco descompilarlos, modificarlos o desensamblarlos, a menos que lo autorice la legislación aplicable, a la que no se puede renunciar contractualmente. (d) El presente Acuerdo de licencia para usuario final no es transferible a menos que se transfiera una participación en la titularidad que incluya el Producto Milestone; en tal caso, podrá ceder de forma permanente todos sus derechos sobre este Producto a la parte receptora, siempre y cuando esta acepte las condiciones del presente Acuerdo de licencia para usuario final.

Control de exportación. El alcance de sus derechos y la licencia concedida en virtud del presente Acuerdo de licencia para usuario final estarán sujetos a cualquier sanción aplicable, regulaciones de control de exportaciones u otras medidas comerciales restrictivas impuestas por Naciones Unidas, Estados Unidos de América, Reino Unido, Dinamarca o la Unión Europea, y por cualquier otro país correspondiente. No podrá utilizar el Producto ni ejercer ningún derecho de licencia concedido en virtud del presente documento si dicho uso está prohibido por, o sujeto a cualquier sanción aplicable, normativa de control de exportaciones u otras medidas comerciales restrictivas. Sin perjuicio de lo anterior, declara que no aparece en ninguna lista de personas o entidades de EE. UU., la UE o cualquier otro gobierno correspondiente con la prohibición de recibir exportaciones. Deberá prohibir que sus empleados y asesores utilicen el Producto en incumplimiento de cualquier embargo, prohibición o restricción a la exportación de la UE, el Reino Unido o EE. UU. Asimismo, declara y garantiza que se asegurará de que todos los empleados y asesores que utilicen el Producto no residan en cualquier país autorizado por la Oficina de Control de Activos Extranjeros (OFAC) del Departamento del Tesoro de EE. UU. o el Consejo de Seguridad de las Naciones Unidas, ni operen desde estos países.

Milestone no estará obligada a conceder licencias ni a suministrar ningún Producto de Milestone, si estuviera prohibido de conformidad con las sanciones aplicables o las leyes o reglamentos de control de exportaciones. Milestone no estará obligada a cumplir el presente Acuerdo de licencia si el cumplimiento de este viene impedido por restricciones y obstáculos que se deriven de requisitos en materia de comercio exterior o aduanas, embargos u otras sanciones, de carácter nacional o internacional.

Rescisión. Sin perjuicio de cualquier otro derecho, Milestone puede rescindir el presente Acuerdo de licencia para usuario final si no cumple con sus términos y condiciones o si no cumple con los requisitos de control de exportaciones aplicables o si es necesario para que Milestone pueda cumplirlos, sin que tenga ningún derecho a reclamar daños, reembolsos o cualquier compensación. En tal caso, debe dejar de usar el Producto inmediatamente, destruir todas las copias del mismo y certificar dicha destrucción por escrito.

Independencia de las cláusulas. Si un tribunal u organismo gubernamental de la jurisdicción competente determina que alguna de las cláusulas de este EULA no es válida, que no es ejecutable o que solamente lo es en parte, este EULA seguirá teniendo vigor y efecto plenos con la exclusión o restricción de dichas cláusulas.

Totalidad del acuerdo. Este Acuerdo de licencia para usuario final constituye la expresión del total acuerdo en lo relativo al asunto en el tratado, y todo compromiso u obligación de carácter oral o escrito que lo hubiere precedido, así como todas las garantías implícitas, normas del derecho consuetudinario o normas comunes del derecho que no estuvieren contenidas en este documento quedan excluidas de aplicación entre las partes.

Derecho aplicable. Este Acuerdo de licencia para usuario final y el contrato firmado entre el cliente y Milestone se rigen por la legislación danesa y el único foro para la resolución de las disputas que se deriven del presente acuerdo es el Tribunal de la ciudad de Copenhague.

Condiciones y restricciones de licencia, instalación y usoLos productos Milestone XProtect VMS admiten dispositivos IP. Entre los dispositivos IP figuran cámaras, codificadores, servicios de vídeo u otros tipos de dispositivos de vídeo o no relacionados con el vídeo a los que se acceda a través de una dirección IP única con la instalación aplicada del Producto. En el caso de dispositivos IP que tengan una dirección IP incluidos en la lista de dispositivos compatibles de Milestone, se necesita una licencia de dispositivo por cada dispositivo IP que se conecte al Producto y se habilite con este. En el caso de dispositivos IP que tengan varias direcciones IP habilitadas, el número de licencias de dispositivo necesarias se especifica en la lista de dispositivos compatibles de Milestone. Consulte los dispositivos IP compatibles, el número necesario de licencias y las excepciones en la lista de dispositivos compatibles en https://www.milestonesys.com/support/software/supported-devices. A los dispositivos IP que tengan una sola dirección IP se les aplican las excepciones siguientes: (i) En el caso de dispositivos IP conectados al Producto a través de un dispositivo intermedio o un sistema intermedio, se necesita una licencia de dispositivo por cada canal de vídeo habilitado. (ii) Los dispositivos IP provistos de varios objetivos o sensores y codificadores y que tengan hasta 16 cámaras analógicas conectadas cuentan como un solo dispositivo IP. (iii) En el caso de codificadores con más de 16 canales, se necesita una licencia de dispositivo por cada canal de vídeo habilitado. Es posible que sean de aplicación otras excepciones; consulte la lista de dispositivos compatibles Milestone para obtener información exhaustiva.

En el caso de dispositivos IP que no se incluyan en la lista de dispositivos compatibles de Milestone y para el Video Processing Service Driver incluido en el Milestone MIP SDK, son de aplicación las disposiciones siguientes: (i) los dispositivos IP con capacidades de vídeo precisan una licencia de dispositivo por cada canal de vídeo habilitado; (ii) los dispositivos IP desprovistos de capacidades de vídeo precisan una sola licencia de dispositivo por cada dirección IP.Pueden aplicarse términos de licencia específicos para los productos XProtect® VMS específicos. Consulte los términos y condiciones específicos de los productos, y (iii) el Video Processing Service Driver, cuando recibe un vídeo de cualquier sistema de procesamiento de vídeo conectado o de cualquier dispositivo conectado directa o indirectamente, requiere una licencia de dispositivo por canal de vídeo habilitado.

Obtención y registro de datos del sistema. Al activar las licencias del Producto, acepta que los datos del sistema principal (como el número de dispositivos usados) se intercambien y almacena en el sistema de licencias de Milestone. Se genera una clave única para cada licencia y dispositivo conectado al sistema. Milestone recoge las direcciones MAC de los dispositivos conectados y realiza un seguimiento del número de veces que las cámaras se registran y eliminan para asegurarse de que las licencias se utilizan de conformidad con el Acuerdo de Licencia para Usuario Final. Milestone también registra la dirección IP del servidor que activa la licencia. Respecto de sistemas que utilizan las notificaciones automáticas de Milestone, Milestone hace un seguimiento del identificador único global (“GUID”, por sus siglas en inglés) del servidor móvil y de los dispositivos de plataforma abierta que se registran para recibir las notificaciones y de las direcciones de correo electrónico que se especifican para recibir notificaciones automáticas. Si usa cualquier plug-in u otras aplicaciones integradas junto con el Producto, la activación de las licencias relativas a este también conlleva la recogida de datos básicos de dichas aplicaciones y su envío a Milestone. Los datos relativos a aplicaciones integradas incluyen información como el nombre del fabricante, y el nombre y versión de la versión. El propósito de recabar y mantener los datos del sistema es permitir que Milestone y sus socios de canal apliquen las licencias de los productos Milestone con eficacia. En cuanto a las aplicaciones integradas, Milestone utilizará los datos recogidos con fines estadísticos y analíticos. Usted se compromete a no alterar, modificar ni dañar de ningún modo los datos transmitidos al servicio online.

Es posible que también deba proporcionar a Milestone información sobre sus personas de contacto en forma de nombre, correo electrónico y número de teléfono. Por tanto, y a modo de ejemplo, sus clientes o los de otros terceros no podrán usar ni utilizar en modo alguno el Producto, excepto si se trata de sus Sociedades afiliadas, término especificado con anterioridad en la cláusula «Sociedades afiliadas» de las condiciones generales del presente Acuerdo de licencia para usuario final.
El Producto solo podrá ser utilizado para vigilar inmuebles o terrenos cuya propiedad o control recaiga en usted, o en sus Sociedades afiliadas, o para vigilar inmuebles o terrenos que no sean de su propiedad ni sean controlados por usted en los casos en que usted haya adquirido y conservado los permisos legales pertinentes.
Al usar Milestone Federated Architecture, el producto puede estar ligado a licencias adicionales usadas para conectar otros sistemas XProtect Corporate o XProtect Expert, siempre y cuando el sistema federado tenga una licencia válida.
Al usar Milestone Interconnect, el Producto puede usarse para conectar con otros productos de software de gestión de vídeo de Milestone y otros productos aprobados por Milestone (consulte el sitio web de Milestone https://www.milestonesys.com/products/expand-your-solution/milestone-extensions/interconnect/milestone-interconnect-compatibility/ para obtener información actualizada sobre los productos compatibles) que le pertenezcan a usted o que pertenezcan a terceros. El Producto solamente puede utilizarse junto con un producto VMS XProtect o una unidad NVR Milestone Husky. Al usarlo junto con los productos XProtect VMS, o una unidad NVR Milestone Husky, el Producto se podrá usar también con otros productos de Milestone compatibles y con productos o componentes de terceros programados con el kit de desarrollo de software de Milestone o con el kit de desarrollo de software de la Plataforma de Integración de Milestone (MIP, por su sigla en inglés).
Al utilizarlo junto con productos de Milestone oficialmente compatibles también podrá utilizarse con productos o componentes de terceros programados con el kit de desarrollo de software de MIP.
El uso del Producto tiene limitaciones adicionales que se describen en el Acuerdo de licencia para usuario final del producto VMS XProtect.

Milestonex XProtect^® Web Client

El uso de la funcionalidad de vídeo push está sujeta a la licencia con el producto con el que se use VMS XProtect o la unidad NVR Milestone Husky, donde cada usuario nombrado del cliente XProtect Mobile que quiera hacer uso de dicha funcionalidad necesita una (1) licencia de cámara en el producto VMS XProtect o la unidad NVR Milestone Husky.

Servidor XProtect^®Mobile de Milestone

Instalación y uso: Las siguientes cláusulas son aplicables al servidor XProtect Mobile:

Milestone le concede por la presente el derecho a instalar y usar un número ilimitado de copias del Producto con las siguientes condiciones y restricciones:

El Producto solamente se debe utilizar en ordenadores que funcionen con los sistemas operativos para los que se haya diseñado dicho Producto.
El producto solo se puede usar en conexión con productos con licencia VMS XProtect o unidades NVR Milestone Husky.
El uso del servidor XProtect Mobile tiene limitaciones adicionales, que se describen en el Acuerdo de Licencia para Usuario Final del producto VMS Milestone XProtect o unidad NVR Milestone Husky con el que se utiliza.
Al aceptar el presente Acuerdo de licencia para usuario final, usted acepta en nombre de los usuarios finales condiciones que permiten a estos conectarse al servidor XProtect Mobile para el uso de XProtect Mobile y XProtect Web Client.
El uso de la conexión inteligente, vídeo push y las notificaciones push móviles depende de servicios de terceros y la conectividad a la red como los servicios de notificación y redes de comunicación inalámbricas. Además de las restricciones generales en la responsabilidad de Milestone definidas en la sección «Limitación de responsabilidad» anterior, Milestone no acepta ninguna responsabilidad derivada del uso o la incapacidad de uso de ninguna de estas prestaciones directa o indirectamente causada por cualquier red de grupos de terceros o componente de servicio usados para proporcionar estas prestaciones.
El uso de Conexión inteligente y las notificaciones Mobile Push están condicionadas por un contrato de servicio Milestone Care Plus válido. Extensiones y componentes Milestone XProtect

Milestone XProtect^® Access

El Producto solo se podrá usar con el producto XProtect VMS (cualquier producto XProtect VMS, excepto XProtect Essential+), con versiones OEM aprobadas de estos Productos o con el producto NVR Milestone Husky para el cual se haya obtenido adecuadamente la licencia, ya sea a través de compra o suscripción.
El Producto puede utilizarse desde un número ilimitado de XProtect Management Applications/XProtect Management Clients y XProtect Smart Clients conectados al sistema VMS XProtect o la unidad NVR Milestone Husky.
Con el fin de facilitar la comunicación con sistemas de terceros, se puede instalar un número ilimitado de plug-ins de XProtect Access en el Servidor de eventos del sistema VMS XProtect o la unidad NVR Milestone Husky. Además de las restricciones generales aplicables a la responsabilidad de Milestone definidas en la sección «Limitación de responsabilidad» anterior, Milestone no acepta ninguna responsabilidad derivada de la capacidad o incapacidad de utilizar el Producto si los plug-ins han sido suministrados por terceros, o en el caso de que el plug-in de XProtect Access proporcionado por Milestone se utilice con un producto de terceros o una versión de un producto de terceros para los que no haya sido diseñado o validado. El Producto solo se puede usar en conexión con productos XProtect VMS compatibles oficialmente y unidades NVR Milestone Husky.
XProtect Access solamente se podrá utilizar con tantas puertas como licencias para puertas haya adquirido y registrado para el Producto cubierto por el código de licencia de software.

Milestone XProtect^® LPR

Instalación y uso: Las siguientes cláusulas son aplicables al producto XProtect LPR:

Milestone le concede por la presente el derecho a instalar y usar el Producto con las siguientes condiciones y restricciones:

El Producto solo se podrá usar con el producto XProtect VMS (cualquier producto XProtect VMS, excepto XProtect Essential+), con versiones OEM aprobadas de estos Productos o con la unidad NVR Milestone Husky (cualquier producto NVR Milestone Husky) para la cual se haya obtenido adecuadamente la licencia, ya sea a través de compra o suscripción.
El XProtect LPR se puede instalar en un número ilimitado de ordenadores, designados como Servidores XProtect LPR por cada código de licencia de software.
El Producto solamente se debe utilizar en ordenadores que funcionen con los sistemas operativos para los que se haya diseñado dicho Producto.
El Producto solo se puede usar en conexión con productos XProtect VMS compatibles oficialmente y unidades NVR Milestone Husky. Al utilizarlo junto con productos de Milestone oficialmente compatibles también podrá utilizarse con productos o componentes de terceros programados con el kit de desarrollo de software de MIP.
El plug-in XProtect LPR puede instalarse en un número ilimitado de ordenadores denominados como servidores de eventos o servidores de grabación, o en ordenadores que cuenten con la aplicación de Management Client.
XProtect LPR solamente se podrá utilizar con tantas cámaras como licencias para cámaras LPR haya adquirido y registrado para el Producto cubierto por el código de licencia de software.
XProtect LPR License Plate Libraries (las bibliotecas de matrículas XProtect LPR) pueden implementarse en un número ilimitado de Servidores XProtect LPR.
XProtect LPR solamente se podrá utilizar con el número de XProtect LPR License Plate Libraries que haya adquirido y registrado para el producto cubierto por el código de licencia de software.

Milestone XProtect^® Management Server Failover

El Producto solo se puede usar en relación con Milestone XProtect Corporate y Milestone XProtect Expert, en particular a partir de la versión R1 2022 de estos productos XProtect VMS de Milestone y en adelante, sujeto al Acuerdo de licencia para usuario final de Milestone aplicado a dichos productos VMS XProtect de Milestone .
El Producto solo se puede usar, mostrar y ejecutar en un sistema designado a la vez exclusivamente para su propio propósito comercial interno. Por «sistema designado» se entenderá el sistema informático designado en el que ejecute por primera vez el Producto y para el que se proporciona una licencia. El Producto sólo podrá utilizarse en el sistema informático designado que ejecute el sistema operativo para el que se ha diseñado el Producto.
Si no puede usar temporalmente el Producto en el sistema designado debido a condiciones fuera de su control, puede usar temporalmente el Producto en otro sistema designado («Sistema de copia de seguridad»). Para este propósito, Milestone emitirá una licencia temporal, siempre que proporcione a Milestone un aviso previo por escrito y toda la información necesaria para la emisión de dicha licencia temporal. Deberá destruir todas las copias del Producto en cualquier Sistema de copia de seguridad cuando se corrija el fallo temporal del sistema designado y deberá certificar dicha destrucción por escrito a Milestone en un plazo de tres días hábiles.
Puede transferir permanentemente el Producto a un sistema designado diferente («Sistema designado de reemplazo»), siempre que todas las copias del Producto se eliminen del sistema designado original y se destruyan, dicha destrucción se certificará por escrito a Milestone en un plazo de tres días hábiles. Milestone emitirá una nueva licencia para habilitar su uso en el Sistema designado de reemplazo, siempre que proporcione a Milestone un aviso previo por escrito y toda la información necesaria para la emisión de dicha licencia nueva.
Milestone niega expresamente cualquier garantía y responsabilidad por cualquier pérdida, incluida la pérdida de datos o configuración del Sistema XProtect de Milestone, causada por el uso que haga del Producto o por la interrupción de este.
Asimismo, el uso del Producto está restringido por los términos del Acuerdo de licencia para usuario final de Milestone aplicables a la versión aplicada del producto VMS XProtect de Milestone.
Para usar el Producto, debe adquirir una licencia XProtect Management Server Failover. Dicha licencia debe comprarse tanto para el servidor de gestión primario como para el secundario dentro de su sistema designado.

Milestone XProtect^® Hospital Assist

Instalación y uso: Las siguientes cláusulas son aplicables al producto Milestone XProtect Hospital Assist:

Milestone le concede por la presente el derecho a instalar y usar el Producto con las siguientes condiciones y restricciones:

El Producto consiste de las siguientes características: Detección de caídas, Difuminado de privacidad, Nota rápida y Audio multisala, las cuales tiene derecho a utilizar de acuerdo con los términos de este Acuerdo de licencia para usuario final y de la licencia adquirida, tal y como se define más adelante en esta sección. Las características Nota rápida, Difuminado de privacidad y Audio multisala forman parte del instalador de VMS XProtect de que dispone. En cambio, la característica de Detección de caídas debe instalarse mediante archivos de instalación independientes.
El Producto solo puede usarse con los productos XProtect VMS de Milestone (con la excepción del Milestone XProtect Essential+) para los que haya adquirido una licencia por separado, en particular con las versiones de 2024 de productos XProtect VMS y superiores.
El Producto solamente se debe utilizar en ordenadores que funcionen con los sistemas operativos para los que se haya diseñado dicho Producto.
Para usar el Producto, debe adquirir una licencia XProtect Hospital Assist para cada canal de vídeo habilitado.
Usted entiende y acepta que el Producto se proporciona "tal cual" y que no se trata de un producto sanitario o dispositivo médico homologado. No puede utilizarse como sustitutivo de la preceptiva monitorización del paciente ni sustituir a proveedores de atención médica. Milestone no garantiza, ni expresa ni implícitamente, que este Producto detecte caídas de un paciente. Usted reconoce y acepta que el Producto debe tratarse únicamente como una herramienta de apoyo secundaria y que, por lo tanto, no puede constituir la razón básica o única de su decisión. Las conclusiones que se extraigan del análisis de la información proporcionada por el Producto deberán verificarse en todo momento con la debida diligencia profesional, así como cualquier otra conclusión extraída de la información procedente de otras fuentes. Usted es el único responsable de las conclusiones a las que llegue y de las medidas que adopte.
Usted reconoce y acepta que el Producto se ha sometido a pruebas únicamente en un entorno hospitalario limitado. Aunque se ha hecho todo lo posible para garantizar su funcionalidad en este entorno, es importante tener en cuenta que la infraestructura informática y otras condiciones de los entornos hospitalarios pueden variar. Por lo tanto, el rendimiento del Producto puede verse afectado por diferentes entornos hospitalarios.
Salvo en lo autorizado expresamente en este Acuerdo de licencia para usuario final, usted acepta que no utilizará el Producto con ningún sistema o aplicación en los que el uso o el fallo de dicho sistema o aplicación pueda razonablemente amenazar o resultar en lesiones personales, muerte o pérdida, lo que incluye, a título meramente enunciativo, el uso en relación con cualquier aplicación médica, de soporte vital u otras aplicaciones críticas para la vida.
Así mismo, el uso del Producto está restringido por los términos del Acuerdo de licencia para usuario final de Milestone aplicables a la versión aplicada del producto VMS XProtect de Milestone.

Milestone XProtect^®Incident Manager

Milestone le concede por la presente el derecho a usar el Producto con las siguientes restricciones:

El Producto solo puede utilizarse en relación con los siguientes productos XProtect VMS de Milestone o versiones OEM aprobadas de estos productos: Milestone XProtect Corporate versión 2022 R2 o versiones posteriores y Milestone XProtect Expert, Milestone XProtect Professional+ y Milestone XProtect Express+ que sean la versión 2022 R3 o versiones posteriores de estos productos.
Para usar el Producto, debe adquirir una licencia XProtect Incident Manager. Si está utilizando Milestone XProtect Corporate versión 2022 R2 o posterior, la licencia del Producto se incluye y activa junto con la licencia de su Milestone XProtect Corporate.
El uso del Producto también está regido y restringido por los términos del Acuerdo de licencia para usuario final de Milestone aplicable a la versión aplicada del producto Milestone XProtect VMS, o por los términos de un acuerdo de licencia aplicable a la versión OEM aplicada del producto Milestone.

Milestone XProtect^® Transact

El Producto solo se podrá usar con el producto XProtect VMS (cualquier producto XProtect VMS de Milestone, excepto XProtect Essential+), con versiones OEM aprobadas de estos Productos o con la unidad NVR Milestone Husky (cualquier producto NVR Milestone Husky) para la cual se haya obtenido adecuadamente la licencia, ya sea a través de compra o suscripción.
El Producto puede utilizarse desde un número ilimitado de XProtect Management Applications/XProtect Management Clients y XProtect Smart Clients conectados al sistema VMS XProtect o la unidad NVR Milestone Husky.
El producto solo se puede usar en conexión con productos XProtect VMS compatibles oficialmente y unidades NVR Milestone Husky. Al utilizarlo junto con productos de Milestone oficialmente compatibles también podrá utilizarse con productos o componentes de terceros programados con el kit de desarrollo de software de MIP.
Este Producto solamente se puede utilizar con tantas conexiones a fuente como licencias de conexión haya adquirido y registrado con el código de licencia de software que emplea el XProtect Transact designado.

Milestone XProtect^® Smart Wall

Uso: Las siguientes cláusulas son aplicables al producto Milestone XProtect Smart Wall: Milestone le concede por la presente el derecho a usar el Producto con las siguientes condiciones y restricciones:

El Producto puede usarse con sistemas XProtect Corporate sin estar sujeto a licencias separadas. El producto puede usarse con XProtect Expert si se ha adquirido una licencia básica de XProtect Smart Wall.
El Producto puede utilizarse desde un número ilimitado de XProtect Management Clients y XProtect Smart Clients conectados al sistema XProtect Corporate.
El uso del Producto tiene limitaciones adicionales que se describen en el Acuerdo de licencia para usuario final del producto XProtect VMS.

Plug-in de vista dividida de 360° de Milestone XProtect^®

Instalación y uso: Las siguientes cláusulas son aplicables al producto Milestone XProtect 360° Split View Plug-in:

El Producto solo se podrá utilizar junto con el Milestone XProtect Smart Client cuando se usa con un producto XProtect VMS de Milestone, con versiones OEM aprobadas de estos Productos o con una unidad NVR Milestone Husky, y estará sujeto a las restricciones de instalación y uso relativas a dichos Productos estipuladas en el presente Acuerdo de licencia para usuario final.
El Producto se podrá instalar en un número ilimitado de ordenadores.

Plug-ins de la unidad de entrada de Milestone XProtect^®

Milestone le concede por la presente el derecho a instalar y usar el Producto con las siguientes condiciones y restricciones:

El producto y sus controladores de dispositivos específicos solo se pueden usar en conexión con productos XProtect VMS oficialmente compatibles y con licencia de Milestone o unidades NVR Milestone Husky.
El Producto y sus controladores de dispositivo individuales solamente se deben utilizar en ordenadores que funcionen con los sistemas operativos para los que se haya diseñado dicho Producto.
El Producto y sus controladores de dispositivo individuales se pueden instalar en un número ilimitado de equipos designados como Servidores de grabación, Servidores de grabación failover o unidades NVR.

Milestone Open Network Bridge

Milestone XProtect^® Download Manager

Instalación y uso: Las siguientes cláusulas son aplicables al producto Milestone XProtect Download Manager («Download Manager»):

Milestone le concede por la presente el derecho a instalar y usar un número ilimitado de copias del Download Manager con las siguientes condiciones y restricciones:

Download Manager solamente se debe utilizar en ordenadores que funcionen con los sistemas operativos para los que se haya diseñado dicho Producto.
Download Manager solamente se puede utilizar junto con el producto Milestone XProtect con el que se entregó a la compra (el producto XProtect original). Al usarlo junto con el producto original XProtect, Download Manager se podrá usar también con otros productos de Milestone compatibles y con productos o componentes de terceros programados con el kit de desarrollo de software de Milestone o con el kit de desarrollo de software de la Plataforma de Integración de Milestone.
El uso de Download Manager tiene limitaciones adicionales que se describen en el Acuerdo de licencia para usuario final del producto VMS XProtect original.

XProtect Update Manager

Instalación y uso: Las siguientes cláusulas son aplicables al producto XProtect Update Manager («Update Manager»):

Update Manager solamente se debe utilizar junto con los productos Milestone XProtect para los que estuviera diseñado inicialmente Update Manager, así como con futuros productos que Milestone confirme como compatibles con Update Manager. Al usar Update Manager para instalar y actualizar de forma remota los productos Milestone XProtect VMS en otros ordenadores, tendrá la consideración de administrador de sistemas en esos ordenadores («Equipos remotos»). Milestone le concede por la presente el derecho a implementar y usar el Producto con las siguientes condiciones y restricciones:

El software VMS XProtect, el Husky Assistant y otras posibles utilidades de software (como Husky Recovery Tool) incluidas con el Producto solo se podrán —y se pueden— utilizar con el hardware y el sistema operativo proporcionados al efectuar la adquisición.
Las actualizaciones de software del Producto y las imágenes de recuperación proporcionadas por Milestone para el producto solo pueden y deben utilizarse con el Producto.
El Producto está preinstalado con el software VMS XProtect. El uso del software VMS XProtect está sujeto a los términos y condiciones del producto específico (consulte la cláusula correspondiente en el presente Acuerdo de licencia para usuario final) y está supeditado a la especificación de un código de licencia de software que se haya obtenido y registrado legalmente.
El Producto incluye un sistema operativo Microsoft Windows integrado. La licencia de Microsoft Windows que se incluye le ofrece acceso gratuito a las posibles actualizaciones del sistema operativo Windows correspondiente que Microsoft pueda publicar. Es su responsabilidad mantener el sistema operativo Windows al día, según las pautas de Microsoft. Milestone no acepta ninguna responsabilidad por la compatibilidad de las actualizaciones de software futuras del sistema operativo Windows. Asimismo, las versiones futuras del sistema operativo Microsoft Windows pueden modificar el uso de los recursos del sistema disponibles en el Producto y el rendimiento general de este podría verse afectado. El Producto está dimensionado y diseñado para la versión del sistema operativo Microsoft Windows que se incluye. Milestone no puede garantizar la compatibilidad con otras versiones de sistemas operativos Microsoft Windows.
El sistema operativo Microsoft Windows que se incluye debe utilizarse únicamente junto al Producto y, por lo tanto, no debe utilizarse en ningún otro hardware informático. Los términos y condiciones para el uso del sistema operativo Microsoft Windows están regulados por el Acuerdo de licencia para usuario final de Microsoft.
El Producto puede incluir componentes de software de Dell EMC, por ejemplo, Integrated Dell Remote Access Controller (iDRAC), y el uso de dichos componentes está sujeto al acuerdo de licencia de software para usuario final de Dell EMC, cf. https://www.dell.com/learn/us/en/uscorp1/legal_terms-conditions_dellgrmwebpage/art-software-license-agreements.

Milestone StableFPS

Instalación y uso: Las siguientes cláusulas son aplicables al Milestone StableFPS:

Milestone le concede por la presente el derecho a instalar y usar el Producto con las siguientes restricciones:

El Producto se podrá instalar y utilizar en un número ilimitado de ordenadores en los que esté instalado un producto XProtect VMS de Milestone. El Producto solo se podrá utilizar con fines de realización de pruebas, desarrollo y demostración.
El Producto solamente puede utilizarlo, de forma directa o indirecta, el usuario, sus empleados o cualquier persona que trabaje para este. El Producto consta de un driver de dispositivo y de flujos de medios pregrabados, incluyendo contenidos de vídeo. No podrá redistribuir, otorgar sublicencias ni otorgar ningún derecho sobre el Producto y sus componentes, incluidos contenidos de vídeo, a ningún tercero. Si incorpora contenidos de vídeo al Producto, deberá garantizar una base jurídica para el uso que haga de dichos contenidos de vídeo, incluida una licencia para utilizar objetos sujetos a derechos de terceros y un consentimiento del sujeto de datos, cuando la legislación aplicable exija dicha licencia, consentimiento u otra base jurídica.
El Producto solo se podrá utilizar con fines de demostración de Milestone VMS XProtect o con el fin de desarrollar, probar y demostrar aplicaciones o sistemas asociados a Milestone VMS XProtect. Milestone no ofrece garantías respecto a aplicaciones o sistemas asociados a Milestone VMS XProtect o relacionados con este software y declina de forma expresa ofrecer tales garantías. La totalidad del riesgo derivado del uso que haga de tales aplicaciones y sistemas recae en usted en calidad de usuario, incluida la responsabilidad de obtener las licencias necesarias para el uso de software de terceros.
El Producto solo se podrá utilizar en relación con productos Milestone XProtect, productos NVR Milestone Husky que sean compatibles con el kit de desarrollo de software de MIP (Milestone Integration Platform) y versiones OEM aprobadas de productos Milestone XProtect. El Producto no se podrá utilizar por separado en relación con productos ajenos a Milestone.
Usted acepta y garantiza no utilizar el Producto de modo que se permita a un usuario final usar un producto Milestone, ni utilizar una versión OEM de un producto Milestone de modo que se infrinjan las condiciones de licencia que comprendan el producto específico o se viole o eluda el sistema de concesión de licencias relativo al producto Milestone o a la versión OEM de un producto Milestone.

Instalación y uso: Las siguientes cláusulas son aplicables a las Herramientas Milestone SDK(herramientas del kit de desarrollo de software de Milestone):

El Producto se podrá instalar en un número ilimitado de ordenadores y se puede utilizar con fines de desarrollo.
El Producto solamente se debe utilizar en ordenadores que funcionen con los sistemas operativos para los que se haya diseñado dicho Producto.
Es posible que la instalación del kit de desarrollo de software de la Plataforma de Integración Milestone («MIP SDK») sea necesaria para poder usar las herramientas del MIP SDK. Encontrará más información sobre el MIP SDK en https://www.milestonesys.com/support/for-developers/sdk/
El Producto solamente puede utilizarlo, de forma directa o indirecta, el usuario, sus empleados o cualquier persona que trabaje para este. En consecuencia, este Producto no lo podrán utilizar ni manejar en modo alguno sus clientes o los de terceros.
El Producto solo se podrá utilizar en relación con productos Milestone XProtect, productos NVR Milestone Husky que sean compatibles con el kit de desarrollo de software de MIP (Milestone Integration Platform) y versiones OEM aprobadas de productos Milestone XProtect. El Producto no se podrá utilizar por separado en relación con productos ajenos a Milestone.
El uso del Producto está sujeto a las restricciones adicionales que imponen las condiciones y requisitos recogidos en el Acuerdo de licencia para usuario final relativo al producto Milestone o a la versión OEM del producto Milestone si se utiliza de manera conjunta.
Usted acepta y garantiza no utilizar el Producto de modo que se permita a un usuario final usar un producto Milestone o una versión OEM de un producto Milestone de modo que se vulneren las condiciones del acuerdo de licencia —incluido el presente Acuerdo de licencia para usuario final— que cubren el producto específico o se vulnere o eluda el sistema de concesión de licencias relativo al producto Milestone o a la versión OEM de un producto Milestone.
El Producto incluye componentes y herramientas de software que permiten la conexión o integración con software de terceros. El Producto no incluye las licencias correspondientes a dicho software de terceros, que deberá obtener usted por su propia cuenta.

Milestone Customer Dashboard

Uso: Las siguientes cláusulas son aplicables a Milestone Customer Dashboard:

Al activar las licencias de VMS XProtect, los datos de su sistema (p. ej., el número de dispositivos usados, las direcciones MAC de los dispositivos conectados, etc.) se intercambian y se almacenan en el sistema de licencias de Milestone, que es accesible a través del Milestone Customer Dashboard, tal y como se especifica en los términos generales del presente Acuerdo de licencia para usuario final, en «Obtención y registro de datos del sistema».

Milestone le concede el derecho de uso de Milestone Customer Dashboard, y usted acepta las siguientes condiciones y restricciones:

Milestone Customer Dashboard es una herramienta en línea gratuita diseñada para que Milestone y los socios de Milestone gestionen y supervisen instalaciones de VMS XProtect de Milestone y licencias. Milestone Customer Dashboard contiene herramientas destinadas (i) a gestionar información relativa a las instalaciones de los usuarios finales; (ii) a registrar y activar licencias, con arreglo a su consentimiento; (iii) a proporcionar en tiempo real una visión general del estado de los datos de rendimiento y salud del sistema, y (iv) a enviar notificaciones por correo electrónico y a filtrar errores en instalaciones de VMS XProtect.
En calidad de usuario final del producto VMS XProtect, puede registrar sus datos en el formulario «registro de usuario final de XProtect», al que se accede desde Milestone XProtect Management Client. Los datos de usuario final que facilite se almacenan en el sistema de licencias de Milestone.
El acceso por su parte a Milestone Customer Dashboard se puede activar previo envío de la solicitud correspondiente a Milestone. Dicho acceso le permite administrar sus licencias para los productos Milestone XProtect.
Podrá dar su consentimiento a que sus datos de configuración y rendimiento del sistema se compartan con Milestone Customer Dashboard marcando el cuadro en la sección Herramientas/Opciones en Milestone XProtect Management Client. Entre los ejemplos de dichos datos del sistema están la información de error originada de las cámaras, errores de red o del sistema. Si da su consentimiento, también acepta que Milestone comparta sus datos de configuración y rendimiento del sistema recogidos en Milestone Customer Dashboard con los socios de canal de Milestone autorizados con el único fin de prestarle servicios de asistencia al cliente.
Al proporcionar sus datos de usuario final, datos de licencia y datos de sistema y de rendimiento a través de Milestone XProtect Management Client o a través de Milestone Customer Dashboard, da su consentimiento a que Milestone reciba y utilice sus datos para prestar servicios de Milestone en forma de administración y supervisión de licencias, y con fines analíticos de Milestone para mejorar nuestros servicios.
Acepta no alterar, modificar ni manipular en modo alguno los datos de licencia, los datos del sistema y de rendimiento transmitidos al sistema de licencias de Milestone o al Milestone Customer Dashboard. Se le proporciona acceso de autoservicio a través de Milestone XProtect Management Client para gestionar sus datos de usuario final, cuya exactitud está obligado a mantener. Milestone se reserva el derecho de rectificar o suprimir, a su único criterio, datos que sean inexactos.
No se puede considerar a Milestone responsable de posibles pérdidas de datos que vengan ocasionadas por interrupciones en las comunicaciones con Milestone Customer Dashboard durante la activación de la licencia.
Además de las restricciones generales de la responsabilidad de Milestone definidas en la sección “Limitación de responsabilidad”, dispuesta anteriormente, Milestone no acepta responsabilidad alguna derivada del uso indebido o de la incapacidad de uso del Milestone Customer Dashboard, por parte de cualquier socio de canal de Milestone.
Para acceder a ciertas funciones de Milestone Customer Dashboard es necesario un contrato válido de Milestone Care Plus. Consulte https://www.milestonesys.com/solutions/services/milestone-care/. Milestone no acepta ninguna responsabilidad por posibles interrupciones en el servicio causadas por fallos en la renovación de la cobertura Milestone Care en su debido momento.
Se pueden aplicar cargos adicionales de terceros por el uso del Milestone Customer Dashboard, incluidos, a título enunciativo, los costes de comunicación.

Milestone End-user License Agreement

NOTE: If you are a Milestone Dealer, systems integrator or are otherwise installing this Product on behalf of a third-party, you shall ensure that you have their acceptance of this End-user License Agreement and their consent to provide end-user personal data for registration with Milestone Systems if such voluntary option is applied.

This End-user License Agreement (“EULA”) is a legally binding agreement between you (either an individual or a single legal entity) and Milestone Systems A/S (“Milestone”) for the Milestone product or utility, which may include associated software and hardware components, media, printed materials, online or electronic documentation and any updates or corrections (“Product”). If you have purchased the Product as part of a computer or server system delivered by Milestone all hardware and software components of such system shall for the purposes of this EULA be considered being parts of the Product, except however for any third-party software or hardware component which is covered by a separate third-party license agreement included in the system documentation or otherwise incorporated in the system.

By installing, deploying, copying, or otherwise using the Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Product, instead you may return it, within 30 days after purchase of the Product, along with all associated material to your place of purchase for a full refund, less any shipping and handling costs. This return policy does not apply if you or your representative, including your Milestone dealer (on your behalf) have accepted this EULA prior to, or as part of, your purchase of the Product. Furthermore, this return policy does not apply to Milestone Husky products and related hardware. The Product is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Note that all software parts of Product are licensed to you, not sold. The licensing of the Product does not constitute a lease or a sale of intellectual property rights, or any transfer of the ownership of any intellectual property rights in the Product.

For Milestone products where a Software License Code (“SLC”) is required, the license you have been granted is identified by the Software License Code you have received when purchasing the Product.

Affiliated Companies. The license you have been granted under this EULA for Milestone XProtect Corporate, Milestone XProtect Expert and/or Milestone XProtect Professional+ allows you to grant access to and permit the use of such Product by your Affiliated Companies and their respective employees, representatives and other persons working for your Affiliated Companies, provided that you will at all times remain fully responsible for the Affiliated Companies’ access and use of the Product in compliance with the terms of this EULA. This right also covers Milestone XProtect Extensions and Components purchased by you for Milestone XProtect Corporate, Milestone XProtect Expert and/or Milestone XProtect Professional+. You shall ensure that (i) your Affiliated Companies each submit to this EULA before they are granted access to the Product, and (ii) your Affiliated Companies are in compliance with the terms of this EULA. For the purpose of this EULA, “Affiliated Companies” include any corporate entity that, either directly or indirectly, is controlled by you, or controls you, or under common control with you, where “control’” shall mean the ownership of more than fifty percent of the voting securities entitling to the right to elect or appoint the majority of the board of directors, or a similar managing authority.

Acceptance of Unattended Remote Updating. The system administrator of your organization may today or in the future be using a tool or operating system method enabling remote and unattended updating or installation of software products on your computer; XProtect Update Manager is an example of such a tool. In case such a tool is used to update the Product unattended you may not be prompted to accept a EULA for the new Product. By accepting the present EULA, you assign your right to accept EULAs of future product updates to your system administrator on your behalf.

AWS Cloud Deployment. Milestone XProtect VMS products are also delivered as an Amazon Machine Image (“AMI”) under the bring-your-own-license model (“BYOL”), and can be deployed on AWS cloud services infrastructure by using the associated CloudFormation script. This script performs a default deployment of the Product in a new Virtual Private Cloud (“VPC”) under your AWS account. You can modify the CloudFormation script, or the default deployment produced by it to the extent required for the deployment of the Product in your specific AWS cloud services infrastructure. The CloudFormation script is provided “as is” without warranty of any kind, including, without limitation, the implied warranty of fitness for a particular purpose. Milestone expressly disclaims any warranty and accepts no responsibility for modifications to the CloudFormation script or to the default deployment produced by it. The entire risk and responsibility arising out of deployment and use of the deployed Product remains with you as the user.

Intellectual Property Rights. All title and rights, including but not limited to copyrights, in and to the Product and any copies thereof are owned by Milestone, or in the case of third-party contributions to such Product, the title and rights to such contributions only, are owned by our licensors. All rights not expressly granted are reserved by Milestone.

The Product may include HEVC/H.265 technology that is licensed under the HEVC Advance Patent Portfolio License and the use of such technology is covered by one or more claims of the patents listed at patentlist.hevcadvance.com.

Infringement of Third-party Rights. Milestone shall be liable for ensuring that the Product does not infringe any third-party's intellectual property rights, however, in respect of patents, only (a) patents granted and published in the United States of America or the European Union on the date of your purchase, and (b) only if the Product is infringing as a standalone product when not used with any other product(s) or technology. In the event of any action against you in which such infringement is alleged, you shall give Milestone prompt written notice thereof. Milestone shall thereafter assume the sole conduct of the case and all of its legal costs incidental to the case. Milestone shall have irrevocable power of attorney to conduct litigation on its own behalf or to negotiate for settlement of the alleged infringement with you as the user. Milestone shall be entitled, at Milestone's discretion, to either obtain the continued right for you to use the Product or bring the infringement to an end by modifying or replacing the Product by another product which possesses substantially the same functionalities as the Product, or – if none of these remedies may be achieved at a reasonable cost for Milestone – to terminate this EULA with immediate effect. In the event of termination, you shall have no further claims, to include but not limited to any right of compensation or indemnity, against Milestone.

Correction of Errors. A defect or error in the Product shall be deemed material only if it has effect on the functionality of the Product as a whole or if it prevents the operation of the Product. If you, within 90 (ninety) days after purchase of the Product, document that a material defect or error in the Product exists, Milestone shall, at its sole discretion, be obligated to (i) deliver a new copy of the Product without the material defect or error, (ii) remedy or correct the defect or error free of charge, or (iii) terminate this EULA and repay any license fee received against your return of all copies of the Product. The provisions of this paragraph constitute your sole remedies in the event of a defect or error in the Product.

No Warranties. Unless you are provided with a specific warranty from Milestone as part of your Product documentation, Milestone expressly disclaims any warranty for the Product. The Product and any related documentation are provided “as is” without warranty of any kind, either expressed or implied, including, without limitation, the implied warranties of merchantability or fitness for a particular purpose. The entire risk arising out of use or performance of the Product remains with you as the user. You are notified that the Product, when used with certain equipment or other software, may enable you to perform surveillance actions and data processing which are likely to be restricted by or contrary to applicable law, including without limitation data privacy and criminal law. The sole responsibility for verification of your use against compliance with applicable law lies with you as the user.

Test and Pilot Licenses, Beta Version of Product. If you are granted a test and/or pilot license, or another, similar temporary Milestone license for a specifically defined purpose, including, but not limited to, a license to use a beta-version of the Product, your usage rights under this EULA are limited solely to the purpose of and only for the term as defined in such a granted license. The limited term of any such temporary license is either reflected in XProtect Management Client, or otherwise defined by Milestone, for instance, in the license document or file associated with the temporary license granted. If a temporary license is granted, the Product is provided “as is” without any warranty, express or implied (cf., 'No Warranties' section above), and Milestone provides no support for the Product. No remedies shall be available, and sections such as “Correction of Errors” shall not apply. Under the temporary license, Milestone Product Lifecycle shall not apply and shall not be supported. Whereas all restrictions and requirements for the use of the Product set forth in this EULA shall apply equally to your use of the Product. Under the temporary license, Milestone expressly disclaims any responsibility and liability for the Product on any basis. If, under the temporary license, the Product is provided by Milestone free of charge and without any associated license fee or payment, and where Milestone’s liability cannot be contractually waived, Milestone’s total liability—whether arising in contract, tort, or indemnity—shall be limited to an amount not exceeding EUR 100 (one hundred Euro).

In addition to the above, if the Product is a beta version of the Milestone Product, it is intended for testing and evaluation purposes only. The beta version of the Product may not be fully functional, may contain errors, or design flaws, and its use may result in unexpected results, loss of data, project delays, or other unpredictable damage or loss. You may use such Product at your own discretion and risk, understanding that the Product is not intended for use in production or business-critical systems. Milestone may choose not to make available a non-beta version of the Product. Milestone may also choose to abandon development and terminate the availability of the Product at any time without liability.

Prohibited Use. The Product may only be applied and used in accordance with applicable law(s) of the jurisdiction, country or region it is used in. This includes, but is not limited to, possible legal restrictions to what you surveil and record with the Product, the policy for storing recorded and other data in the Product, and how such recorded data is to be handled as it is exported from the Product. It is the sole responsibility of you - the user of the Product - to be acquainted with, and to adhere to, such laws and restrictions. Milestone does not accept any liability whatsoever, for any direct, indirect or consequential losses or damages for the violation of such laws and/or restrictions.

In accordance with the Milestone Human Rights Policy, Milestone seeks to avoid causing or contributing to adverse human rights impacts, including through the use of the Product. This EULA therefore does not cover use of the Product for the purpose of, or in connection with, any violation of, or adverse impact on the human rights of any individual person or group of people as set out in the United Nations Universal Declaration of Human Rights, or other internationally recognized regional human rights systems, including the EU Charter of Fundamental Rights. Any such use is prohibited under these terms and the Milestone Human Rights Policy and is a material breach of this EULA causing the whole license for the Product to lapse immediately without notice rendering any further use of the Product unlawful. Similarly, Milestone reserves the right to terminate the Product license without prior notice where a human rights grievance report has been submitted through the Milestone Grievance Mechanism and substantiated through the Milestone internal process for human rights grievance investigation, handling and remediation.

Data privacy and protection. You represent and confirm that you are aware that the Product collects and processes personal data, supplied through any video source, including cameras, DVRs, NVRs or in any other manner, and that Milestone and its licensors shall have no responsibility or liability in connection with the manner of which such personal data is collected and processed as input to the Product or by using the Product, its quality or its sufficiency nor shall have any independent access to any such collected and processed personal data, and that Milestone and its licensors shall have no responsibility or liability as to your rights and obligations under any applicable law to collect, process or use personal data, including, but not limited to the GDPR and any other privacy and data protection laws.

Copenhagen Clause. Milestone is a signatory to the Copenhagen Letter, a technology declaration to aspire to open and honest public conversation about the power of technology and how technology should enhance the quality of life. We who shape technology must reflect on how technology affects human needs and behaviors, and how we further the responsible use of technology. Milestone encourages our partners not only to involve themselves in this important discussion on responsible use of technology, but to also sign the Copenhagen Letter at https://www.milestonesys.com/company-news/milestone/csr/the-copenhagen-letter/ and adopt a corresponding Copenhagen Clause into their own agreements.

Limitation of Liability. The provisions of this paragraph are in effect to the maximum extent permitted by applicable law. In no event shall Milestone or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) nor for any product liability (except for bodily injury) arising out of the use of or inability to use the Product or the provision of or failure to provide proper support, even if Milestone has been advised of the possibility of such damages. Absent any willful misconduct or gross negligence, the entire liability of Milestone and its suppliers, whether arising in contract, tort, or indemnity, shall be limited to the amount actually paid by you for the Product.

Third-party Licenses. The Products include rights for you to use certain third-party software as set out in the documentation for the specific Product. You may use and integrate the Products with other third-party software, and it is your responsibility when installing to investigate and obtain usage rights to any such third-party software for your purpose.

Milestone Product Lifecycle. Your use of the Product is also subject to the Milestone Product Lifecycle, cf., https://www.milestonesys.com/support/tools-and-references/product-lifecycle/. Subject to the Milestone Product Lifecycle, and unless otherwise defined therein for a specific Product, license activation is available for 10 years after Product’s general availability. After 10 years, it may no longer be possible to add new IP devices and/or replace IP devices connected to and enabled in the Product. However, subject to this EULA, you will retain your right to use the Product, and the existing XProtect system will continue to operate.

Miscellaneous. (a) You may make as many copies of the Product as may be necessary for backup and archival purposes, subject to an obligation to reproduce all proprietary notices on such copies. (b) You may not distribute, sublicense or otherwise make available the Product to third parties except as expressly permitted in this EULA. (c) You may not reverse engineer, decompile, modify, or disassemble any of the Product's components except and only to the extent permitted by applicable law which cannot be contractually waived. (d) This EULA is non-transferable save that if there is any ownership interest transferred which includes the Milestone Product, you may permanently assign all of your rights for this Product to the transferee, provided the transferee agrees to the terms of this EULA.

Export control. The scope of your rights and the license granted under this EULA shall be subject to any applicable sanctions, export control regulations or other trade restrictive measures imposed by the United Nations, the United States of America, the United Kingdom, Denmark and/or the European Union, and any other applicable country. You shall not use the Product nor exercise any license rights granted hereunder if such use is prohibited by, or subject to any applicable sanctions, export control regulations, or other trade restrictive measures. Without limiting the foregoing, you represent that you are not named on any U.S., EU, or any other applicable government list of persons or entities prohibited from receiving exports. You shall not permit your employees and consultants to use the Product in violation of any EU, UK, and/or U.S. export embargo, prohibition, or restriction. Furthermore, you represent and warrant that you will make sure that all your employees and consultants using the Product are prohibited from residing in, or operating from, any country that is sanctioned by either the U.S. Treasury Department’s Office of Foreign Assets Control (OFAC) or the United Nations Security Council.

Milestone shall not be obliged to license and provide any Milestone Products if it would be prohibited pursuant to applicable sanctions or export control laws or regulations. Milestone shall not be obligated to fulfill this License Agreement if such fulfillment is prevented by any restrictions and impediments arising out of national or international foreign trade or customs requirements or any embargoes or other sanctions.

Termination. Without prejudice to any other rights, Milestone may terminate this EULA if you fail to comply with its terms and conditions and/or if you fail to comply with or in order for Milestone to comply with applicable export control requirements, without any right for you to claim damages, refunds or any compensation. In such an event you must immediately cease using the Product, destroy all copies of it, and certify such destruction in writing.

Severability. If a court or government body of competent jurisdiction determines that any provision of this EULA is invalid, not enforceable or enforceable only if limited in scope, this present EULA shall continue in full force and effect with such provisions stricken or so limited.

Entire Agreement. This EULA constitutes the parties' entire and complete agreement relating to the subject matter hereof and all written and oral undertakings and pledges which may have preceded this EULA, all implied warranties, rules of common law or ordinary rules of law not restated herein, are hereby excluded from effect between the parties.

Governing Law. This EULA and the contract between you and Milestone are governed by Danish law and the sole and proper forum for the settlement of disputes hereunder shall be the City Court of Copenhagen.

License, Installation and Use Conditions and Restrictions. Milestone XProtect VMS products support IP devices. IP devices can be cameras, encoders, video services or other types of video and non-video devices that are addressed through a unique IP address in the applied installation of the Product. For IP devices with one IP address included in the Milestone Supported Device List, one device license is needed per IP device connected to and enabled in the Product. For IP devices with more than one enabled IP address, the number of required device licenses is specified in the Milestone Supported Device List. Please check the supported IP devices, the required number of licenses and the exceptions in the Supported Device List at https://www.milestonesys.com/support/software/supported-devices.The following exceptions for IP devices with one IP address apply: (i) for IP devices connected to the Product through intermediate device or intermediate system one device license per enabled video channel is required; (ii) IP devices with multiple lenses or sensors, and encoders with up to 16 connected analog cameras, count as only one IP device; (iii) for encoders with more than 16 channels one device license per enabled video channel is required. Additional specific exceptions may apply, please refer to the Milestone Supported Device List for the details.

For IP devices not included in the Milestone Supported Device List and for the Video Processing Service Driver included in the Milestone MIP SDK, the following apply: (i) IP devices with video capabilities require one device license per enabled video channel, (ii) IP devices without video capabilities require one device license per IP address. Specific license terms may apply for the specific XProtect® VMS products, please refer to the Products’ specific terms and conditions, and (iii) the Video Processing Service Driver when receiving video from any connected video processing system or any directly or indirectly connected device, requires one device license per enabled video channel.

Collection and registration of system data. By activating the licenses for the Product, you accept that core system data (such as the number of used devices) is exchanged and stored in Milestone’s licensing system. A unique key for each license and each device connected to the system is generated. Milestone collects the MAC addresses of the devices connected and keeps track of the number of times cameras are registered and deleted to make sure the licenses are used according to the EULA. Milestone also registers the IP address of the server that activates the license. For systems using Milestone’s push notifications, Milestone keeps track of the Globally Unique Identifier (“GUID”) of the mobile server and the mobile devices that are registered to receive the notifications and email addresses that are entered to receive push notifications. If you use any plug-ins or other integrated applications with the Product, basic data about such applications will also be collected and sent to Milestone when activating the licenses for the Product. The data about integrated applications include information, such as: the manufacturer’s name, the name and version of the integration. The purpose of gathering and maintaining the system data is to enable Milestone and its channel partners, to enforce license management of the Milestone products. For integrated applications, Milestone will use collected data for statistical and analytical purposes. You agree to not alter, modify, or in any way tamper with the data transmitted to the online service.

End-user Data, General Data Protection Regulation. When purchasing licenses to the Product through our channel partners, the business information of your company must be provided and registered with Milestone. You may also need to provide Milestone with information on your contact persons in the form of name, email, and phone number. Milestone reserves the right to collect your business information and contact data via Milestone channel partners, including as part of the ordering and purchase process for Product(s). It is your responsibility to provide correct and up-to-date data, as well as to inform any relevant contact person(s) (e.g., your employees) of the collection and transfer of their data to Milestone, including if the data is collected via Milestone channel partners. The Product cannot be purchased and, consequently, the license cannot be granted to you unless and until the required data is provided, including via Milestone channel partners as applicable, and Milestone is able to verify you as the End-user and licensee of the Product in accordance with the Milestone verification and screening policy. The purpose of gathering and maintaining such information is to enable Milestone to verify you as the End-user and licensee of the Product, including for the purpose of compliance with applicable regulatory requirements, e.g., export control, and with Milestone’s responsible technology principles, as well as to enable Milestone and its channel partners to enforce license management, carry out the Milestone partner programs and human rights due-diligence, and to provide maintenance and support for the Product, including for the purpose of Milestone Care. Milestone is a data controller with respect to the personal data collected and used hereunder. Milestone treats your personal data in accordance with our Privacy Policy (https://www.milestonesys.com/privacy-policy/).

This EULA applies to all Products, with its general terms and specific terms and conditions valid for the mentioned individual products as detailed in the following sections:

The Product may, with the exceptions stated in paragraphs 9 and 10 below, only be operated, regardless of whether this is directly or in some indirect form, by you, your employees or other people working for you, including law enforcement authorities investigating incidents for you. The Product may therefore, for instance, not be operated or used in any way by customers of you or other third parties, except for your Affiliated Companies as specified above, cf. general terms of this EULA, section “Affiliated Companies”.
The Product may only be used for surveillance of property or land that is owned or controlled by you, or by your Affiliated Companies, or you have acquired and maintain the required legal permissions when monitoring property or land not owned or controlled by you.
Using Milestone Federated Architecture, the Product may without being subject to additional licensing be used to connect other XProtect Corporate or XProtect Expert systems, provided that the federated system is rightfully licensed.
Using Milestone Interconnect, the Product may be used to connect other Milestone video management software products and other Milestone approved products (please refer to Milestone’s web site https://www.milestonesys.com/products/expand-your-solution/milestone-extensions/interconnect/milestone-interconnect-compatibility/ for the latest overview of compatible products) belonging to you or a third-party. The use of Milestone Interconnect is subject to the following conditions: a) any interconnected system must be fully licensed with rightfully obtained license rights, b) you through purchase or subscription have rightfully obtained Milestone Interconnect camera licenses for the cameras that shall be accessible in the XProtect Corporate system.
The Product may be remotely operated and managed by a third-party using Milestone Federated Architecture, provided that you have acquired and maintain the required legal permissions to conduct the surveillance.
The Product may be remotely operated and managed by you or a third-party using Milestone Interconnect, provided that: a) you or the third-party have purchased Milestone Interconnect camera licenses for the cameras that shall be accessible in the central XProtect Corporate system, and b) you have acquired and maintain the required legal permissions to conduct the surveillance.
When the Product is used with third-party map applications (such as Google Maps, Microsoft^® Bing^TM Maps or OpenStreetMap), it is your sole responsibility to ensure that you have obtained adequate legal rights to use such map applications, and that the usage complies with the terms and conditions of the used third-party applications.
You can also use the Product with the Milestone Map Service that will allow you to get access to OpenStreetMap (http://www.openstreetmap.org)© data. This data will be provided to you “as is”, including best-effort availability, and without any warranty of any kind, either express or implied, whether of title, of accuracy, of absence of errors, of fitness for purpose, or otherwise. Any damages resulting from the use of the Milestone Map Service are disclaimed.
You acknowledge the requirement that the Product may only be used with as many IP devices as you have acquired device licenses for in accordance with the rules specified in the EULA general terms, “License, Installation and Use Conditions and Restrictions”.

Milestone XProtect^® Expert

The “Recording Server” component of the Product may be installed on one (1) computer designated as Recording Server. The Recording Server must be managed by the designated Management Server specified above.
The Product may only be used on computers running operating systems for which the Product was designed.
Installing the Product you also agree to adhere to Microsoft’s software license terms for Microsoft SQL Server 2022 Express Edition (https://www.microsoft.com/en-us/sql-server/sql-server-downloads).
The Product may, with the exceptions stated in paragraph 6 below, only be operated, regardless of whether this is directly or in some indirect form, by you, your employees or other people working for you, including the law enforcement authorities investigating incidents for you. The Product may therefore, for instance, not be operated or used in any way by customers of yours or other third parties.
The Product may be remotely operated and managed by you or a third-party using Milestone Interconnect, provided that: a) you or the third-party have purchased Milestone Interconnect camera licenses for the cameras that shall be accessible in the central Milestone XProtect Corporate system, and b) you have acquired and maintain the required legal permissions to conduct the surveillance.
You acknowledge the requirement that the Product may only be used with as many IP devices as you have acquired device licenses for in accordance with the rules specified in the EULA general terms, “License, Installation and Use Conditions and Restrictions”.

XProtect^® Clients

Milestone XProtect^® Smart Client

By accepting the present EULA you accept terms and conditions on behalf of end-users which you allow to connect to XProtect Mobile server in regard to use of XProtect Mobile and XProtect Web Client.
The use of Smart Connect, Video Push and Mobile Push notifications relies on third-party services and network connectivity such as notification services and wireless communication networks. In addition to the general restrictions in Milestone’s liability defined in the section “Limitation of Liability” above, Milestone does not accept any liability arising out of the use of or inability to use any of these capabilities directly, or indirectly, caused by any of third-party network or service component used to provide these capabilities.
The use of the Smart Connect and Mobile Push Notification capabilities is conditioned by a valid Milestone Care Plus service contract. Milestone accepts no liability for possible interruptions in the service caused by failure to renew the Milestone Care Plus coverage in due time.
Additional third-party charges may apply for using the XProtect Mobile service, including, but not limited to, communication cost and third-party service subscriptions.

Milestone XProtect Extensions and Components

Milestone XProtect^® Access

Installation and Use – for the XProtect Access product the following applies:

The Product may be operated from an unrestricted number of XProtect Management Applications/XProtect Management Clients and XProtect Smart Clients connected to the XProtect VMS system or the Milestone Husky NVR unit.
To facilitate communication with third-party systems an unrestricted number of XProtect Access plug-ins may be installed on the Event Server in the XProtect VMS system or the Milestone Husky NVR unit. In addition to the general restrictions in Milestone’s liability defined in the section “Limitation of Liability” above, Milestone does not accept any liability arising out of the use of or inability to use the Product when the plug-ins have been provided by another party than Milestone, or when the Milestone provided XProtect Access plug-in is used with a third-party product or version of a third-party product that it has not been designed and validated for. Further, Milestone does not accept any liability arising out of the use of or inability to use the Product caused by errors in any third-party product that XProtect Access is used together with.
The Product may only be used in connection with officially compatible XProtect VMS products and Milestone Husky NVR units.
XProtect Access may only be used with as many doors as you have purchased and registered door licenses to for the Product by the Software License Code.

Milestone XProtect^® LPR

Installation and Use – for the XProtect LPR product the following applies:

The XProtect LPR may be installed on an unrestricted number of computers designated as XProtect LPR Servers per Software License Code.

The Product may only be used in connection with officially compatible XProtect VMS products and Milestone Husky NVR units. When used together with officially compatible Milestone products the Product may also be used together with third-party products/components built upon the Milestone Integration Platform Software Development Kit.
The XProtect LPR Plug-in may be installed on an unrestricted number of computers designated as Event Servers, or as Recording Servers, or on computers running the Management Client application.
XProtect LPR may only be used with as many cameras as you have purchased and registered LPR Camera Licenses for the Product by the Software License Code.
The XProtect LPR License Plate Libraries may be deployed on an unrestricted number of XProtect LPR Servers.
XProtect LPR may only be used with as many XProtect LPR License Plate Libraries as you have purchased and registered for the Product by the Software License Code.

Milestone XProtect^® Management Server Failover

Installation and Use – for the XProtect Management Server Failover product the following applies:

Milestone hereby grants you the right to install and use the Product with the following conditions and restrictions:

The Product may only be used in connection with Milestone XProtect Corporate and Milestone XProtect Expert, in particular starting with R1 2022 version of these Milestone XProtect VMS products and onwards, subject to the Milestone EULA applied to such Milestone XProtect VMS products.
The Product may only be used, displayed and performed on one designated system at a time exclusively for your own internal business purpose. The “designated system” shall mean the designated computer system on which you first run the Product and for which a license is provided. The Product may only be used on the designated computer system running operating system for which the Product is designed.
If you are temporarily unable to use the Product on the designated system because of conditions beyond your control, you may temporarily use the Product on another designated system (“Back-up System”). For this purpose, a temporary license will be issued by Milestone provided that you give Milestone prior written notice and all information necessary for the issuance of such temporary license. You shall destroy all copies of the Product on any Back-up System when the temporary failure of the designated system is corrected and shall certify such destruction in writing to Milestone within three business days.
You may permanently transfer the Product to a different designated system (“Replacement Designated System”) provided that all copies of the Product are removed from the original designated system and destroyed, such destruction to be certified in writing to Milestone within three business days. A new license to enable use on the Replacement Designated System will be issued by Milestone provided that you give Milestone prior written notice and all information necessary for the issuance of such new license.
Milestone expressly disclaims any warranty and responsibility for any loss, including loss of data and/or configuration of the Milestone XProtect system, caused by your use of the Product or by the Product disruption.
The use of the Product is further restricted by the terms of the Milestone EULA applicable to the applied version of the Milestone XProtect VMS product.
In order to use the Product, you must purchase an XProtect Management Server Failover license. Such license must be purchased for both the primary and secondary management server within your designated system.

Milestone XProtect^® Hospital Assist

Installation and Use – for the Milestone XProtect Hospital Assist product the following applies:

The Product consists of the following features: Fall Detection, Privacy Blur, Sticky Note, and Multiroom Audio which you have the right to use subject to the terms of this EULA and purchased license as defined below in this section. The Sticky Note, Privacy Blur and Multiroom Audio features are part of XProtect VMS installer applied by you. Whereas the Fall Detection feature is to be installed via separate installation files.
The Product may only be used with Milestone XProtect VMS products (with exception of Milestone XProtect Essential+) for which a license has been separately purchased by you, in particular with the 2024 versions of XProtect VMS products and above.
The Product may only be used on computers running operating systems for which the Product was designed.
To use the Product, you must purchase an XProtect Hospital Assist license for each enabled video channel.
You acknowledge and accept that the Product is provided “as-is” and is not an approved healthcare product or medical device and cannot be relied upon in lieu of patient monitoring or replace medical care providers. Milestone makes no guarantee, express or implied, that this Product will detect a patient fall. You acknowledge and accept that the Product should be treated only as a secondary support tool and therefore cannot constitute the basic or sole reason for your decision. Any conclusions which are drawn from the analysis of information provided by the Product must at all times be verified with due professional care as well as with conclusions being drawn from information coming from other sources. Any conclusions made by you and any actions taken by you are your responsibility solely.
You acknowledge and accept that the Product has undergone testing only within a limited hospital environment. While every effort has been made to ensure its functionality within this setting, it is important to note that IT infrastructure and other conditions in the hospital environments may vary. Therefore, the Product's performance may be affected by different hospital environments.
Except as expressly authorized in this EULA, you agree that you will not use the Product with any system or application where the use or failure of such system or application can reasonably be expected to threaten or result in personal injury, death, or loss, including, without limitation, use in connection with any medical, life support or other life critical applications.
The use of the Product is further restricted by the terms of the Milestone EULA applicable to the applied version of the Milestone XProtect VMS product.

Milestone XProtect^®Incident Manager

Use – for the Milestone XProtect Incident Manager product the following applies:

In order to use the Product, you must purchase an XProtect Incident Manager license. If you are using Milestone XProtect Corporate version 2022 R2 or later, the license for the Product is included in and activated together with the license for your Milestone XProtect Corporate product.
The use of the Product is also governed and restricted by the terms of the Milestone EULA applicable to the applied version of the Milestone XProtect VMS product, or by the terms of a license agreement applicable to the applied OEM version of the Milestone product.

Milestone XProtect^® Transact

Installation and Use – for the XProtect Transact product the following applies:

XProtect Update Manager

Installation and Use – for the XProtect Update Manager utilities (“Update Manager”) the following applies:

Update Manager may only be used in connection with the Milestone XProtect VMS products for which Update Manager was originally intended as well as with future products Milestone may confirm to be supported by Update Manager. Please see this Product’s documentation on Milestone website.
By using Update Manager to remotely install and update Milestone XProtect VMS products on other computers, you are regarded as being a system administrator of those computers ("Remote Computers"). Being a system administrator, it is your responsibility to ensure that the users of the Remote Computers understand and accept the EULAs of the Milestone XProtect VMS products being installed or updated using Update Manager, even in the case when the installation process has been made unattended for the users of the Remote Computers and possibly invisibly for them as well. By remotely installing or updating a Milestone XProtect VMS product on a Remote Computer you accept - as a system administrator - this responsibility, including the responsibility and liability for adherence to and compliance with this EULA by the users of Remote Computers.
Milestone expressly disclaims any warranty and responsibility for any Milestone XProtect system disruption as well as any loss, including loss of data and/or configuration of the Milestone XProtect system, caused by your use of the Product or by the Product disruption.

The XProtect VMS software, the Husky Assistant and other possible software utilities, such as Husky Recovery Tool, delivered with the Product, may, and can, only be used with the computer hardware and operating system with which it is delivered.
Product software updates and recovery images provided by Milestone for the product may, and can, only be used with the Product.
The Product is preloaded with XProtect VMS software. The use of the XProtect VMS software is subject to the terms and conditions for the specific product (refer to relevant section in this EULA) and conditioned by the use of a rightfully obtained and registered Software License Code.
The Product includes an embedded Microsoft Windows Operating System. The included Microsoft Windows license gives you free access to possible updates to the applicable Windows Operating System that Microsoft may release. It is your responsibility to keep the Windows Operating System current according to Microsoft’s guidelines. Milestone does not accept any responsibility for the compatibility of future software updates of the Windows Operating System, and future versions of the Microsoft Windows Operating System may change the use of available system resources in the Product, which may impact the overall performance of the Product. The Product is further dimensioned and designed for the included version of Microsoft Windows operating system. Milestone cannot guarantee compatibility with other versions of Microsoft Windows operating systems.
The included Microsoft Windows Operating System must only be used together with the Product and must hence not be used on any other computer hardware. The terms and conditions for the use of the Microsoft Windows Operating System are regulated by Microsoft’s end-user license agreement.
The Product may include software components from Dell EMC, e.g., integrated Dell Remote Access Controller (iDRAC), and your use of such components is subject to the Dell EMC end-user software license agreement, cf. https://www.dell.com/learn/us/en/uscorp1/legal_terms-conditions_dellgrmwebpage/art-software-license-agreements.

Installation and Use – for the Milestone StableFPS the following applies:

The Product may be installed and used on an unlimited number of computers where a Milestone XProtect VMS product is installed. The Product may only be used for testing, development, and demonstration purposes.
The Product may only be operated, regardless of whether this is directly or in some indirect form, by you, your employees or other people working for you. The Product consists of a device driver and prerecorded media streams, including video content. You may not redistribute, sublicense, nor otherwise grant any right to the Product and to its components, including video content, to any third party. In case any video content is added by you to the Product, it is your responsibility to ensure a legal basis for your use of such video, including a license to use objects of third-party’s rights as well as a data subject’s consent when such license, consent or other legal basis is required under applicable laws.
The Product may only be used for the purpose of demonstrating of Milestone XProtect VMS, or for development, testing and demonstration of applications or systems applied with Milestone XProtect VMS. Milestone does not provide and expressly disclaims any warranty for applications or systems applied with or connected to Milestone XProtect VMS. The entire risk arising out of your use of such applications and systems remains with you as the user, including your responsibility to obtain required licenses for your use of third-party software.
The Product may only be used in connection with Milestone XProtect products, Milestone Husky NVR products supporting the Milestone Integration Platform Software Development Kit, and approved OEM versions of Milestone XProtect products. The Product may not be used separately, in connection with non-Milestone products.
You agree and warrant not using the Product in ways that will enable an end-user to use a Milestone product, or an OEM version of a Milestone product in a way that may infringe the license terms covering the specific product, or break or circumvent the licensing system for the Milestone product or the OEM version of a Milestone product.

Milestone SDK Tools

Installation and Use – for the Milestone SDK Tools (Milestone Software Development Kit Tools):

The Product may only be used on computers running operating systems for which the Product was designed.

The Product may not be used separately, in connection with non-Milestone products.

The Product includes software tools and components that enable you to connect or integrate with third-party software. The Product does not include licenses for such third-party software, which you must obtain yourself for your purpose.

Milestone Customer Dashboard

Use – for the Milestone Customer Dashboard utilities the following applies:

When activating the XProtect VMS licenses, your system data (e.g., the number of used devices, MAC addresses of the connected devices, etc.) is exchanged and stored in the Milestone’s licensing system, accessible via the Milestone Customer Dashboard, as specified in the general terms of this EULA, “Collection and registration of system data”.

Milestone hereby grants you the right to use the Milestone Customer Dashboard and you accept the following conditions and restrictions:

Milestone Customer Dashboard is a free online tool for Milestone and Milestone partners to manage and monitor installations of Milestone XProtect VMS and licenses. Milestone Customer Dashboard contains tools for (i) managing information about end-users’ installations, (ii) registration and activation of licenses, and subject to your consent, (iii) real-time status overview of the system's health and performance data, and (iv) email notifications and error filtering in XProtect VMS installations.
As the end-user of XProtect VMS product, you can register your data in the “XProtect end-user registration” form, accessible via the Milestone XProtect Management Client. The end-user data provided by you is stored in Milestone’s licensing system.
Your access to the Milestone Customer Dashboard can be activated upon request to Milestone. With such access, you can administer your licenses for the Milestone XProtect products.
You may consent to share your system configuration and performance data with the Milestone Customer Dashboard by checking the box in the Tools/ Options section in the Milestone XProtect Management Client. Examples of such system data are error information originating from cameras, system or network failures. Your consent also implies that you agree to Milestone sharing your system configuration and performance data in the Milestone Customer Dashboard with the authorised Milestone channel partners with the sole purpose of providing customer support services to you.
When providing your end-user data, license data, system and performance data via the Milestone XProtect Management Client and/or via the Milestone Customer Dashboard, you consent to Milestone receiving and using your data for the purpose of Milestone services in the form of license management and monitoring, and for Milestone’s analytical purposes to improve our services.
You agree to not alter, modify, or in any way tamper with the license data, system and performance data transmitted to Milestone’s licensing system and/or the Milestone Customer Dashboard. You are provided with self-service access via the Milestone XProtect Management Client to administer your end-user data and you are obliged to keep your end-user data accurate. Milestone reserves the right, at our sole discretion, to correct or remove inaccurate data.
Milestone cannot be held responsible for any loss of data caused by disruptions in communication with the Milestone Customer Dashboard during license activation.

Milestone accepts no liability for possible interruptions in the service caused by failure to renew the Milestone Care coverage in due time.
